Reason
(1) These 471,070 Multi-Purpose Holdings Berhad ("MPHB") shares were allotted and issued to Mr Vijeyaratnam a/l V. Thamotharam Pillay pursuant to the terms of the following agreements which he is a party to as one of the members of the Management of Magnum Holdings Sdn Bhd ("MH"):- (i) Share Sale Agreement dated 11 March 2011 entered into between MPHB and certain members of the Management of MH ("Management") involving the sale of shares in MH by the Management to MPHB to be satisfied via the issuance of new MPHB shares. (ii) Subscription Agreement dated 11 March 2011 entered into between MH, MPHB and the Management involving, inter alia, the redemption of Redeemable Convertible Unsecured Loan Stocks Class-C by MH to be satisfied via the issuance of new MPHB shares. (2) These 600,000 MPHB shares were acquired by Mr Vijeyaratnam a/l V. Thamotharam Pillay from Asia 4D Holdings Limited and/or Asia 4D Company Limited (collectively "Asia 4D") through a Direct Business Transaction pursuant to the private placement of MPHB shares by Asia 4D to identified placees.
