Disposal to and acquisition by Tan Chong Consolidated Sdn Bhd ("TCC") from Parasand Limited ("PL"), a wholly owned subsidiary of TCC, for the consideration to be paid and fully satisfied by way of set off against the shareholder’s advance made by TCC to PL to fund the initial acquisition of the shares by PL with interest accrued as at 31 December 2009 after obtaining from the Securities Commission the exemption for TCC and parties acting in concert with TCC from the obligation to carry out a mandatory takeover offer on the remaining shares in WTCH not already owned by them pursuant to Practice Note 2.9.7 of the Malaysian Code on Take-Overs and Mergers 1998, resulting in change in deemed interest by virtue of Section 6A of Companies Act, 1965.
