The Board of Directors of FGV Holdings Berhad (Formerly known as Felda Global Ventures Holdings Berhad) ("FGV" or "the Company") is pleased to inform that at the 11th Annual General Meeting ("AGM") of FGV held on Wednesday, 25 June 2019 at 11.00 a.m. at TM Convention Centre, Jalan Pantai Baharu, 50672 Kuala Lumpur, Malaysia Resolutions 5, 6, 7, 8, 9, 10 and 11 as set out in the Notice of AGM dated 29 April 2019 were duly approved by the shareholders except for Resolutions 1, 2, 3 and 12 which were not approved. Please refer to the attachment for the poll results.

Resolution 4 was withdrawn, since Dato' Mohamed Suffian Bin Awang had withdrawn his offer for re-election at the 11th AGM. Therefore, at the close of the 11th AGM held on 25 June 2019, Dato' Mohamed Suffian Bin Awang retired from office as Independent Non-Executive Director of the Company in accordance with Clause 97 of the Company's Constitution and accordingly, he ceased as a member of the Nomination and Remuneration Committee, member of the Board Tender Committee and Chairman of the Investment Committee.

The Company's Audited Financial Statements for the financial year ended 31 December 2018 together with the Reports of the Directors and Auditors tabled at the AGM of FGV were received and adopted.

Voting on all the resolutions above were carried out by e-polling at the AGM of FGV in accordance with Paragraph 8.29A of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.

All the results of the e-polling were validated by Tricor Business Services Sdn Bhd, the Independent Scrutineer appointed by the Company. The results of the e-polling are attached herewith.
