The Board of Director of Vivocom ("Board') is pleased to announce that its subsidiary company, Vivocom Enterprise Sdn Bhd (“VESB”), had on 30 May 2016 signed a letter of intent to cooperate (“LOI”) issued by Zhonghe Huaxing Development (M) Sdn Bhd ("Zhonghe Huaxing”) for the purposes of cooperating and collaborating on property development, construction, project management and other related activities in connection with property development and construction projects (“Proposed Cooperation”).



Zhonghe Huaxing is a company incorporated in Malaysia with its business address at 3A-1A, Level 3A, Menara CIMB, Jalan Stesen Sentral 2, Kuala Lumpur Sentral, 50470 Kuala Lumpur. Zhonghe Huaxing is a subsidiary company of China Nuclear Industry Huaxing Construction Company Limited, which in turn is controlled by China Nuclear Engineering Group Corporation, a conglomerate with expertise in the construction of military and civil infrastructures as well as commercial development, both in China and abroad. China Nuclear Engineering Group Corporation is a state owned enterprise held by the central government of China.



The intention of the LOI is to set out the general cooperation parameters between VESB and Zhonghe Huaxing. The salient terms of the LOI includes:



To work together, collaborate and combine resources for the purpose of procuring development and construction projects; and


2. To record the general understanding and relationship to undertake business collaboration in respect of such projects as well as the preparation and submission of tenders or proposals, and the responsibilities of each party in respect of the projects secured.





RATIONALE



The rationale of the LOI is to pave the way for specific cooperation and collaboration between both parties prior to signing of any definitive agreement for specific projects as to effect the above intended objectives.





DURATION, TERMINATION AND LEGAL EFFECT



The LOI shall be effective on the date of signing and shall remain effective subject to termination by either party notifying of its intention to terminate in writing. The LOI serves only as a record of the parties’ intentions and does not constitute or create obligations under the Malaysian domestic law and will not give rise to any legal process and will not be deemed to constitute or create any legally binding or enforceable obligations, expressed or implied and neither party shall have any liability to the other party in respect of the same.





DIRECTORS AND MAJOR SHAREHOLDERS’ INTEREST



None of the directors or major shareholders of Vivocom and/or any persons connected to them have any interests, direct or indirect, in the LOI.



Further announcements will be made in accordance with the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad at the appropriate time.

飛機租賃業務接40.8億獻購‧亞航擬售非核心業務

(吉隆坡30日訊)除了飛機租賃業務,亞洲航空(AIRASIA,5099,主板貿服組)不排除將趁估值高於核心業務時探討套現其他非核心業務的機會。


該集團首席執行員丹斯里東尼費南達斯在股東大會後說,飛機租賃業務接獲10億美元(約40億8千萬令吉)收購獻議,該集團整體價值16億美元,單是租賃業務已值10億美元,航空資產約6億美元,以目前盈利所得,潛能令人振奮。

“大部份購買的飛機已超過12年,集團已無須大量負債,具龐大潛能及租賃訂單,相信時間將告訴投資者其真正的價值。”

不會永久持策略性投資

詢及會否脫售更多資產套現時,他坦言,不會永久持有策略性投資資產,包括亞航X(AAX,5238,主板貿服組)及TUNE保障(TUNEPRO,5230,主板金融組)持股,都可以考慮現在或未來脫售,因為這些非核心資產是最佳的套現資產,若加上這些投資,其價值已超越航空業務。

目前該集團持有Expedia、航空培訓中心、亞航X及飛機租賃公司等資產。

較早前,東尼在接受彭博電視專訪時說:“我們接獲(飛機租賃公司)收購獻議,而我覺得這是一項強大的現金創造業務。在特定的時候,我們將脫售相關資產。這裡蘊藏龐大的價值與現金。”

他說,亞航尚未與市場接洽,即有買家與集團進行接觸,顯然集團的空中巴士A320和強大的訂單是非常有價值的資產。

截至今年3月杪,亞航營運171架空巴A320客機,而亞航X則有29架空巴A330客機,亞洲航空資本則負責管理向海外聯號公司租賃的飛機,現手握43架空巴A320客機。

東尼承諾退休之前
亞航盈利必超越新航

週一股東大會歷時3小時半,小股東踴躍出席導致現場人山人海,一些股東甚至被逼坐在地上聽完整場會議,並被東尼在問答環節的幽默自嘲答案逗得哄堂大笑。

對於小股東獻議亞航向新航學習如何賺更多錢的建議,東尼立刻向小股東保證,他有信心今年該集團將逼近新航全年淨利5千800萬美元目標。

目前新航價值90億美元,亞航值約16億美元,東尼認為,亞航利潤優於新航,並誇海口承諾,誓在退休之前讓亞航規模超越新航。

將徵收DCA附加費

另外,對於小股東監督機構(MSWG)詢問的大馬民航局(DCA)調漲收費課題,東尼坦言,該集團料不受影響,因將通過徵收“DCA附加費”轉嫁給消費者。

提到他最近才取得印度海外公民權(Oversea Citizen India,簡稱OCI),是否增持印度業務股權,東尼強調,他是為了方便出入印度,因無須辦簽證及可在印度置產,但無助於增持股權,他的國籍依然是大馬。

Construction biz drives Vivocom's 1Q earnings up 27 times; mulls bonus issue, free warrants

KUALA LUMPUR (May 12): Vivocom Intl Holdings Bhd saw its net profit for the first quarter ended March 31, 2016 (1QFY16) jump 27 times to RM25.12 million, from RM923,000 a year ago, driven by the group’s construction business.

Earnings per share thus rose to 0.81 sen, from 0.09 sen previously, its bourse filing today showed.

Vivocom’s revenue for 1QFY16 also rocketed 20 times to RM141.54 million, from RM7.04 million.

Vivocom said the construction segment contributed 88.9% or 125.81 million to the group’s total revenue under the quarter under review, while its manufacturing division contributed 5.7%, with the remaining 5.4% coming from its telecommunication towers business.

In a separate statement, Vivocom executive director Choo Seng Choon said the board of directors is “confident and optimistic” of the group’s outlook.

“We will not rest on our laurels and the management team have all pledged to walk the extra mile to secure more projects in the foreseeable future, and to ensure that our projects are delivered promptly and on time and to the highest standards possible for our clients,” he said.

Choo also revealed that the group is looking at “various ways” to reward shareholders.

“Amongst the various options [that] the board of director is considering is possibly a bonus share issue or a free warrants issue. Once finalised, they will be announced in due course,” he said.

Vivocom was the second most actively-traded counter today, with over 113 million shares done. Its share price rose half sen or 1.41% to 36 sen at market close today, giving it a market capitalisation of RM918.48 million.
