They pass a resolution to authorise them to issue shares of not more than 10%.The accounting practice is unfair to the existing minority shareholders by allowing the directors to issue shares at their discretion.Thus increasing the supply of shares which will dilute the value of each share.For instance if the nta is rm1.2 and the market value is 9c and they buy the new 10% at 9c by discount of rm1.01 for each share and our nta is devalued by the increase of 10% bcos the total asset is now divided by total no of shares + 10% which will give a lower value.The authorities must not approve such practice when their is a vast differenc in price between the market price and the nta.
