Berjaya Corp Bhd is a Malaysia-based conglomerate that is engaged in financial services, consumer products marketing, property investment, hotel operation, gaming, restaurant operation, and others. Tan will provide to BCorp a profit guarantee that Singer will achieve a profit after tax of RM20mil per year for 2020 and 2021.
PETALING JAYA: Berjaya CorpBhd has signed a memorandum of understanding (MOU) with Berjaya Retail Sdn Bhd (BRetail) and Tan Sri Vincent Tan, the major shareholder of both BCorp and BRetail, to acquire 100% stake in Singer (M) Sdn Bhd from BRetail for a net payment of RM388mil.
The deal is after the set-off of the inter-company debts of the Singer Group of RM148million against the purchase consideration of RM536 million.
As at Dec 31,2019, the unaudited net assets of the Singer Group was RM561mil.
In a statement, BCorp said the acquisition would involve the issuance of new BCorp shares at an issue price of 33 sen each.
This would represent a premium of 14 sen or about 74% over last Friday’s closing price of 19 sen per BCorp share.
“BCorp will issue about 1.2 billion BCorp shares for the net payment of RM388mil.
“In addition, Tan will provide to BCorp a profit guarantee that Singer will achieve a profit after tax of RM20mil per year for 2020 and 2021.
“Based on net payment of RM388mil for the 100% stake in Singer, this profit guarantee of RM20mil per year will translate to a net price-earnings multiple of 19.4 times, ” BCorp said.
Singer had an existing issued share capital of RM438mil.

Bhd (BCorp) is acquiring home appliances distributor Singer (M) Sdn Bhd from major shareholder Tan Sri Vincent Tan.
“The market talk is that BCorp is purchasing Singer from Tan, ” a source told StarBiz yesterday.
Trading in BCorp has been suspended from yesterday until 5pm today, pending a material transaction.
The stock last traded at 19 sen on Friday, with a market capitalisation of RM930.49mil.
Last year, the Berjaya group announced that it had planned to inject Singer into BERJAYA MEDIA BHDas part of the company’s regularisation plan.
According to its website, the Singer brand was established in Malaysia in 1906 as a branch of US-based Singer Sewing Machine Co.
In 1989, Berjaya Corp made a takeover bid for SSMC Inc, the parent company of Singer, resulting in BCorp acquiring 100% equity in Singer.
Singer became a wholly-owned subsidiary of Berjaya Retail Bhd, which also owned 7-Eleven Bhd, on June 14,2010.
Berjaya Retail, which was listed in 2010, was however taken private within less than a year by Tan, who cited the company’s poor share price performance as one of the reasons for the privatisation exercise.
According to Singer’s Malaysian website, the company has a retail network of over 700 shops in major townships, suburban and rural areas.
It is supported by more than 3,000 sales associates and 350 authorised after sales service contractors.
“Singer sells and provides easy payment scheme for its variety of consumer durables, both brown and white goods, flat panel television, refrigerator, washers, furniture, motorcycles, wellness products and digital products to Malaysia consumers.
“Singer was the pioneer in offering flexible Easy Payment Scheme giving customers the option of paying for the purchases by monthly installments that ranges from three to 48 months, ” it said.

GPACKET-WB, a Big Frog?

After reading KC's answer to John's question, is GPACKET-WB a big frog?
I want to busy body and calculate its fair value by using 200 steps binomial method.
The input required:
A) Expiry: I prefer to input Aug 2023 instead of Nov 2023, ie. 3 months earlier, as I believe any company warrant will be trading at discount when it is approaching expiry due to troublesome of conversion.
B) Asset, ie Mother Share Price, here I input 3 different prices:
B1) RM0.835, the current market price.
B2) RM0.700, equal to WB's price plus exercise price, ie. RM0.300 + RM0.400 = RM0.700.
B3) RM0.420, the lowest day closing price from the last 150 trading days.
C) Volatility, I suppose to input the average volatility for the period from now to expiry. I have to look at its historical volatility and assume it will remain more or less the same in future.
C1) 100%, as the volatility calculated from the last 90 trading days is 103%.
C2) 50%, be safe and chop half.
C3) 25%, the lowest volatility found in the last 150 trading days, before GPACKET became excited.
Look at the attached screenshot, the fair values are shown in column L.
Hehehe.....the fair values are ranging from RM0.095 to RM0.640, very much depending on the inputs.
Trade at your own risk, I neither own any GPACKET nor GPACKET-WB.

~ total warrants outstanding of 423.5 million warrants, just say, someone exercises 250mil at 40sen= RM100mil paid to the company, enough for the requirement of the digital bank licence. if the warrantholder tak wang untuk exercise the warrant, sell to cash rich companies to exercise the warrants :)

Over the longer term, AmInvest Research said that the outlook for regional ports, including Malaysia, is underpinned by rising investments in the manufacturing sector that generates tremendous inbound and outbound throughput for ports as industries here operate within the global supply chain.
For the airline industry, it is expecting passenger volume for AIRASIA BHD to shrink by 35% in 2020 from the previous year, to be followed by a 25% rebound in 2021 from a low base.
But this assumes that the pandemic will have been significantly contained by then, or vaccines would have been developed and made available.
AirAsia is rated a sell with a target price of 43 sen.

SHARES in Hwa Tai Industries Bhd (fundamental: 1.15/3, valuation: 0.3/3) triggered our momentum algorithm last Friday for the first time this year.
The stock closed up 6.5 sen or 12.15% at 60 sen last Friday, with a volume of 2.44 million shares traded, exceeding the counter’s 200-day average volume of 204,505 shares.
Its market capitalisation stood at RM44.9 million.
For the financial year ended Dec 31, 2016 (FY16), Hwa Tai saw its net profit rise 17.4% to RM378,000 from RM322,000 in FY15, while revenue slipped 4.8% to RM63.17 million from RM66.3 million in FY15.
At the current share price, Hwa Tai is trading at 1.44 times its book value.
