SMRT own 23%, Creador own 27%, both didn't > 33%, please advice how MGO triggered. Is it because Creador also SMRT major shareholder?

正籌備退股MASTERSKILL教育（MEGB，5166，主板貿服組）的大股東西瓦古瑪再傳負面新聞，耗資7千500萬令吉收購MASTERSKILL教育（下稱MEGB）旗下4項產業和地皮的提案，上週意外腰斬。

原因是，獨立估價師給予上述4項資產的估值，高達1億1千零40萬令吉，或較西瓦古瑪出價高出近47%。

早前文告顯示，上述4項被用作日常業務運作的資產，是在MEGB的“資產精簡策略”下獲西瓦古瑪提出獻購，之後才重新回租給MEGB。

老實說，“售後回租”模式並不稀奇，因不少企業均曾採用過相同策略，藉此釋放資產價值和資金，順便替公司瘦身，重新向買家租下有關資產則可確保業務如常運作，不受資產易主的影響。

然而，讓許多人都百思不解的是，為何買家會是即將完全退股MEGB的西瓦古瑪？

如今僅等SMRT控股（SMRT，0117，創業板科技組）和夥伴作最後購股決定即可成功以每股60仙完全脫售約30%股權、完全退出MEGB的西瓦古瑪，是在上月6日獲董事部批准上述4項資產的收購和回租提案。

由於SMRT控股有意入股的消息當時尚未揭曉，這樣的安排並沒有引起人們太大的注意，因大股東本身參與有利於公司的策略性計劃，邏輯上倒還說得過去，畢竟事關股東（包括大股東）利益。

不過，當西瓦古瑪同意賣股給SMRT控股的消息公佈後，上述資產交易卻立刻顯得奇怪，因這意味著西瓦古瑪早已無心留在MEGB；既然如此，又何以甘心自掏腰包來成全公司的“資產精簡策略”？

這個疑問，一直到獨立估價師上週公佈相關資產的估值後，人們才終於恍然大悟！

原來，“精簡資產策略”，是這麼一回事啊。

幸好，由於價差太大，加上無法達成新共識，董事部和西瓦古瑪最終被迫終止有關資產交易計劃，讓那些長期備受股價低迷折磨的小股東，不致於傷上加傷。

這幾年來，由西瓦古瑪領軍的MEGB，各方面表現一直無法讓人滿意，數月前捨棄以每股1令吉10仙脫售股權給香港投資者、卻同意以每股60仙把股權賣給SMRT控股所引起的疑慮尚未消除，即再傳出意圖低價收購公司資產的負面消息，聲譽難免一落千丈。

The ruble sank to more than 80 per dollar, down 20 percent on the day, despite Russia's central bank ramping up interest rates overnight to 17 percent from 11.5 percent. Moscow's dollar-denominated stock exchange dived almost 20 percent.

In a morning of sharp swings across Europe and the Middle East, Dubai's market, which is heavily exposed to oil, fell 7 percent while the Norwegian crown, another oil currency, sank as much as 5 percent.

明、后两年，全球股市会形成3个极化：
1.美国龙头继续波动趋升
2.拼量化的经济体股市稳升
3.商品经济体日渐下滑，这包括大马股市。
美国经济蒸蒸日上，没有半点疲态；虽然本益比（PE）可能已来到20至27倍，但以今天现金充沛，利息低档，公司业绩越来越好，加上全球油价大泻，美国的经济增长必将继续强劲，难怪股市牛气十足。
著名股市分析教授杰里米西格尔（Jeremy Seigal）认为，明年股市会维持高升，可能会有小调整（10%）。
美国明年中启动升息周期，届时标普指数要飞升到2300点，道琼斯指数要破19000点都不是问题；而和美国类似的经济体，如英国等的股市，都会有很好的表现。
靠量化拼经济的地区，如欧元区和日本等，量化继续，市场流动资金充沛，连带推高股市，尤其是这些市场目前都在低点。
加上全球油价低迷，日本和欧洲都可享受低价石油，增加其他消费。
日本的情形会最显著，首相安倍的量化政策，会加强注入资金，日经指数必定高飞；欧元区情况也相似。
中国沪港股市直通车，已显现了中国“流动性”的厉害；中国大妈和企业疯狂借贷来炒股，把上证指数，在13天内推高50%。从11月尾的2440点，推高到12月8日的3000点。
12月9日，中国官方只是一个行政指示，阻止企业乱借贷炒股，股市就爆泻了5.6%。从中可窥出中国资金窜动和政治主导的威力。
即使中国总借贷超过国内生产总值的2.5倍，但在游资护航下，股市至少可维持3000点。中国经济软着陆的形势已很明显，但矛盾之处是经济好时，股市“睡觉”，反倒是现在景气放缓，股市却飙升。
商品经济体的股市多数凶多吉少；墨西哥10日宣布不能随意兑换美元，因为已浮现美元短缺的问题。
其他石油出口国，如俄国、奈及利亚、南非、委内瑞拉、印尼、巴西、大马和多个海湾国的股市都面对大幅抛售。

对于大马，未来两年必须步步为营，尤其要注意令吉的走势。令吉明年还会低迷，股市也一样。间中或许会有许多小反弹，但总的趋势是往下行。
