我们上回说了两只油气股筹资的过程，今期再谈另一家：迪耐（DNEX）。
这家公司，前身有个漂亮的名字，叫做时光工程（TIME ENGINEERING，简写为TIME）。如今换了大股东（有个颇为霸气的名字，世纪软件，CENSOF），名字也改为DNEX，看来像是某家交易所的简称一样。
公司在去年6月18日，宣布以2.03亿令吉收购油气公司OGPC集团，其中1.03亿令吉现金，以及剩余的1亿令吉约4亿股票和2亿凭单补足，股票每股价值26仙。
购价减少附加股不变
2014年尾一阵油价重挫，这项交易注定要改写。
在今年3月6日，迪耐发出文告，把收购价下修至1.7亿令吉，其中现金付款是8300万令吉，而其余则发出3.625亿股票和1.812亿凭单补足，每股价值24仙。
不过，与这同步的附加股建议则没有修改，仍然是5配3附加股送3凭单，每附加股售价21仙，发行总共4.65亿新股，募资9768万令吉。
略为不同的是，之前附加股筹获的资金，不够支付1亿令吉的现金，但是现在对8300万现金则绰绰有余。因此，剩余的资金加上特别配售，将用来作为营运资本。
募集资金有增无减
不管前述三项收购是如何估值，怎样受到油价滑落的影响而必须重新计算各种财务比，可以肯定的一点是，公司已经决定向股东募集的资金，只有增加，没有减少。在市道不景的情况之下，这是不是合理的呢？
许多附加股或者筹资建议，在向股东呈献细节前，其实董事部连同大股东，已经和金融顾问讨论好要筹的目标，因此，就算是计划有所更改，但总额一般上变动不大。
所以，常常有最低募集资本的表现手法出现；如果有多（即其余股东的权益悉数被任购），那么充其量把多余的资金编入营运资本，钱，有谁嫌多的？
这三家公司的面值很低，介于10仙至20仙之间。
仙股吸引散户关注
虽然如此，它们的收购资产却不便宜，因此，发行的股票算是数量庞大，动辄上亿。
目前三家皆为仙股，引来不少散户的投资/投机兴趣，抱着有朝一日如果股市大热，这些仙股价钱大起，可以得到不菲的回酬。
本周股东大会焦点
小股东渐渐忙碌起来，本周3月18日是友联控股（UMS）的股东大会。
在去年业绩高收之后，今年的首季业绩大幅衰退，引起股东注意。然后19日是产业新贵绿盛世（ECOWLD）的股东大会，股东可以进一步了解公司未来的大方向。

Feb15 report revenue 31.1m, net profit 9.3m <- can i expect net profit should increase to 12-13m, instead of 9.3m? Any sifu? please help to explain.
