Private Placement structure generally will use PVWAP 5 days average to get the Fixed Price for Placement. What does it mean by PVWAP?
PVWAP = Previous Volume Weighted Average Price or Last 5 days Volume Multiply with Average Price
This scenario is to get the Final Agreed price for placement of new shares. Generally it will be capped at max 10% per allotment.
The reason generally why a share price most likely will run up before Placement is done is because the company can raise more cash with higher PVWAP recorded. (Point 1: Co recent share up)
K+ current case:
Company Price = RM 1.60 (Point 2: Director Buy Share pricing at 9/6/2020)
Shares outstanding = 530m
Market Cap = RM848m
price example use the PVWAP 5 days let's say @
RM1.60 = RM84.8m raised. (same amount of shares post pp 583m, cap 10% of PP)
Will the price move up or down?
During the PP exercise, the share price will be maintained above the PVWAP.
Why? If the mother price is trading below PP price, why would you want to pay extra to subscribe? Just buy from open market will do since it is much cheaper.
I believe company to maintain at RM1.60 or higher region in order to meet RM85m funds. Further, company director also starts buying shares first seen from March at much higher price RM1.60 on 9/6/2020 indicating the base price.
The group said the estimated cost for the purchase of machinery for the new production lines and surgical packing machine is RM96 million. The shortfall of RM19.5 million will be funded by the group internally.
Let presume company were to raise all the funds RM96m via this PP exercise. Meaning the share would be in region of RM1.88
Go and study what happened during PP period on recent ruberex PP in May which I posted previously.
Generally thumb up to the group and company mgmt, and Lim’s family to see their effort of corp restructuring and growing K+ back in future star.......... wakakakkk !

KUALA LUMPUR (June 12): Glove maker Careplus Group Bhd, which has seen a nine-fold jump in its share price this year, is proposing a private placement to fund new production lines.
The group said it intends to raise up to RM82.96 million by issuing up to 53.14 million shares, equivalent to 10% of its outstanding share capital.
The shares will be placed to independent third party investors to be identified later at an issue price that will also be determined later, the group said in an exchange filing.
The issue price, it said, will not be priced at a more-than-10% discount to the five-day volume weighted average market price of Careplus shares immediately before the price fixing date.
For illustration purposes, the group said based on an issue price of RM1.5613 per share, the placement shares could raise up to RM82.96 million.
Careplus said the bulk of the money raised will be used to buy machinery for the setting up of 11 new production lines and a surgical packaging machine.
The group said the estimated cost for the purchase of machinery for the new production lines and surgical packing machine is RM96 million. The shortfall of RM19.5 million will be funded by the group internally and with contribution from its joint venture partner, Ansell Service (Asia) Sdn Bhd.
The group expects the private placement to be completed by the third quarter of this year.
Careplus shares closed 1.35% or two sen lower at RM1.46 today, giving the group a market capitalisation of RM775.79 million.

Notable movements
Niche glovemaker Rubberex Corp (M) Bhd, which welcomed new substantial shareholders over the past three months, is seeing strong share price performance after its recent private placement, alongside the general market uptick.
Rubberex closed at RM2.36 on May 27, up 92% from the RM1.23 that the placement shares were sold at barely a month ago. The placement, which was priced at a 10% discount to the five-day volume-weighted average market price of RM1.36 as at April 30, raised RM31 million. The company will use the proceeds to expand its nitrile glove production to 2.5 billion pieces a year from one billion pieces. Rubberex closed at RM1.90 when the 25.2 million placement shares were listed on May 18.
The entire placement of 25.2 million shares was bought by Datuk Seri Chiau Beng Teik, the major shareholder and deputy group executive chairman of building material company Chin Hin Group Bhd. Chiau emerged as a new substantial shareholder, with an 11.04% direct stake, or 30.62 million shares, on May 15. He also holds a 2.6% stake in Rubberex indirectly via Divine Inventions Sdn Bhd.
Rubberex shares had closed at 86 sen on March 6, when filings showed the emergence of a new major shareholder — Datuk Ong Choo Meng, executive director of agrochemicals maker Hextar Global Bhd. He had a 26.69% stake, or 67.3 million shares, as at Feb 28 (when the shares closed at 73 sen, valuing the stake at RM49.13 million). Ong, who bought the shares from Med-Bumikar Mara Sdn Bhd, transferred the stake to Erpstar Inc Sdn Bhd on April 10.
