We have ceased Stabilising Action for AAX on 7 August 2013. The last purchase was made on 25 July 2013 at RM1.25 per Share.

We have also exercised the over-allotment option for a total of 52,983,425 Shares on 7 August 2013.

Hence, the total purchases made under the price stabilising action of 65,535,100 Shares and the exercise of the over-allotment option for 52,983,425 Shares fully cover the 118,518,525 Shares that were over-alloted in the IPO for AAX.

ANA Holdings Inc. said its AirAsia Japan low-cost airline unit will end operations at the end of October and restart under a different name around year’s end.

The reinstituted budget carrier will remain based at Narita International Airport and Central Japan International Airport in Aichi Prefecture, ANA said Tuesday.

The revamped airline will focus on international flights mainly for resorts.

The five aircraft used by AirAsia Japan will be returned to former partner and major Malaysian discount airline AirAsia.

ANA Holdings, the parent of All Nippon Airways, took full control of AirAsia Japan in June. It previously was a joint venture with AirAsia.

The revamped airline will start with two planes and bring its fleet back to five by next March.

Tomonori Ishii, an ex-ANA official who is general manager for sales at Japanese airline AirDo, will be the new airline’s president.

Referring to customer complaints that AirAsia Japan’s online reservation system is complicated, ANA Senior Vice President Shinzo Shimizu said at a news conference the new system will be easier to use.

Following the dissolution of the AA Japan joint venture with the AA Group that allowed the use of the AirAsia brand, All Nippon Airways will re-launch the Tokyo Narita-based operation in late Dec-2013 under a new brand to be announced in Aug-2013.

This is not merely about re-painting aircraft and updating signage. ANA is effectively starting from scratch.

It will keep the AOC, employees and relationships, but must source new aircraft since the existing ones are supplied by AA, as is AA Japan's booking system.

Global ratings agency Fitch Ratings has revised Malaysia's sovereign credit rating outlook from stable to negative as the possibility of addressing public finance weaknesses has deteriorated after Election 2013.

The news comes as the Malaysian ringgit slid to three-year lows against the US dollar and 15-year lows against the Singapore dollar, making imports more expensive while exports would be cheaper although exports have slipped.

But it affirmed the country's long-term foreign and local currency issuer default ratings at A- and A, respectively.

“Malaysia’s public finances are its key rating weakness. Federal government debt rose to 53.3% of gross domestic product (GDP) at end-2012, up from 51.6 percent at end-2011 and 39.8 percent at end-2008.

"The general government budget deficit (Fitch basis) widened to 4.7 percent of GDP in 2012 from 3.8 percent in 2011, led by a 19 percent rise in spending on public wages in a pre-election year,” it said.

Subramanian reportedly said in any investment in an Indian airline by a foreign carrier, control has to remain with Indian nationals as per Indian law.

Remember folks, an earlier application on behalf of Singapore Airlines to set up a domestic airline (with an Indian partner) was rejected due to severe concerns raised by the ministry of defence.

Subramanian, in his 60-page public interest litigation (PIL), termed the clearance as illegal and said several issues related to foreign control and policy were overlooked when clearance was granted.

AA owns a 49% stake in AA India, while India's Tata Sons Ltd holds 30% and Arun Bhatia's Telestra Tradeplace Pvt Ltd the rest.

Livemint quoted Subramanian as saying that the Indian government's clearance to AA India is in violation of a September policy that allowed foreign airlines to invest in Indian airlines.

While he argues that the policy was in place for investment in existing airlines and not new ones, some arms of the government have said that it is for both existing and new airlines.

In the petition, which was filed but is yet to be admitted by the Apex Court, Subramanian has asked it to prohibit government authorities "from taking any action contrary to the applicable FDI policy as per Press Note No. 6 of 2012 read with DGCA Guidelines dated March 1, 2013 or from granting any approval for foreign investment by a foreign airlines in a greenfield airline project".

Folks, AA's bid to launch an airline in India in October has hit some turbulence, with a petition filed by the Indian Janata Party leader Subramanian Swamy seeking to withdraw clearance given by the Indian Foreign Investment Promotion Board for the venture.

Indian national business portal livemint reported late last Friday that Subramanian had on Thursday filed a petition in the Supreme Court to the effect.

The news comes more than a month after AA announced it was pulling out of a venture with Japan's All Nippon Airways due to irreconcilable differences.

The official dissolution of the Air Asia and All Nippon Airways (ANA) jointly operated AirAsia Japan is not until October, but already they are planning to cancel hundreds of flights in the next two months.

The company statement says that daily flights between September 1 to October 26 will be suspended. The cancellations will affect around 14,000 passengers and includes the routes linking Seoul to the cities of Nagoya and Tokyo.

AA X’s share price continued to be supported by the buying action of Maybank Investment Bank Bhd (Maybank IB) that bought 10 million shares at RM1.25 last Thursday bringing the total shares purchased to date in the budget long-haul carrier at about 65.5 million shares worth about RM82 million since listing on July 10, 2013.

As the underwriter and price stabilising manager, Maybank IB buying activity has been ongoing nearly every day since the listing and despite its best efforts, the stock closed the trading week down three sen at RM1.21 last Friday.

The investment bank can buy as many as 118.5 million shares in AA X within the first 30 days of trading, representing about 15% of total number of shares offered under the listing exercise.

The exercise is a result of the over-allotment option and the price stabililisation mechanism aimed to enhance confidence in the market for new issues of shares especially investor confidence.

Swamy points out yet another anomaly. The effective control has to be with an Indian.

Here the Indian part is Tata and Bhatia. Tata has only 30% share and similarly Bhatia has 20%.

Bhatia has business links with AA’s Tony Fernandes and when it comes to voting, they can collude, says Swamy.

The FIPB on the Commerce ministry interpretation of FDI rules passed in Parliament cleared it on a use of a COMMA in a paragraph that gave even new ventures eligible for foreign investment. The FDI document will now be open to Supreme Court interpretation.

AA’s joint venture with Tata Sons Ltd and Arun Bhatia of Telestra Trade Place Pvt Ltd clearance by Foreign Investment Promotion Board (FIPB) is to be challenged by Janata Party President Dr. Subramanian Swamy in the Supreme Court.

The case will come up for hearing on Monday.

Swamy states that the FDI norms have been for those airlines already in operation and not for new ventures.

The civil aviation ministry had taken this stance but the commerce and industry ministry put pressure to clear the investment.

The civil aviation Minister had stated that more clarity was needed on the FDI rules about the new venture and later backtracked.

Jul 26, 2013 MUMBAI: Janata Party leader Subramanian Swamy has filed a public interest litigation in the Supreme Court seeking revocation of approval granted in April to the Malaysian AirAsia by the finance ministry's Foreign Investment Promotion Board to launch an airline in the country in a domestic joint venture.

Swamy has said in his PIL that the government's decision is a "departure from the interpretation of the extant FDI policy by the minister of civil aviation's own observation who believed that the revised policy did not permit foreign investment by foreign airlines into new airlines".

Besides, it argues the approval was "not in public interest" coming at a time when government studies have shown that "most domestic airlines are reeling under losses" and would undermine the economic health further of existing domestic airlines.

He also said that the government flouted principles of equity by not consulting the defence ministry.

He said an "earlier application on behalf of Singapore Airlines to set up a domestic airline (with an Indian partner) was rejected due to severe concerns raised by the ministry of defence".

An IPO issuer may appoint a stabilizing manager, who may undertake stabilizing action in an attempt to prevent or minimize the reduction in the stock’s price.

The stabilizing manager will normally, BUY BACK THE SHARES AT THE OFFER PRICE if the market price of the share drops below the offering price to support the IPO’s stock price from the first 30 days of the trading debut.

Important point folks, the shares will then, return back to the issuer.

In the petition, which was filed but is yet to be admitted by the apex court, Swamy has asked it to prohibit government authorities “from taking any action contrary to the applicable FDI (foreign direct investment) policy as per Press Note No. 6 of 2012 read with DGCA Guidelines dated 01.03.2013 or from granting any approval for foreign investment by a foreign airlines in a greenfield airline project”.

An AA spokesman declined to comment on the matter.

Swamy said in any investment in an Indian airline by a foreign carrier, control has to remain with Indian nationals as per Indian law.
