Bumi Armada Berhad (“BAB”) wishes to announce that its wholly-owned subsidiary, Armada Kamelia Sdn Bhd (“AKSB”) has approved via Special Resolutions at its Members’ meeting held on Tuesday, 29 October 2019 for AKSB to be voluntarily wound-up pursuant to Section 439(1) of the Companies Act, 2016. AKSB was incorporated on 23 August 2011. The issued and paid-up capital of AKSB is RM2.00 representing 2 ordinary shares. AKSB had been dormant since its incorporation and it is wholly owned by BAB.



B. Rationale for voluntary winding-up



AKSB is dormant and the winding up is in line with BAB’s streamlining exercise.



C. Effect of voluntary winding-up



The voluntary winding-up of AKSB will not have a material financial and operational impact on Bumi Armada Group for the financial year ending 31 December 2019.



D. Directors and Major Shareholder’s Interests



None of the Directors or major shareholders of BAB or persons connected to them have any interest, direct or indirect, in the voluntary winding-up of AKSB.
