TPY might be too rush and overlooked some procedures and regulations, i.e disposing loss-making companies during Iretex merger process and triggered SC to came to them.

After SC audited Nexgram, the company will be clean, no more hanky panky :-)

弱肉強食，向來都是殘酷的商場定例。在本地印度電影《Jagat》裡，華人扮演著剝削位於社會底層的印度同胞的角色，看了電影後，是否覺得如果有人挺身而出，撥亂反正該有多好的感覺。
在這個現實的社會，很多東西都被萬惡的金錢給矇蔽，脆弱的人性自然也是如此。因此，翻開報章、瀏覽網絡新聞，我們總會看到許多不公的事情發生，也為敢於站出來捍衛公義的一切喝采不已。
今天，我就要為證券監督委員會（SC）喝一次彩。
成立於1993年3月1日的證監會，成立的宗旨就是為了監管交易所、監管企業併購和其他股市相關的事項，但成立了近23年，我們對證監會留下最深的印象卻是審核首次公開售股（IPO）計劃、出台私人退休基金（PRS）、眾籌平台等架構的信息，對執法的“偉業”印象實在不深。
但是，證監會在上週五一反常態發出了一封公開信函，對億豐（NEXGRAM，0096，創業板科技組）在監管單位查證公司併購愛爾德斯（IRETEX，7183，主板工業產品組）相關信息時，出售3家子公司的行為已經影響查證工作進度，對此感到高度關注。
證監會認為，億豐脫售子公司的動作已延緩和阻礙監管單位進行的查證工作，而查證結果可能對億豐股票價值帶來重大影響，對接受億豐換股獻議的愛爾德斯股東影響甚大。
消息一出，令市場為之震驚。一般上，企業在展開併購活動時，往往都會設下嚴謹的條款，就連派息可能會影響估值等條款都寫得一清二楚，億豐怎麼會不明白？
好啦，就算子公司脫售早有計劃，而且洽商工作也在併購獻議前就展開了，但億豐難道不需要告知愛爾德斯的股東？
盈利最大化是投資者的根本理念，賠本生意誰要做。雖然億豐在文告中說是基於子公司持續蒙虧，或是為了合理化集團企業架構，才決定脫售這3家子公司，也不預見這會對淨資產帶來顯著影響，但是你至少得給愛爾德斯小股東們一個說法，安撫他們不會換到“賠錢貨”呀。
雖然億豐尚未對事件作出解釋，事情真相究竟如何暫不得而知。但是，證監會作風向來審慎，此次會如此大動作直接發公開聲明，堵死億豐收購愛爾德斯的大門，不免讓人懷疑事情可能真的內有乾坤。
無倫最後誰是誰非，可以肯定的是投資者都是最大贏家，因為更透明和公平的企業交易可確保你們的利益受到保障，不會成為財雄勢大的機構投資者或大亨操盤的犧牲品。
更重要的是，證監會也藉此向市場釋出“I'm Watching You（我在看著你們）”的訊息，告誡企業、商業大亨，甚至是投機客們不可恣意妄為，視法律為無物，不該逾越監管單位設下的最後底限。（星洲日報／焦點評析：洪建文）

I don't care what happened to TPY, and it's good that SC now eyes on Nexgram and correct all the stuffs. In-fact taking over Iretex is not a big deal, it was not appreciated by investors anyway. So why should we care?

I believe your boss still have same shares on-hand and he will dispose again tomorrow. Pls do your part.

Yeah, maybe TPY&OKA or maybe CKP. Who cares...right? But OKA just acquire shares above 10 sen recently, I don't think he is involve in this gameplay.

I foresee more bad news will be announce until the price down to 5.5 sen before it bounce back in a very quick manner. At that time all investors will chase high, and Alice's boss will start to dispose again.

Same story happened last year when Alice appear. His boss accumulated at 5.5 sen and then disposed above 10 sen. That's why we saw huge sell down and big blockage from 10 sen down to 8.5 sen when there was good news on Nexgram while Nexgram directors never disposing their share. His boss now applying the same strategy again.....

Whether TPY is guilty or not, I don't know. But one thing for sure is he has done his best to protect the company and stakeholders, that's good!

（吉隆坡12日讯）东南亚瓷砖（SEACERA，7073，主板工业产品股）以296万令吉，收购Proligen有限公司的51%股权，将业务从产业多元化至医药领域，预计可在2016年贡献1亿2000万令吉的营业额。
双方今日签署协议，东南亚瓷砖在收购52万股后，Proligen将成为子公司，一起发展医疗产品，在马六甲兴建透析器厂房，预计明年底竣工并投入生产。
东南亚瓷砖董事经理祖卡宁在今天的签署仪式后指出：“我们在马六甲兴建国内首个聚砜透析器（polysulf one dialyser）制造厂房，每年产能达200万件。”
出席签约仪式的有卫生部副部长拿督斯里希尔米的代表依兰依德利斯、东南亚瓷砖独立非执行董事端哈基哈林、Proligen董事经理安德鲁、主席扎卡利亚、以及法国SuisseMedTechnologies公司（简称ST公司）主任乔治巴多。
Proligen是土著企业，拥有ST公司的透析器生产专利权。
祖卡宁指出，进军医药领域料能在3年内带来7500万令吉税前盈利；而厂房建设将耗资5100万美元（约2亿2510万令吉），其中80%将向银行贷款，剩余为内容融资。
他补充，在2013年，我国肾病患者人数达3万1637人，且每年以9.5%增长，促使透析器需求量不断增加。
“希望这项合作能让肾脏病人能以可负担的医疗开销，享用具有国际标准的透析器。”
目前，海外对Proligen的认购询问已达380万件，放眼能销售至中东、中国和国内市场。
该公司也将20%产品销售给国内卫生部，没有计划开放销售给私人医疗或相关机构。
3月竞标2大道工程
东南亚瓷砖持股60%的SPAZ私人有限公司，将在3月呈交白沙罗莎阿南疏散大道（DASH）和白沙罗淡江高速大道（SUKE）的竞标书，预料6月有结果。
国民投资机构（PNB）昨日通知，SPAZ已符合竞标上述两项工程配套的资格。
这两大项目分别有8个与9个工程配套；而在这当中，SPAZ公司各别符合4个DASH与一个SUKE工程配套的竞标资格。
霹雳新厂2年完工
东南亚瓷砖先前以2200万令吉，购入位于霹雳的33亩土地，计划新建面积为3万6000平方米厂房，放眼两年内完成。
“这项扩展项目耗资7500万至9000万令吉，新厂房每天的瓷质砖产能，能达1万2000平方米。”
祖卡宁说，目前产能为6000平方米，若市场需求不断增加，未来或推行多两期扩展计划，将产能提高至每日2万4000平方米。

（吉隆坡12日讯）星河控股（XINGHE，0095，创业板）获得丹绒柏勒巴斯港口私人有限公司，更新供应和服务合约，可能贡献约553万8000令吉营收。
该公司向马交所报备，独资子公司星河贸易和交通私人有限公司获丹绒柏勒巴斯港口颁发得标书（LOA）。
星河贸易和交通公司将为该港口，供应原动机和后勤的驱动器，及相关的辅助移动服务，为期1年，从本月1日起至12月底。
丹绒柏勒巴斯港口还有选择权，进一步延长该供应和服务合约。
该公司指出，双方同意每个移动价格为9.20令吉，合约总值胥视该港口所需的服务。
星河贸易和交通自2010年，就已是丹绒柏勒巴斯港口的服务供应商，根据上财年的业务交易，预计最新的合约将为公司贡献553.8万令吉营业额

1) The price of transaction is not disclosed in the announcements.
2) They disposed on 30/12/15, the market price was 0.06-0.065 and closed at 0.065.
3) All the shareholders dispose on 30/12/15, same qty i.e 35,227,500.
4) They disposed via direct business transaction instead of open market.

Who bought those shares?

Pls take note that NTA increased to 0.23 from 0.20 last quarter too.

Profit up 84% compare to last quarter.

The proposal is based on the par value, every Iretex(par 0.40) will be replace with 4 Negram share(par 0.10). When Nexgram market price is 0.15, Iretex market price will be around 0.59 to 0.60. The proposal is feasible.

KUALA LUMPUR (Nov 13): Flonic Hi-Tech Bhd (Valuation: 0.30, Fundamental: 1.65) has proposed to implement a special issue of up to 172 million new shares which are to be placed out to independent third party bumiputera investor(s), thus enabling the company to meet its bumiputera equity compliance.

The proceeds raised from the proposed special bumiputera issue of up to RM8.6 million will be used for working capital.

Pending utilisation, up to RM8.48 million will be placed in interest-bearing fixed deposit accounts with licensed financial institution(s) or in short-term money market instruments, it added.

In a filing with Bursa Malaysia today, Flonic said the issue price of the special issue shares will be determined and fixed by the board of directors at a later date, after all relevant approvals have been obtained.

In any case, the issue price of the special issue shares will not be lower than the par value of Flonic shares of five sen.

"Based on an indicative issue price of five sen, it represents a premium of 0.1 sen or 2.04% from the five-day weighted average market price of Flonic shares up to and including Nov 12 of 4.9 sen," said Flonic.

The ACE Market-listed company added that the special issue shares will, upon allotment and issuance, rank pari passu in all respects with the then existing Flonic shares, except that they will not be entitled to any dividend, right, allotment and/or any other distribution, the entitlement date of which is prior to the date of allotment of the special issue shares.

Depending on the investors' interest at the point of implementation, Flonic said the proposed special issue may be implemented in tranches within six months from the date of approval of Bursa Securities (Valuation: 1.70, Fundamental: 2.30).

"As such, there may be several price fixing dates depending on the number of tranches and timing of implementation," it added.

The proposed special issue is also subject to approvals from Flonic shareholders at an extraordinary general meeting to be convened.

It hopes the proposed special issue will be completed by the second quarter of 2016.

Flonic shares rose 0.5 sen or 11.11% to close at five sen today, for a market capitalisation of RM36 million.
