DETAILS OF THE PROPOSED PRIVATE PLACEMENT
2.1 Placement Size
The Proposed Private Placement will entail the issuance of up to 394,617,000 new
SDHB Shares (“Placement Shares”), representing up to 10% of the total number of
issued ordinary shares of SDHB (excluding treasury shares).
As at 16 April 2020, being the latest practicable date prior to this Announcement (“LPD”),
SDHB has the following outstanding securities:
(i) 3,083,849,878 SDHB Shares (including 18,779,000 treasury shares); and
(ii) 881,099,921 warrants which were issued by the Company on 6 December
2019 and constituted by the deed poll dated 19 November 2019 (“Deed Poll”)
(“Warrants”). The Warrants entitle the registered holders of Warrants to
subscribe for new SDHB Shares at an exercise price of RM2.62 per SDHB
Share at any time until 5 December 2024, subject to the provisions of the Deed
Poll.
To facilitate the Proposed Private Placement, the Board has confirmed that the
Company will not, from the date of this Announcement until the completion of the
Proposed Private Placement:
(a) redeem/reduce/cancel/acquire/buy-back for any consideration any of its
Shares; and
(b) sell/cancel/transfer/distribute any of its Shares currently held as treasury
shares.

Since prce fixing date not annouced yet.. coming average of 5 days will determine PP price..
So .. technically company will want to drive price up.. to get better PP price.. but company not allowed to buyback.. worr.. how ?

2.3 Basis and justification for the issue price of the Placement Shares
The issue price of the Placement Shares shall be determined and announced by the
Board at a later date (“Price-Fixing Date”).
The issue price of the Placement Shares shall be determined by way of the bookbuilding process and shall be fixed at a price which is not more than 10% discount to
the volume weighted average market price (“VWAP”) of SDHB Shares for the 5 market
days immediately preceding the Price-Fixing Date.
For illustrative purposes throughout this Announcement, the illustrative issue price of
the Placement Shares is assumed to be issued at RM1.47 each, representing a
discount of approximately 10% or RM0.16 to the 5-day VWAP of SDHB Shares up to
and including the LPD of RM1.63 per SDHB Share.

2.4 Ranking of the Placement Shares
The Placement Shares shall, upon issuance and allotment, rank pari passu in all
respects with the existing SDHB Shares, save and except that the Placement Shares
will not be entitled to any dividends, rights, allotments and/or any other forms of
distribution that may be declared, made or paid by the Company prior to the date of
allotment of the Placement Shares
