PROTASCO MAKES POLICE REPORT AGAINST DIRECTORS

PETALING JAYA: Protasco Bhd has followed up its legal suit against two of its directors, namely Tey Por Yee and Ooi Kock Aun, with a police report against the two.

On Sept 22, Protasco filed a legal suit at the High Court against Tey, a substantial shareholder of Protasco, as well as Ooi and Indonesian-based PT Anglo Slavic Utama (PT ASU).

It is suing PT ASU to claim back the US$22.2 million (RM71.9 million) it paid as part of its unsuccessful attempt to buy a 63% stake in oil and gas outfit PT Anglo Slavic Indonesia (PT ASI).

Its claim against Tey and Ooi is premised on the breach of their fiduciary and statutory duties, including the duty to disclose their interest in the transaction, conspiracy to defraud Protasco and the making of secret profits from it.

Recently, three directors of Nexgram Holdings Bhd, which was engaged in preliminary discussions with Protasco on a mixed development project in Cyberjaya, resigned following a legal suit against the company’s founder, Tey.

Yesterday kena sue for 27 million, today out of the blue announce 24 million takeover TSSB with project in Fiji. Last I check, this TTSB doesn't even have a website. Very fishy...

Unknown to many, independent and non-executive directors can also be made to share legal liability with decision-making executive directors because part of their job is to monitor the executive director.

These three independent fellows probably resigned because of this reason; a.k.a. kiasi.

People, firstly, this is a civil suit, not a criminal suit, brought against TPY seeking monetary damages. Nobody is going to have to go to jail.

Secondly, the trial is going to take months, years even, before a verdict is returned. Remember, you are innocent until proven guilty. Just because you sue first doesn't mean you're right. People can always counter-sue.

Thirdly, the one being sued is TPY the person, NOT NG the company. Even though it calls TPY's integrity into question, the company is fundamentally sound. Directors, CEOs, CFOs and COOs can all be changed.

Fourthly, the market is only giving short-term knee-jerk reactions concerning this piece of news. Ultimately, it is the fundamentals of the company that matters, and if you look at NG's books, it is very promising.

Therefore, my take is that NG is still an attractive counter.

Looks like the Sensorlink deal is going through, with a few hiccups like the subsidiary and associate thing. Don't know how they could have screwed that up, it makes a world of difference. Hopefully in the days to come, the deal with Protasco can also be wrapped up, then this counter will really have the potential to fly.

Their so-called share buy-back is a farce. 1 batang, 10 batang, the lady boss must think Malaysian investors easy to dupe. This stupid counter always say got how many million cash pile lah, building factory here and there lah, but stingy until don't even want to give dividend, not to mention the share price only goes south. And worse thing is the director or what always threaten to privatise lah, want to delist and re-list in HK. Then why the hell they list in Malaysia in the first place?

I think this counter will only move after confirmation of the property-cum-datacentre project.
TPY has too much in for it to fail or not materalise. NG bought Sensorlink with profit guarantee of 0.15, so it's only a matter of time before it touches that. In the longer term (1-2 years), I am confidence it will touch 1.5 if the project is successful.
