The "someone" does not have insider information. It's all hallucinated information.

Sec 9(1)(a) of the Mental Health Act 2001 is more appropriate.

Section 9. Admission of voluntary patient into psychiatric hospital.
(1) A person may be admitted to a psychiatric hospital as a voluntary patient—
(a) upon his own request;

Huangbk72 Section 188 of CMSA - Insider Trading

Insider trading or dealing is the purchase or sale of a company's securities effected by or on behalf of a person with knowledge of relevant but non-public material information regarding the company that may affect the price of the company's securities (price sensitive information) if made public.

This is related to claims that :

1) Bursa has SIR results and not releasing it for public for the past 3 weeks.
2) EY has cleared SD of audit issues and "someone" here claimed to have the report.

Haha,
After multiple efforts by leaders across the Indian political spectrum, a pseudo-citizenship scheme was established, the "Overseas Citizenship of India", commonly referred to as the OCI card. The Constitution of India does not permit full dual citizenship. The OCI card is effectively a long-term visa, with restrictions on voting rights and government jobs. The card is available to certain PIOs, and while it affords holders residency and other rights, it does have restrictions, and is not considered to be any type of Indian citizenship from a constitutional perspective.

Maybe I should lobby CCP to give person of China heritage/either of their parents/grandparents/great-grandparents were born in China "Overseas Citizenship of China" so that I can Balik Tongsan. I like Hainan Island.

Your neighbor's children ought to be deemed citizens by operation of law under Article 14(1)(a)(b) of the FC.

If your neighbor got married only after giving birth to their children, they will be caught by Section 17 of Part III of the Second Schedule - illegitimate children have to take their mother’s citizenship.

Section 17 is an example of laws that discriminate based on gender.

Has your neighbor tried to apply for citizenship for their children via any of the following?:
Article 15A of the Federal Constitution
Section 1(e) of Part II of the Second Schedule
Section 4 of the Legitimacy Act

(Sslee: these cases will be interesting for you to champion when you decided to be called to the Bar)

Under Article 14(1)(b) of the Federal Constitution, every person born after Malaysia was formed is deemed a citizen by operation of law, if they fulfill any of the conditions in Part II of the Second Schedule of the Federal Constitution.

PART II CITIZENSHIP BY OPERATION OF LAW OF PERSONS BORN ON OR AFTER MALAYSIA DAY

(a) every person born within the Federation of whose parents one at least is at the time of the birth either a citizen or permanently resident in the Federation; and

(b) every person born outside the Federation whose father is at the time of the birth a citizen and either was born in the Federation or is at the time of the birth in the service of the Federation or of a State;

(e) every person born within the Federation who is not born a citizen of any country otherwise than by virtue of this paragraph.

PART III SUPPLEMENTARY PROVISION RELATING TO CITIZENSHIP

17. For the purposes of Part III of this Constitution references to a person's father or to his parent, or to one of his parents, are in relation to a person who is illegitimate to be construed as references to his mother, and accordingly section 19 of this Schedule shall not apply to such a person.

Article 15A of the Federal Constitution (Special Circumstances)

The Federal Government may cause any person under the age of twenty-one (21) years to be registered as a citizen in such special circumstances as it thinks fit.

Such application must be made by the parent or guardian who is relative to the person to be registered.

Go to the Bangsar market and you will see a lot of old people there. Talk to the guy selling fruits and he will tell you interesting stories about everyone's background. A common sad truth is that a lot of them have children who have migrated overseas. And very few of those children will send money back to pay for their parents living needs.

Years ago, there was an old couple who lived alone. Their two sons never visited them. The old folks were cared by a hairdresser and a bank officer in the neighborhood until they passed on.

The old couple's lawyer revealed the following willed distributions in their estate:
- shoplot and cash to be transferred to the bank officer
- house and cash to be transferred to the hairdresser
- their house to be converted to a church
- RM1 to each sons

Obviously the two sons challenged the will in court. The sons lost.

The house is now being used as a church.

Is money spent on air tickets, that will never be refunded, considered wealth?

I think it's not wealth for you. It's wealth for TF who has converted the money into a Tesla and Bombardier private jet.

Sslee Just a gentle reminder on the value of money:

錢,只有花掉的那部分才是真正屬於你的財富
就算家財萬貫,生時捨不得吃、捨不得穿,倆眼一閉,剩下的錢你知道誰花了?冤不冤?這世上最痛苦的事,就是人走了,錢沒花完。

English translation:
Money, only the part that is spent is the wealth that truly belongs to you.
Even if you have plenty of money and if you are so stingy to spend it on yourself then when you pass away do you know how the rest of your money will be enjoyed or wasted away by whom? I have tried AA only once and hated the experience. It was just too mercenary.

I was forced to pay for baggage charges on the return flight, although everything has been paid for the round-trip tickets. The station manager gave a lame excuse that he is not able to contact HQ's call center to confirm the said payment.

Just prior to boarding, I bought a blueberry muffin from a Starbucks store. And that muffin was not allowed to be carried onboard. My wife saw how I looked and knew that it was the last flight ever on AA.

Now it's just MA for flights out of Malaysia. I have the Citibank Prestige card that comes with the Passport card that allows access to all airports in the world.

And the Maybank2 Premier cards enable the fastest accumulation of points for conversion to Enrich miles. I paid only about RM3,000 and Enrich points for 2 return business class tickets to London before Covid. The 1-week rental for a Merc E300 actually costed more at RM5,000.

Yes, money is not money if it's not spent.

i3lurker When you make a lot of money everyday you do not mind spending money.

Frankly to say I hate Air Asia is just not true.
I had never ever travelled Air Asia before
and do not intend to use Air Asia ever for the rest of my life.
Just do not know anything about Air Asia to hate.

There was 1 day my secretary popped in to tell me she booked Air Asia flight for me, I just stared at her coz I was writing a report and was thinking.
She thought I was angry and popped in later to tell me she rebooked me on MA flight and cancelled Air Asia, I also just stared at her.
Did not bother ask her about the burned Air Asia booking money.
Its a small matter, and I guess she also knew it.

keown83,

1) Lessors' interest rates are 7-8% per annum. Just the interest alone will cost AA RM100M per month, a lot more than the RM71M burn rate. Maintenance provision/payables are also huge for leased planes.

2) MAHB and AA are separate entities. Why should MAHB accord special rates for parking to AA?

And in case you forgot the special relationship:

https://www.scmp.com/week-asia/economics/article/3019214/airasia-owes-malaysian-airport-operator-millions-dollars-unpaid

3) & 4) All grounded planes need to pay parking charges and require maintenance - national airlines or LCC airlines. The Bombardier private jet that is used exclusively by TF & Co also need to pay parking charges and maintenance, and the benefit-in-kind has to be reported to IRB.

keown83 @PSAi3alert
1. Most AA's fleet is a leased from several lessors (~80%), Etihad owned most of their aircraft
2. Parking charges is all depend on the airport where they park their fleet. We can't make a direct compare simply like that with other airline in other country with other airport operator. MAHB is a GLC, while AA has closed relation with government. they have enjoyed lots of benefit when it comes to airport services for airliners, i think they enjoyed the most compare to other small players
3. Etihad is like MAS, both a government-arm of commercial air travel services
4. if u want to compare, compare Etihad with MAS

Grounded planes are costly to maintain.

Parking is USD1,000 per day. So a fleet of 200 aircraft will need to pay RM25M per month for parking charges.

There are also a lot of costs involved in maintaining the planes.

Unless Tony just throw the keys to the 'jaga kereta' guys and ignore those maintenance requirements that have been explicitly stated in lease agreements.

https://www.bloomberg.com/news/features/2020-04-16/coronavirus-travel-what-happens-to-planes-grounded-by-covid-19

"Abu Dhabi-based Etihad Airways PJSC said its engineers are working around the clock maintaining its grounded fleet, a process that includes running engines and powering up aircraft, checking flight controls, and covering sensors and engines to protect inner workings from sand and dust. About 200 staff per shift clean plane cabins in hangars, from replacing seat covers to shampooing carpets, according to a video on the airline’s official Twitter account.

Tires also need attention. Qantas Airways Ltd. said all planes from Boeing Co. 737s to Airbus SE A380s need to have their wheels rotated — by being towed on the tarmac or jacked into the air to be spun — every one to two weeks, while hydraulic fluid is put on landing gear to protect against rust. Giant silica moisture absorption sachets are also put inside engines to keep them dry, while all external holes on the fuselage are covered to block insects and nesting birds."

pearlwhite,

Your post balance sheet event suggestion may work after a reporting period but before the financial statements for that period have been issued.

Let's talk about a specific project - the 45 metric tonne per day Chlorine Skid Mounted Chlor-Alkali Plant in Tanzania

--- Funds Used in the Tanzania Project ---

Serba's 31 Dec 2019 Financial Results showed that RM111.113M was used in the Tanzania project
Utilisation of Proceeds from Private Placement on 30 January 2018

Details of utilisation of proceeds: Working capital for the EPCC work in Tanzania
Actual Utilisation: RM 111.113M

--- Income recognized from the Project ---

The total income recognized from the Tanzania project is RM194.813M and comprises:

FYE 2018: RM29.82
FYE 2019: RM104.02
15 months ended 31-03-2021: RM60.973M

1) As at 10th Sep 2021, Google Map's satellite image of the site (Msufini Area, Mlandizi Ward, Kibaha District, Tanzania) is still showing that it is still a piece of empty land. Nothing has been developed and there is no equipment at the site.

2) Junaco (T) Limited and the directors, Justin Lambert and Vedastina Lambert remain insolvent and does not have any assets to satisfy judgment debts owning to numerous claimants in Tanzania.

3) In July 2019, the African Development Bank issued a request for expression of interest for Consulting Firms to be the Lenders’ Technical Advisor (Consulting Firm) for the construction and operation of Chlorine Chlor-Alkali plant in Tanzania. The services to be provided under the Assignment included: "Development of 45 Mtpd (over 16, 200Mtpy) Chlorine Chlor-Alkali plant in Msufini area, Kibaha district coast region of Tanzania." This request invariably suggest that there is no existing Chlorine Chlor-Alkali plant in Msufini area, Kibaha district coast region of Tanzania as at July 2019.

4) the JV company that owns the plant in Tanzania is Sufini Holding Ltd (CBLS No 11545098 BL local no 000001141). Sufini's business license has expired as at 19th Feb 2021.

Are you now alleging that:

--->>> RM111.113M was actually transferred to Sufini Holding Ltd as working capital for the EPCC project in Tanzania

--->>> The receivables totaling RM194.813M as at 31st March 2021 for the Tanzania have been paid by a few remittance advice from unknown entities; for products/services from a non-existent plant; to Sufini with expired business license?

--->>> And you personally seen evidence of the 'few remittance advice' to settle the receivables for the Tanzanian project

-

Thanks. Appreciated the previous analyses and work done by you too. But I do not consider them up to the threshold of "auditing standards". But to each their own. You may be from another industry. I understand that.

There's no need to raise cash to redeem the RM1.7B bond due next year.

The company can just redeem the RM1.7B bond now trading at 40% of face value.

Just pay RM680M from cash balance and book the RM1.02B as negative interest expenses (negative interest expense means positive interest income).

The information is gathered from publicly available information such as Google maps, grounds of judgment from Courts, licensing authorities, company searches with the SSM equivalent, etc. All sources have been cited.

On your d):
Johan did not say wrongdoings have not been found. More importantly, actions for wrongdoings are by the public prosecutor.

On the other hand, you have stated that you have complete evidence to proof that SD is cleared of any wrongdoings. And the information that is in your hand now is non-public insider information.

So, pearlwhite, are you publishing insider information?

pearlwhite .

a) Does it mean taking images from google maps to say the office/project/ site is "unverifiable and uncrediable or dubious" is not fake news?

b) Does it mean taking publicly available information from Annual reports and conducting your own research and presenting them as "unverifiable and uncrediable or dubious" is not fake news?

c) Do a) and b) methodology mean that "obtaining sufficient, appropriate and complete evidence" has been conducted?

d) Does it mean that when "Johan come on record to say INED will take action if any wrongdoings are found" before SIR is announced is disclosing inside information?

3 examples above are criminal offences

pearlwhite,

You are either spreading fake news or disclosing inside information prior to release to Bursa.

Both are criminal offences.

Yes, I did fault SD at that time and now, since that date and with the SIR finalised more than 2 weeks ago, that has now changed, with new information at hand.

And now I fault KPMG. Where did I fault KPMG? Apart from the process, I also fault on their "obtaining sufficient audit evidence"

I shall use 1 generic example that you have previously highlighted. No names.

Generic example.

Sslee,

You'll buy first and attend all AGMs and EGMs after buying and you will ask Tony:
- why aren't the tires of the grounded planes rotated on a scheduled basis
- how come plane engines have so much bird poo
- are the number of peanuts and ikan bilis the same for each packet of nasi lemak
- what's the company's policy on LGBTQ for hiring flight attendants and pilots
- why so much receivables have been written off
- why so much LTIS and SGS are being issued

And because you cannot get the answers, you will keep buying. Until you become a majority shareholder just prior to delisting.

Since you have not done the above, I don't think you are trying to buy low.

Sslee And you condemn when you want to buy low.
So am I trying to buy low?

YES, KARIM KNOWS THE OUTCOME. THAT IS WHY HE SUE KPMG FOR AUDIT PROCESS NOT SUE ON DISPUTED RM3.5 BILLION TO RM4.5 BILLION.

IF KARIM SUE TO SAY RM4 BILLION IS GENUINE, SD CAN FLY. BUT KARIM SUE ON PROCESS!

THE ANSWER IS OLEDI KNOWN. EY WILL MERELY CONFIRM KPMG RESULTS.

THERE WILL BE FINES, READJUSTMENT TO PRIOR YEAR ACCOUNTS STARTING MAYBE 2014 ONWARDS, ETC.

19/07/2021 4:18 PM

pearlwhite .

People don't realise when Karim shares is "forced sell", you wouldn't be looking at 30 sens, 20 sens. You are looking at below 10 sens since 1 billion shares will be offloaded and you have 100% market floated shares.

All those pointing out that 30 sens is coming did not do their homework properly and analyse the situation factually.

Many are making baseless emotional posts. If SD did wrong, I will post facts and how they did it wrong. If they did right, I will post facts and commend them.

Yes, you might have noticed that I have been commending them because they did alot of rights and KPMG did a lot of wrong, apart from the dark forces.

Yes, everyone entitled to opinions, but If you cannot have facts (even if you misinterpreted wrongly) put up here, better not post.

I am more willing to listen or read in this case, as to how SD did wrong and up to today, SD keep making more wrongs.

Still harping on issues on 31/3/2021. Don't tell me until today, issues in 31/3/2021 still stands?

If you have experience dealing with SIR/Audit in general, please share them out here. Tell us where SD went wrong.

Wonder if TF & Co is paying taxes for the benefit-in-kind (BIK) probably valued at RM8M per year? At the maximum 30% personal income tax rate, RM2.4M taxes per year ought to have been paid for the private jet BIK.

On the other hand, profited driven hospitals are taking advantage of the situation. Have a look at IHH's recording breaking revenue and profit numbers. The costs for Cat2 Covid treatment in Pantai KL is RM200-300k. And may exceed RM400k if conditions worsen to ICU. The medicines will be the same. Favipiravir antiviral, Dexamethasone, Zithromax and Paracetamol.

1. ask for photocopy Mykad (can pass to Ah Loong later)
2. ask for witnesses.
3. ask for remaining sample of patties not eaten
4. ask for date, time and name of person serving.
5. ask for bank statement (can pass to Ah Loong later)

after 20 days can just close the refund demand case and refuse to refund any money

Negative RM5.58k means owing Ah Long RM5.58k

The average 2017-2019 earnings is only RM0.3k.

EI & DO items have to be excluded from earnings. Those items were profits from sale of the store and leaseback; selling of all tires from the store; etc have to be excluded.

In addition gas prices were particularly low in those years, going forward gas and social distancing costs will be high.

So 18.6 years (5.58/0.3) will be needed just to pay back Ah Long. And that's provided Ah Long does not charge default interest, rental step-up and liquidated damages.

DickyMee Ok la,I help you to fix your broken burger stall example:

Burger stall 2019 equity was RM2.91k

Due to Covid-19, in 2020 burger stall suffered losses, owe supplier and customer money and equity is now negative RM3.58k.

Estimated losses for 2021 is RM2k. So 2021 equity will be negative RM5.58k.

Based on 3 years average 2017 - 2019, burger stall can make RM1.18k a year. So burger stall need about 7 years to reach back equity of RM2.91k.

Negative equity of -4,190.522M as at 31st March 2021 simply means all shareholders funds gone and shareholders still owe RM4.19B to creditors.

Clearly aircraft leases and maintenance provision/payables are the biggest liabilities.

'Hell or high water' clause is one of the cornerstones of an aircraft operating lease.

Rent and maintenance provisions have to be paid regardless of global pandemic. Airlines can try to argue force majeure or frustration but will certainly fail (see Salam Air v Latam, ACG Acquisition vs Olympic Airlines, Wilmington Trust SP Services v SpiceJet Limited)

Defaults in paying leases will also result in default interest, rental step-up and liquidated damages - and none of them will constitute a penalty (penalty clauses are unenforceable under English Law). See also De Havilland Aircraft of Canada vs SpiceJet Limited.

Around the same time when Tony buys an expensive toy, Creador foundation donates RM6.15M worth of equipment to Tung Shin hospital.

Creador Foundation’s founder and chief executive officer (CEO) Brahmal Vasudevan said that the objective of this initiative was to support established non-profit hospitals such as Tung Shin Hospital so that they are able to continue offering top quality services to their patients who are mostly from the B40 income group.

“Creador Foundation is committed to supporting causes that generate sustainable social impact for the community, in particular for those from lower-income backgrounds. We recognise that support like this is even more critical during times of crisis, like what we are experiencing now with the Covid-19 pandemic, which leaves those from lower-income households even more vulnerable to financial hardships,” he said in a statement today.
