We refer to the offer document dated 24 September 2018 (“Offer Document”) and the previous announcements made in relation to the Offer.

The Board of Directors of DBE (“Board”) wishes to announce that DBE has today, received a press notice from AmInvestment Bank Berhad, on behalf of the Offeror, informing that the Offer has closed at 5.00 p.m. (Malaysian time) on Monday, 15 October 2018 (“Closing Date”).

As set out in the Offer Document dated 24 September 2018, the Offer is conditional upon the Offeror having received valid acceptances by the Closing Date which would result in the Offeror, the Joint Ultimate Offerors (as defined herein) and persons acting in concert with it (“PAC”) holding in aggregate, together with such DBE Shares that are already acquired or agreed to be acquired, held or entitled to be acquired or held by the Offeror, the Joint Ultimate Offerors (as defined herein) and PAC, more than 50% of the voting shares of DBE (“Acceptance Condition”).

As stated in the Offer Document:-

Dato’ Doh Jee Ming, Dato’ Doh Tee Leong, Dato’ Doh Jee Chai, Dato’ Doh Neng Chiong and Datin Lee Hong King being substantial shareholders of Setia Awan Plantation Sdn Bhd, which in turns holds 100% shareholdings in the Offeror, are deemed as the joint ultimate offerors for the Offer (collectively, “Joint Ultimate Offerors”); and
Setia Awan, being the holding company of the Offeror, is deemed to be a PAC in accordance with section 216(3) of the Capital Markets and Services Act, 2007.
As at 5.00 p.m. on the Closing Date, the Offeror, the Joint Ultimate Offerors and PAC hold in aggregate, valid acceptances together with such DBE Shares that are already acquired or agreed to be acquired, held or entitled to be acquired or held, approximately 38.34% of the voting shares of DBE. As such, the Acceptance Condition has not been fulfilled.

Accordingly, the Offeror shall return all the DBE Shares and DBE Warrants which have been transferred into the Central Depository Account of the Offeror pursuant to the acceptance of the Offer by the respective holders.

In accordance with Paragraph 13.01 of the Rules on Take-overs, Mergers and Compulsory Acquisitions, the detailed disclosure of level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on the Closing Date is set out in the attached press notice.
