The matter would certainly be raised by shareholders in an upcoming extraordinary general meeting (EGM) by Kulim to vote on the deal.
Kulim’s board of directors have until Nov 20 to approve JCorp’s proposal at its present terms.

Despite the offer, I think it's still undervalued, as its land banks were valued dated back 1997/98. The offer price should be higher to reflect the current value of its land banks. It's only fair to the minority shareholders if the offer take into account of these re-valued land banks. Agree?

PROPOSED SELECTIVE CAPITAL REDUCTION AND REPAYMENT EXERCISE PURSUANT TO SECTION 64 OF THE COMPANIES ACT, 1965
We wish to announce that the Board of Directors of Kulim (“Board”) has today received a letter from its major shareholder, Johor Corporation and parties acting in concert, requesting for the Company to undertake a selective capital reduction and repayment exercise pursuant to Section 64 of the Companies Act, 1965 (“Act”) (“Offer” or “Proposed SCR”). The Proposed SCR entails a capital repayment of the proposed cash amount of RM4.10 per ordinary share of RM0.25 each in Kulim held by the entitled shareholders of Kulim on an entitlement date to be determined later.
The Offer will remain open for the Board’s acceptance until 5.00 p.m. on 20 November 2015. The non-interested directors will deliberate on the Proposed SCR and upon consultation with an Independent Adviser to be appointed will decide on the next course of action. Accordingly, a further announcement will be made in due course.
Please refer to the letter of Offer for further details on the Proposed SCR.

Why? I bought 3, 3.05, 3.1, 3.2, 3.3 and highest 3.35 b4 ex. then 2.80, 2.7, 2.65 and now waiting for 2.60. Getting more and more attractive! Don't you think so? Why feel so........ I think it's a good opportunity to accumulate more when the price become cheaper. I believe the price is going to rebound soon. Hopefully before the release of next quarter result. See whether I'm right.

To my knowledge, Sifu and his members have been there since n years ago. Last year high 1.6+ also didn't sell. I believe they might have bought more before and/or after the release of last quarter financial results. You and me know this is a solid counter, they know even better than us. What say you? hopefully more to come. It's not easy to find a good company that consistently making profits, paying attractive dividends, has a lot of cash and financial assets, And more important, it's still undervalued by whatever yardsticks. For Hexza, this year financial performance is much more better then the previous few years. And I predict next year will be better. Buy or sell? That's your choice. Good luck!

The Fact: Kulim’s 2014 Annual Report: “Freehold and leasehold plantation lands of the Group have not been revalued since they were last revalued in 1997. The directors have not adopted a policy of regular revaluations of such assets and no later valuation has been recorded. As permitted under the transitional provisions of IAS 16 (Revised) Property, Plant and Equipment, these assets continue to be stated at their 1997 valuation less accumulated depreciation.” See Page 315-319 also.
The Question: What would happen if the lands were revalued? If so, when?
The Implication: EPS, NTA, ROE, DPS…..???
The Conclusion: The share price will go up!!!

Kumpulan Wang Persaraan (KWAP), for reasons unknown to most of us, has been selling down its stake to 93,888,900 [79,366,500] shares as at 03/04/2015 [18/06/2015], from 103,651,900 shares as at 5-05-2014 (Note: The highest level of shareholding was 107,351,800 on 5-02-2015).
Note: Selling about 300 lots everyday.
The Point: When will KWAP stop selling and how low the share price will go? Will the price rebound when KWAP stop selling? If so, when?
*I'ii buy, if I know the price will go up; I won't sell, even if I know the price will go down, because I believe sooner of later, the price will go back even higher than the price if I sell now. Agree?

Just buy before the release of 1st quarter result in May and hold for special dividend of about 38 cents to be declared next year. Let's see how low KWAP want Kulim's share price to be. Perhaps, the lower the better, if you're looking to accumulate more for long-term investment.
Don't worry about the fundamentals, just the land banks alone already worth at least RM4b and the sale proceeds of RM3b from NBPOL. And who know the share price to double/triple in 3, 5, 7 years!
What's the risk? Think about it before you're thinking for the the return from your investment.

Please take a look at Note A12 of the latest NOTES TO QUARTERLY REPORT ON CONSOLIDATED RESULT:
Corporate guarantees in favour of bankers for providing banking facilities to subsidiaries: RM113,764,000.00
What does it means? Shouldn't it be an issue of concern?

yup, I've seen KWSP, KWAP, LTH, PNB (ASB, ASM, AS1M) dumping good and well-managed companies like GTRONIC, PBA, PCHEM, Bursa, etc at very cheap prices for reason unknown to us. So, I'm not surprised by the move of KWAP this time. I'm waiting for next year special dividends.
DUMPING: "A standard technical definition of dumping is the act of charging a lower price for the like goods in a foreign market than one charges for the same good in a domestic market for consumption in the home market of the exporter. This is often referred to as selling at less than "normal value" on the same level of trade in the ordinary course of trade. Under the World Trade Organization (WTO) Agreement, dumping is condemned (but is not prohibited) if it causes or threatens to cause material injury to a domestic industry in the importing country."
Perhaps the idea could also be applied in stock market. Let's see who gain and who lose?

Hey, what happened to the people who manage the Kumpulan Wang Persaraan portfolio? Almost all the selling for the past 2 weeks or so was from KWAP. Moving funds to support something else? Anyway, it's your rights to sell your share at whatever price you like. Yes, there might be some to think the way those people think, but not all and not all the time.

KULIM's share price closed 3.28 on 27-02-2015: Buy or sell?
To buy: If share price is expected to go up. Why go up?
1. Special dividend of RM0.3765 per ordinary share, from the disposal of 73,482,619 ordinary shares in New Britain Palm Oil Limited (“NBPOL”), for a disposal consideration of approximately GBP525.40 million, ex on 10/03/2015 and to be paid on 23/03/2015.
2. And there will be another special dividend of about the same amount as above to be paid next year.
3. Kulim expects to realise a gain on disposal of approximately RM1.56 billion. Expect next quarter financial results will be very good!
4. On 26 February 2015, the company announced that that the Disposal was completed on
even date, following the receipt of the Disposal Consideration from Sime Darby
Plantation. CASH GBP525.40 million @ RM 5.5 - 5.6 per Pound or about RM 3 billion!
5. (EATECH, 5259) market cap and its forthcoming 1 cents per share dividend.
