董事為何辭職？


上市公司的董事部變動向來深受投資者關注，因為董事部是企業的最高決策單位，任何對公司營運和財務帶來重大影響的決策，都需要通過董事的審核和拍板批准。

尤其是獨立董事，更是身負重任，他們可說是小股東的守護神，為眾多股東把關，防止公司出現貪贓枉法和出賣股東利益的事件發生。

因此，若有董事（尤其是獨立董事）辭職，我們都想知道，到底發生了甚麼事情。
根據上市條例，若董事部出現變動，上市公司必須發出文告公佈，並說明辭職原因。
但是，這些文告很多時候都有如官樣文件，所填寫的辭職原因不外乎“個人因素”，或是“另謀高就”，投資者無法從中瞭解，該董事離職，究竟是普通的人事變動，抑或是另有內情。
有的公司更誇張，直接在辭職原因一職填上“辭職”，說了等於白說，根本就是敷衍了事。
不過，最近一家公司的董事變動文告就極為特別，這家公司就是涉及違規行為和董事局爭奪戰而備受矚目的SCNWOLF機構（SCNWOLF，7239，主板工業產品組）。
該公司獨立及非執行董事王星源（譯音）日前宣佈辭職，原因是“與管理層意見分歧、及避免捲入董事部糾紛”。
同時，他也不再擔任稽查委員會主席和調查委員會成員。
這事件顯示了，SCNWOLF機構不斷上演的董事部糾紛，不僅令小股東和投資大眾厭煩，連獨立董事也“沒眼看”，認為再做下去也無濟於事，無法幫忙解決公司的問題，也不想再趟渾水和被牽連其中，干脆揮揮衣袖一走了之。
這位獨立董事退出，也給了該公司一個警訊，董事部紛爭若不早早解決，該公司遲會被市場所唾棄。
不過，涉及紛爭的董事和大股東可能也聽不進去，他們為了保住控制權，早已殺紅了眼睛，寧為玉碎不為瓦全，就像本地的一個著名華教組織一樣。（星洲日報／投資致富‧投資茶室‧文：李勇堅）

as an independent auditor, EY only have to review KPMG's qualified statement, NOT full audit... It takes more than a month to confirm and verify a few transactions, does NO make sense...

Malaysia's society is very unique... Even today, many people still "worship" Najis... If all independent directors resign at the same time to protest against the management... As an educated investor, you still believe that the management team is "clean and honourable". ....????

When NO BIG 4 want to audit 1MDB.....1MDB appointed a "shoplot" international affiliated auditor......

just think about it... there are more than 75% chances that EY is not able to give "positive" review to SD account.....&....Why NO BIG 4 wish to take over SD audit.???..... What happened??....???

SD set very BAD example.............. "You query my accounts, I sue you" ---- In future, No auditor will able to do their works without fear of being sued by their clients and give investors a "fair and true" audit report.....

MIA and other audit firms should stand up to fight against "corporate bullying" practises and defend their professional integrity and honour...

Suing Auditor,....before audit report........It show that the management team has no respect to the value and importance of corporate compliance & governance.... What they are doing is mis-use of legal tools to intimidate to external auditor.....

We should sell their shares to protect our interest and teach them a lesson....
