The tie-up with Pathway Genomics is a pleasant surprise. from a brief look at the company, it looks legit and seem to sell an interesting product. Its quite pricey, but i suppose its a good product for the company to upsell to wealthier health clients.

at the very least, it can help it sell its imedic platform to other countries.

whatever it is, i dont think the forum here would affect the market too much. if there are people who wants to scalp, then that's fine - that's their playstyle. one day price goes up, the other day price goes down.

ultimately, the fundamentals are the key part. to me, the key question is whether the company makes money, and will they make more money in the next quarter? with palette, i'm quite confident.

am quite confident in the stock. company's been around for nearly 20 years and has been on-and-off profitable. no debt, asset-light, and if i read the new contracts right there's going to be more revenue in this financial year than the few previous years combined.

only concerns are whether they can deliver on these new contracts, and whether they can collect. seems to be very dependent on a small number of customers.

if they make this work then the story here is a tech company about to take off from its commercialisation/expansion stage. we'll see how it goes, i suppose.

they'll be toning down the aggressiveness in getting new projects, so they'll have more quality customers. a few upcoming bids should replenish the orderbook. performance for esos based on share price.

overall, its positive. they seem to be on the right track.

it is quite unfortunate that this happened - in the end, only around 20% of the total voted.

for those who are holding on, there may still be value - investwin's calc is correct, and there's also the special dividend to account for.

nevertheless, i have dispensed with my shares as i have less confidence in then management as i had before. until the whole issue as to what mayland is trying to do is clear, its too risky for my portfolio.

yes, i need to look again at the report, but that's the concern.

as to whether you should sell it to 20 sen, i dont think that's going to change anything. mayland is required to take up at least 820 mil of the RI - whatever the price of the parent may be.

one positive thing is that mayland cant vote during the meeting. ive not heard any commitments from the institutional funds, so if someone can raise the issue (and quote the issues raised by mswg) the institutional funds may be persuaded to vote against too.

I had a meeting, so i arrived at the end of todays mswg. I have another meeting tomorrow morning but i have sent my proxy form - i dont mswg will attend, they are there just to educate us shareholders.

But as a shareholder i recommend that anyone attending the egm tomorrow to raise questions: ask about the receivables from subsidiaries, cgpm's profitability, the land valuations, the costs to develop them. Also ask why raise funds by issuing shares instead of financing - and is this part of maylands attempt to clear their balance sheet in order to list themselves. Ask them, is this l&g's proposal or mayland's ?

Tell them l&g isnt a subcontractor for mayland - they expect us to buy their land, raise the funds, develop their lands, and then share the profits?

Then vote against the proposal. It creates no value for the company, or its shareholders.

Minority shareholders meeting highlighted an important point: one of the value propositions (worth 180 mil) is actually a receivable from a subsidiary. Rather sneaky of them to put that in the proposal hoping the shareholders dont notice.

why would that be the best strategy - by putting more money into the RI and essentially giving more money to the majority stakeholder who would at the same time be increasing their stake, it's actually the worst outcome, both in terms of increasing your exposure and by surrendering an even larger portion of the voting rights.

there is no guarantee of the profitability of the new land parcels - only two are currently being developed, the others are just at the proposal stage and require l&g to bear development costs.

what is guaranteed is that the value of the cash per share will fall.

if l&g closes shop tomorrow and distributes just the cash it has right now to its shareholders, every owner of the 1.1 bil outstanding shares will see a profit. when the number of shares go up (at the minimum) to 2 bil, the cash per share gets halved. how much is 471 mil / 2 bil? (or 3 bil, if everyone exercises the RI)?

the RI does not create value for l&g. the question is who is it creating value for?

I see eric fong's argument but disagree with his conclusion. Equity is a far more expensive choice to raise financing than debt, especially with its relatively low gearing and high cash pile. The special dividend as a way to ameliorate buy in cost is also not very convincing - the dividend nowhere near covers the cost, it goes against the reason why you want to issue new shares (to get more cash), and the dividend doesnt just go to the minority shareholders. As far as i know, mayland will also be getting the dividend for theor 30%.

I think its just a way to boost the price to entice people to exit and not cast their vote. Especially since they time it just right that whoever bought it on 10/3 wont be eligible to vote during the egm

just to note: people who've sold their shares today til next week can still vote - your names wouldve been in the registers as at yesterday. however, what's the chances of someone who sold their shares coming up to vote?

spoke with some of the heads recently. the purchases doesnt seem great but they do need to replenish their land bank. not so confident about the rights issuance and definitely not okay with the mandatory offer waiver. still kinda think it's part of mayland's effort towards getting itself listed.

i'll be voting to allow the purchase, but im not agreeable to the rights issuance nor the mandatory offer waiver. they'll have to find some other way to finance the deal if l&g (and mayland) wish for it to go through.
