The basis of 7 Rights Shares for every 1 Consolidated Share was arrived at after taking into consideration, among others, the following:
(i) the issue price of the Rights Share which has been fixed at RM0.25 each;

Issue price of the Rights Shares
Our Board has fixed the issue price of the Rights Shares at RM0.25 each after taking into
consideration, amongst others, the following:
(a) the TEAP* of Heng Huat Shares of RM0.2951 (calculated based on the theoretical adjusted
reference price of Heng Huat Shares (after the Proposed Share Consolidation) of RM0.7910,
which in turn is calculated based on the 5D-VWAP of Heng Huat Shares up to and including
the Announcement LPD of RM0.0791). The issue price of RM0.25 per Rights Share is at a
discount of RM0.0451 or 15.28% to the TEAP of Heng Huat Shares of RM0.2951;

Proposed Share Consolidation
NetX intends to undertake the Proposed Share Consolidation involving the
consolidation of 50 NetX Shares into 1 Consolidated Share. As at 9 July 2020, being
the latest practicable date prior to the date of this announcement (“LPD”), the issued
share capital of the Company comprises 5,245,763,316 Shares.
Pursuant to the maximum allowable amount under the share issuance scheme of the
Company (“SIS”), the Company is able to further grant an additional 13,089,044 options
under its SIS (“SIS Options”) which may then be exercised by the respective SIS
Options holders. In conjunction with the Proposals, the Company has undertaken not
to grant any further SIS Options from the LPD until completion of the Proposals.

The Board intends to fix the issue price of the Rights Shares such that the issue price is at a range of discount between 20% and 50% of the TEAP. This was determined by the Board after taking into consideration the need of the Company to price the Rights Shares at an issue price deemed sufficiently to encourage subscription of the Rights Shares and to enable the Group to raise the necessary funds required for the proposed utilisation as set out in Section 4 of this
announcement; and
(d) the rationale for the Proposed Rights Issue with Warrants, as set out in Section 5 of this announcement.
The illustrative issue price of RM0.10 per Rights Share represents a discount of approximately 31.97% to the TEAP of NetX Shares of RM0.1470, calculated based on the 5-day VWAP of NetX Shares up to and including the LPD of RM0.0114 and after adjusting for the effects of the Proposed Share Consolidation as well as assuming an illustrative exercise price of RM0.10 per Warrant C.

(i) proposed consolidation of every 50 ordinary shares in NetX (“NetX Shares” or
“Shares”) into 1 NetX Share (“Consolidated Share”) (“Proposed Share
