PROPOSED CONSOLIDATION OF EVERY 5 ORDINARY SHARES IN PUC ("PUC SHARES") INTO 1 PUC SHARE ("PROPOSED SHARE CONSOLIDATION")
On behalf of the Board of Directors of PUC, MIDF Amanah Investment Bank Berhad is pleased to announce that PUC intends to undertake the proposed consolidation of every 5 existing PUC Shares held by the shareholders of PUC, on an entitlement date to be determined later, into 1 PUC Share.

RATIONALE FOR THE PROPOSED SHARE CONSOLIDATION
The Proposed Share Consolidation is expected to enhance the Company’s share capital structure. As PUC Shares are currently traded at relatively low trading price range, a small absolute movement in the share price may be significant in percentage terms. The Proposed Share Consolidation will result in a reduction in the number of PUC Shares available in the market that may reduce the volatility of the trading price for PUC Shares.

As illustrated in Section 2.2 of this announcement, the Proposed Share Consolidation will increase the reference price per PUC Share which may enhance the Company’s profile amongst investors. The Board is of the view that the higher trading price of PUC Shares following the Proposed Share Consolidation will encourage investors to view the Consolidated Shares as a long-term investment rather than a ‘penny stock’ prone to speculative pressures. The Proposed Share Consolidation may help to increase market interest and activity in PUC Shares and render PUC Shares more attractive to investors.

NetX intends to raise a minimum of RM10.0 million from the Proposed Rights Issue with Warrants to meet the funding requirements of the Group, which will be channelled towards the proposed utilisation as set out in Section 4 of this announcement.
In view of the above, the Board has determined to undertake the Proposed Rights Issue with Warrants based on the minimum subscription level of 100,000,000 Rights Shares together with 50,000,000 Warrants C (“Minimum Subscription Level”)
To meet the Minimum Subscription Level, the Company has procured undertakings from Tan Sik Eek (Executive Director of NetX), Yong Ket Inn (Independent Non-Executive Director of NetX) and Charissa Lim Zhu Ai (Chief Executive Officer of Gem Live Sdn Bhd, an indirect subsidiary of the Company) (“Undertaking Shareholders”) (“Undertakings”), to apply and subscribe in full for their entitlement of Rights Shares and additional Rights Shares not taken up by other Entitled Shareholders by way of excess Rights Shares application, to the extent such that the aggregate subscription proceeds of the Rights Shares received by NetX arising from the subscription by all Entitled Shareholders and/or their renouncee(s) amount to not less than RM10.0 million
