SEB will, as an integral component of the Composite Scheme, undertake the following corporate exercises on or before the Effective Date:
(i) a proposed share capital reduction exercise, which will entail an application to the High Court of Malaya under section 116 of the Companies Act for the writing-off of the following items which are lost or unrepresented by the available assets against the accumulated losses of the Sapura Group:
1) the writing-off of RM[xx] of the share capital; and
2) the writing-off of RM[xx] of Reserves, where applicable.
(ii) the proposed share consolidation of every 20 existing ordinary shares of SEB into 1 consolidated ordinary share of SEB;
(iii) the proposed reduction of the conversion ratio of the RCPS-i from 1 RCPS-i to 1 ordinary share of SEB to 1 RCPS-i to 0.4 ordinary shares of SEB.
(iv) the proposed settlement by SEB of a portion of the Outstanding Liabilities of the MCF Obligors amounting to approximately RM500.0 million by way of the issuance of 500,000,000 new ordinary shares in SEB at the issue price of RM1.00 per share;
(v) the proposed settlement of a portion of the Outstanding Liabilities of the MCF Obligors amounting to approximately RM0.6 billion by way of the issuance of 500,000,000 new SEB ICUIDS-I at an issue price of RM1.20 per SEB ICUIDS-I;
(vi) the proposed settlement of a portion of the Outstanding Liabilities of the MCF Obligors amounting to approximately RM0.4 billion by way of the issuance of 250,000,000 new SEB ICUIDS-II at an issue price of RM1.60 per SEB ICUIDS-II;
(vii) the proposed settlement of a portion of the Outstanding Liabilities of the MCF Obligors amounting to approximately RM0.5 billion by way of the issuance of 250,000,000 new SEB ICUIDS-III at an issue price of RM2.00 per SEB ICUIDS-III;
(viii) a proposed fund-raising exercise to raise approximately RM750.0 million by way of the issuance of [1,041,666,667] RCLS-1 to the White Knight at an issue price of RM[0.72] per RCLS-1; and
(ix) a proposed fund-raising exercise to raise approximately RM1.05 billion via the issuance of [1,166,666,667] RCLS-2 to the White Knight at an issue price of RM[0.90] per RCLS2.

(ii)-(iii)-(iv)-(viii)-(ix) checkmate
