Reference is made to the announcement of the Company dated 3 August 2020 (“Announcement”) and
the letter dated 5 August 2020 (IQL-05082020-00001) from Bursa Securities in relation to the subscription
by DGB of additional 8,000,000 new ordinary shares of USD0.125 each in CLI Investment for a subscription
consideration of USD998,851 (Approximately RM4,245,115) in relation to the total subscription of
2,400,000 ordinary shares by the Company in CLI Investment. Unless otherwise stated, all abbreviations
and definition used herein shall have the same meanings as those defined in the Announcement.
The Board of Directors of DGB (“Board”) is pleased to furnish the following additional information as
required:-
1. The date on which DGB paid the Subscription Consideration of USD998,851.
The Subscription Consideration was paid on 29 July 2020 in accordance to Clause 2.1 of the SSA.
2. Whether the Subscription Consideration will be refunded to DGB with or without interest. If
yes, state the percentage.
Pursuant to Clause 2.3 of the SSA, prior to the due fulfilment of any Condition Precedent by the
Parties, the Subscription Consideration shall be deemed to be held in trust by CLI Investment and
shall at all material times be refunded without interest by CLI Investment to DGB in the event the
SSA is terminated by either Party or the Parties fail to complete the subscription of the Subscribed
Shares on or before the Completion Date or any other date determined by DGB in its absolute
discretion.
3. The estimated timeframe to complete the Subscription.
Pursuant to Clause 3.1 of the SSA, the Parties have one (1) month from the date of the SSA to fulfill
the Condition Precedent stipulated in the SSA and pursuant to Clause 4.1 of the SSA, the subscription
of the Subscribed Shares shall take place within three (3) days of the fulfilment of the Condition
Precedent.
