i am submitting to my nominee that i vote against for all 10 resolutions except for resolution 5 (re-appointing auditor).

i strongly suggest all shareholders do the same to do our part in whatever way can to ensure our interests are looked after.

its unfortunate that a resolution for removal of directors can only be put forward by somebody who has more than 5% share - making it out of our reach.

lets get shareholder acttivism right front and center at the AGM. Call all media and promise them fireworks at the AGM/EGM. sure get coverage and attention of SC and MSWG

how i wish some go on reddit and get the knm pushed double limit up to scuttle this private placement.

because if they do issue placement shares at 80% discount, then any shareholders can bring the whole board for failing their fiduciary duty to look after the best interest of the company and the whole deal can be nullified. if lucky, have the b4stard make restitution payments to other shareholders.

@kenul80: barakah go around town selling the block of placement share. Company will meet with prospective buyers like JK22, HrryPttr or anaktodak and present the case why these prospective buyers should take up the placement block of shares.

impact to current shareholders: dilution.
capital base will get bigger by the amount of new shares to be issued under this placement exercise.


but consider this:
1. Dilution: what dilution you want to talk about to existing shareholders when the company is loss making? current shareholders not getting anything anyways... so why bother?

2. Dilution (sharing) of future proffits/dividend: Yes. but without the capital injection under the private placement, current shareholders is not going to get "future profits" anyways because the company is going down the longkang.

so its only fair the new shareholders share on the "future profits".

at the end of the day you belief what you want to beleive la. i believe it will go higher.

KNM is a turnaround story. Yes, they were hit. Yes they were squeezed. Yes, market throw up on the stock.

But management has corrected. Done remedial measures, kitchen sinking, nurse back the company to heatlh.

so its just a matter of time before the funds like epf or pnb or cimb or public mutual start to relook into knm seriously again. and that where the valuation band can expand.

value: is a function of liquidity. Supported by fundamentals, of course.
