During the EGM, 69.2% of Ekovest shareholders representing 439.82 million voting shares voted against the deal.Based on the results, it seemed that the big boys like EPF, Public Mutual, AIA etc were too not convinced with the proposed takeover. Ikan bilis or retail investors contributed a small number. The big boys are in a much better position to analyse than us. So folks, pl be thankful to the big boys or else you lose your pants later.

was there and asked why 3 perceived or conditional benefits versus 7 real risks. Some one then asked about what sort of due diligence taken by independent directors to protect minorities. They said ok for them as they know how to mitigate risks. So now, minorities have to decide in this egm. What sort of answer? What happened to the second instalment from Greenland Tebrau due on 15Mar2018. MD said only could answer in IWC shareholders mtg. So how do they expect Eko shareholders to make an informed decision. MD said the worst scenario Eko still has IWC land if Greenland defaulted and Eko will have to service the RM480m bank borrowings with possible interest rate hike in near term.

Pl read the rationale for the 3 benefits for the take-over of IWC versus the 7 risk factors. The benefits are CONDITIONAL i.e. there are dependencies and there are more beneficial to IWC shareholders. The 7 risk factors are REAL and can happen for e.g. no news on 2nd installment payment from Greenland Tebrau which is overdue. So how sure will the 3rd instalment due in April 2018 if no news on 2nd. China has tightened its cross border money flow on investment. Anything can happen.Too many uncertainties. After all the hullabaloo on the takeover of IWC shares by Ekovest, Tan Sri Chairman has already proposed to swap IWC shares for IWH IPO. He uses Eko to borrow funds to pay for IWC and swap with IWH IPO, so what is in store for Eko minorities???? Think Think Think....Reject proposal!!!!

If the 2nd instalment payment of RM46.324m from Greenland to IWC which was supposed to be paid on 15 March 2018 after the payment was extended from 15 Oct 2017, has not been received yet, all Ekovest minorities need to exercise caution when voting for "YES" in the coming EGM on 29 Mar 2018. So far no official announcement on the payment status. Isn't it strange?? Why so quiet?

The 3rd instalment payment of RM46.324m will be due for payment on 15 April 2018 after having extended from 15 Jan 2018.

These instalment payments will have an impact on Ekovest's proposal to buy over IWC shares. Think really hard before you decide to vote "YES".

If Ekovest approves the takeover of IWC, there is already a proposal for Ekovest to swap IWC shares for IWH shares if IWH is public listed later. The exercise may be detrimental to Ekovest minorities. In short, Ekovest is used as a conduit for IWH to acquire IWC. With the lack of info on the bigger picture, how can we make an informed decision.

Something not right? Why does Ekovest uses own cash or new shares to takeover IWC and later Ekovest to surrender to IWH in exchange for newly listed IWH shares, if the IPO materialises. What is there in store for Ekovest minorities in IWH? Risky? Concerned? Better to reject now than regret later.
