C. ACQUISITION – VSOLAR
C1. DETAILS OF THE INVESTMENT IN VSOLAR
ACSB has also over the past twelve (12) months acquired in aggregate 29,375,500 ordinary shares of RM0.10 each in VSOLAR (“VSOLAR Shares”) for an aggregated sum of RM5.02 million (“VSOLAR Consideration”) in cash via the open market (hereinafter referred to as the “Investment in VSOLAR”) to add to the 25,624,500 VSOLAR Shares previously subscribed under a private placement exercise that was announced by ABT on 1 August 2014.
C2. DETAILS OF THE INVESTMENT IN VSOLAR
C2.1 Information of VSOLAR
VSOLAR is a public listed company listed on the ACE Market of Bursa Malaysia Securities Berhad. VSOLAR, through its subsidiary, designs, develops, markets and distributes material requirement planning software. VSOLAR also provides training, installation, support and implementation services. It has recently secured approval for the diversification of its business into renewable energy via an extraordinary general meeting held on 6 January 2014.
Based on the latest audited accounts of VSOLAR as at 31 December 2013, its net loss attributable to assets for the year ended and net assets are RM2.32 million and RM16.89 million respectively.
C2.2 Basis of Arriving At the VSOLAR Consideration
The VSOLAR Consideration was derived from the purchase of VSOLAR shares from the open market between 17 October 2014 and 27 November 2014.
C2.3 Funding for the Investment in VSOLAR
The Investment in VSOLAR was funded entirely from the technology incubator funds of the Company.
C2.4 Liabilities to be Assumed
There are no liabilities, including contingent liabilities and guarantees to be assumed by ABT, arising from the Investment in VSOLAR.
C3. RATIONALE FOR THE INVESTMENT IN VSOLAR
The Investment in VSOLAR is part of ABT Group’s decision to actively invest in quoted securities that have the prospects of generating short-to-medium term investment returns for its Technology Incubator funds that is superior to the low, interest rate bearing fixed deposits option.
C4. PROSPECTS
VSOLAR has a Renewable Energy Power Purchase Agreement (“REPPA”) between Solar Interactive Sdn Bhd, a wholly owned subsidiary of VSOLAR, and Tenaga Nasional Berhad (“TNB”) for the sale and deliverable of renewable energy to TNB for a concession period of 21 years from 17 December 2013 with a minimum threshold performance threshold set out for each year in the REPPA.
Despite the falling oil prices, ABT Group continues to believes that solar power will grow over the longer term future due partly to increasing demand for renewable energy which is further endorsed by the Malaysian government with the setting of a target for renewable energy to achieve 5.5% of Malaysia’s total electricity mix to be generated by 2015.
C5. RISK FACTORS
Save for the normal market and global economic risk, the Board of Directors of ABT is not aware of any other risk factors which may arise as a result of the Investment in VSOLAR.
C6. FINANCIAL EFFECTS
The Investment in VSOLAR is not expected to have any material effect on the earnings per share, dividend policy, gearing, share capital and the substantial shareholders’ shareholdings of ABT for the financial year ending 31 January 2015.
C7. APPROVAL REQUIRED
The Investment in VSOLAR is not subject to the approval of the shareholders of the Company or any regulatory authorities.
C8. DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTEREST
None of the Directors and/or substantial shareholders and/or any person connected to the Directors and/or substantial shareholders of ABT has any interest, either direct or indirect in the Investment in VSOLAR.
C9. DIRECTORS’ STATEMENT
The Board of ABT having considered all aspects of the Investment in VSOLAR is of the opinion that it is in the best interest of the ABT Group.
C10. PERCENTAGE RATIO
The highest percentage ratio applicable to the Investment in VSOLAR pursuant to Rule 10.02 of the Listing Requirements of Bursa Malaysia Securities Berhad for the ACE Market is 7.72% based on the latest audited financial statements of ABT as at 31 January 2014, adjusting for the completed Rights Issue with Warrants of ABT on 28 April 2014 and VSOLAR as at 31 December 2013.

Based on announced information, the inferred entry cost price of MARA is approx. 13 - 13.5 sen. The price hike had to be there to induce volume for them to offload. :)
