財務狀況歷來最輕‧丹絨岸外要化危為機

（吉隆坡16日訊）丹絨岸外（TGOFFS,7228,主板貿服組）顧問拿督哈札尼阿茲米認為，公司目前財務狀況為歷來最佳，將成為在當前石油危機期間“轉危為機＂的強大後盾。
他在接受《星洲財經》專訪時表示，公司在2012年面對高達5億令吉的債務問題，逼不得已只好將“金雞母＂核心海事業務進行脫售，但經過2年多來的重組，現有財務狀況是史上最佳。
放眼併購國際級資產
“目前，我們至少握有1億2千萬令吉現金，其中絕大部分為外幣，加上｀零’負債水平，財務狀況是公司歷史上最為健康的一次，並未像許多石油與天然氣公司般陷困或嚴重受創。＂他說，公司現有財務狀況健全，放眼併購國際級資產，帶動公司進一步增長。
“在過去3年，公司業務發展非常困難，但成功在2013年轉虧為盈，希望增長勢頭能延續至2014和2015年。＂他補充，在完成遺留下來的合約後，公司現擁有健康的資產負債表，可進行內部增長或伺機而動，但不會倉促行事，將等候“素質合適的資產＂出現才會行動。
“現在，市場湧現龐大的機會，但我們並未與任何對象進行洽商。我們放眼區域，甚至是國際級資產。＂
巴黎波邦倒置收購擱置
交叉價是主因
他指出：“外人認為市場現波濤洶湧，我卻視之為業務推波助瀾的強風，現有危機給予公司展翅高飛的機會。＂詢及巴黎波邦集團（Bourbon）倒置收購計劃告吹原因，哈札尼阿茲米說，交叉價錢（Cross Price）是主要擱置原因。
“市場對此諸多揣測，但全部都不是事實。從技術層面來看，這項計劃非常複雜，也將非常耗時，董事部要求收購價需較當時股價溢價80%，相等於每股72仙，但無奈市況不好，拖累股價直直落至逾每股30仙，買方根本無法接受每股72仙價格，低價脫售也將對股東不利，因此與其耽誤他人幸福，不如和平分手。＂他補充，市場憂慮的“非競爭條款＂問題其實不大，只需向大股東國家股份公司（Ekuinas）洽商即可解決。
丹絨岸外是在去年6月與巴黎波邦集團（Bourbon）簽署倒置收購初步合約，被注入的資產包括6家公司股權，連同18艘岸外支援船和5艘主作業供應船，但後雙方在考量油價猛跌，無法就經濟和財務條件達成共識，決定將倒置收購計劃作廢。
與此同時，針對市場對丹絨岸外進軍產業市場批評，哈札尼阿茲米解釋，丹絨岸外將一如既往是石油與天然氣公司，英國的產業投資項目只是為了現金槓桿，以對沖弱勢馬幣衝擊。
“我們也可以在機會浮現時將之脫售，我們並不打算長期持有。＂丹絨岸外是在2014年3月以670萬英鎊（約3千718萬令吉）收購英國Wavenet投資有限公司，以多元化業務至產業投資。
油價跌影響新合約
目前，國際油價自2014年6月份高點迄今，已經暴跌將近60%，哈札尼阿茲米說，國際油價下跌將使公司在爭取新合約面對挑戰，其中賺益可能顯著萎縮。
可精挑賺益理想工程
“但公司現處於健全狀態，讓我們可精挑細選賺益理想的工程。＂他指出，公司現有許多具備財金智慧（Financial Literacy）的人才，可拒絕任何低賺益的合約，並積極追求高賺益合約。
他補充，公司現手握5億令吉訂單，就算短期無新合約入袋，也可確保未來2年的盈利能見度。
“我並不認為石油危機將會長存，只會在未來2至3年走勢震盪，因此我們需要趁此就位來迎娶世界級業者。＂至於國家石油公司（Petronas）可能削減15至20%資本開銷衝擊，哈札尼阿茲米認為，公司現有合約以國油舊有資產為主，相信只要相關資產持續運作，維修工程將陸續有來。
“不過，要爭取新合約則將非常嚴峻，賺益可能被壓縮。＂此外，他說，隨着全球油價下跌，旗下人力資源服務公司接獲越來越多業者詢問，業務仍具增長空間。
丹絨岸外在去年與全球著名人力資源服務公司Fircroft聯營合作，預料對公司財務衝擊正面，放眼在3年內為業務貢獻30至40%。
目前，丹絨岸外旗下3大業務，包括產品與服務、機械設備服務和維修服務。
不利傳言打擊股價
國際油價跌跌不休，也拖累油氣類股價表現，哈札尼阿茲米說，市場蜚短流長不斷，投資者並不清楚丹絨岸外的狀況，拖累公司股價現已跌破淨有形資產（NTA）。
已啟動接班人程序
“因此，我希望藉此讓投資者了解公司情況。你們可以不全信我的話，但至少得了解事情真相。＂問及投資者憂慮的群龍無首問題，他指出，丹絨岸外已成立獨立委員會，檢討最近受媒體報道的問題，而委任董事經理事宜取決於董事部決定。
“就算（我）重掌職權，也只會擔任1至2年較短時間。公司已經啟動接班人程序。＂不過，他說，雖然公司尚未填補董事經理職缺，但日常業務交由管理委員會負責，加上主要幹部都依舊存在，整體運作依舊平順。（星洲日報／財經‧專訪：洪建文）
