Sslee while writing to new BJGroup CEO & Lydia, remember to ask about status of RM650 million cash due from Beijing Sky0cean after HKIAC arbitration award for GMOC sale. The 70% Tuopai Shede shares owned by Beijing SkyOcean frozen by China People's court after the HKIAC award has been sold by China court auction to Fosun for RMB4.53 billion cash and money has been paid by Fosun on or before 15 Jan 2021 to China People's court for settlement to Beijing SkyOcean's creditors. BJLand as one of the main creditors protected by China courts should get the cash payment soon?
The RM650 million cash pile from GMOC sale & RM65 million profit from Berjaya Jeju compensation should be more than enough to implement your proposal below for shareholders..
"I will propose to the newly appointed CEO option of cash settlement, shares swap and part cash plus shares swap."

The NWCA Malaysia team will be led Lena Tan, a veteran deal maker and investor with over 30 years of experience in the financial services industry in Asia, Europe and the US.

Lena Tan is also the chairman of BCorp's subsidiaries, 7-Eleven Malaysia Holdings Bhd and Singer Malaysia.


"I am excited to lead and build the NWCA business in Malaysia and I am thrilled to advise New World Group’s portfolio companies across conventional markets as well as the Islamic economy in Malaysia," Lena Tan said in a statement today.

Total nett cash inflow is RM937.5 million more than current market value of RM900 million. Just like buy one free one!

1. For GMOC, total proceeds shall be of RM600 million (inclusive of interests);
Less it's liability of RM108 million; gross inflow to BLand (with partners) is RM492 million;
Less 49% minority interest; nett inflow to BLand is RM251 million.

2. For Jeju case, total proceeds is not disclosed, let assume is at RM600 million (around there);
Less it's liability of RM112 million; gross inflow to BLand (with partners) is RM488 million;
Less minority interest; nett inflow to BLand is RM362 million.

3. Therefore, in BLand book receivable, it shall be RM1,200 million;
Par down of liability is RM220 million;
Less minority interest, of RM367 million;

I believe Berjaya Infrastructure is a subsidiary of BJCorp and VT is chairman of both BJCorp & U Mobile so shoring up of public standing of Chairman before IPO very important for public acceptance no?

Reduction in RM180.5M bank borrowings means less provision for loan expenses to increase future profit. Also balance of RM180 million cash goes a long way as working capital to earn more profit?

I remember that there was partial payment by JDC of RM374.5M to BJLand's building contractors when Jeju Land Project was mutually terminated by BJLand & JDC in March 2016 (that's why no impairment provisions) with the remainder sum of RM646M of BJLand initial investment in the Jeju Island project to be recovered by court settlement.

Under court managed Settlement Agreement announced on 30 June 2020, all parties agree to resolve all disputes arising from the Jeju Project via payment by JDC comprising of:

RM443.88 + RM362.19 = RM806.07M, less the remainder sum RM646M for BJLand initial investment, JDC has paid extra (RM806.07 - RM646) RM160.07M over BJLand's initial investment?

Button line is to grab all available cheap shares in the Market before VT's big move..since VT & Associates already holds at least 89%, remaining minority will not simply sell cheap since most bought at average price of 35 sens or higher..Btw since Dimensional fund, Penta & Goldman Sach & Macquarie already sold all their shares & no short selling until end of the year..there won't be anymore cheap shares left in the Market..

Only way BJCorp (to makeup the shortfall in dividend from BJToto due to MCO) can get BJLand's more than 1 Billion cash hoard due to the Veil of Incorporation is to direct BJLand BOD to declare a special dividend for BJLand shareholders..since BJCorp has more than 76% BJLand shares & balance of about 13% held by VT companies..VT & Co. should be able to get at least RM890 milion from BJLand with balance going to minority..

True.. as money from FSKyoto Hotel divestment has been mainly utilised by BJCorp to repay debts & BJLand for investment in assets & build FSOkinawa project.

But with RM650 million collected from GMOC Arbitration & reversal of impairment provisions, BJLand will have cash to pay dividends to BJCorp & minority shareholders to makeup the shortfalls from BJToto due to MCO..

Anyway most Minority here are not for the dividend but more for the potential capital gain..as 1% dividend is only a bonus as 1,000 shares only gives RM10, 10,000 shares - RM100, 100,000 shares - RM1,000. Even 1 million shares only gives RM10k dividend per year

However for every Million shares held, a 1 sens price increase gives an immediate return of RM10k, 5 sens 50k & 10 sens 100k and so on...best of all as BJLand/BJCorp is already all time low, you can make capital gains a few rounds within a year as VT insiders are very active nowadays in the market..
