Well you could look at it differently. The company valuation was made back in 2017, and the profit guarantee provided for FY2019 was RM20.5mn back then, which has now increased to RM25mn - which ineffectively translate to ~RM45mn going on the same P/E. In other words, the prospects or earnings of the business improved - thus valuation is higher. Come on, if it's a public listed company, the share price would have run up if the earnings improved or expect to improve, and you would pay more for the shares 1 year later, right? Pure logic and immature analysis.

That said, I do agree with the article that profit guarantee should be paid based on the purchase consideration adjustment rather than just purely shortfall in the earnings, which favor the seller

On PUC's ability to repay, I think it's not fair to look at just Sep '18 cut-off on their cash position, because the business has did a few placement and also conversion of the LA if I recall the last few months. Which has ineffectively help to build the war chest. Conversion of the WA/WB this month would be helpful to build up the cash buffer further.

And on CCC pocketed money? First the deal is not done, so he hasn't (and he's not getting all the money). If he really want to pocket more, I believe he could have just list the business separately or sell it to MNC and pocket at even better valuation than 9x multiple he's getting now. That said, I believe he's smart enough to think of building his credibility as a young company and focus on the business, he will be much better off if the business takes off in future to be a billion dollar market cap - rather than what you all claim pocketing money & screwing up his own future... And it's your own decision whether you want to invest based on TA or FA. PUC's TA is probably less appealing than ever, but an educated investor will think about future earning prospect and enter early when everyone is skeptical.

And that's how the concept of forward PE or DCF comes into picture, assumptions of earnings viability. That's FA assumption at play not "sugarcoating" it. Well the fact is Pictureworks is doing well and earning accretive to PUC, while 11street might continue to drag the earnings as how Lazada is.

Well Mr. Daily8, please read/think carefully before shooting off the hip. Every business has it's own risks, and I believe PUC's risk is mitigated through monthly deduction of the salary.

I don't know in detail how this Yapem deal going to work, but I would imagine the arrangement would ensure timely repayment of the micro financing via monthly deduction even before the government employee could touch their money. And the only risk of bad debt is when the employee quit with outstanding loan? Again I'm just guessing based on limited information.

Those in the lower B40 income could be facing problem in getting loans, so this would allow them to better access the credit market.

So for you to say outright that it's not looking good without any plausible reasoning is blatantly unacceptable. Of course better than yongch that keeps shouting 0.05 cents. Just my 2 cents!

I don't know how you get 6.5x bro, but 9x is a more realistic number. And assuming if it's trading at average 15x PE, it will be about 370+mn market cap just soley on PW business. So do the math..

The price has been down for a long time, and never move much prior to announcement. so there's no reason to sell on news. In fact time to buy in because of the good news!

I think it's a good business to fully consolidate into PUC earnings. Good news in fact. With profit guarantee of RM25mn in 2019, translating to a forward PE of about 9x! Which i believe is quite low. There was an article on focus before than the owner envisioned it to be a US$1 bil market cap standalone listed company in future... So earnings will definitely be accretive to PUC. All in!

RosAng. Well as a smart business owner, I would imagine him/her to truly focus on building the business long term rather than to make quick buck like what you've said - pump and dump.

Firstly, he will be losing a lot of credibility for ethics reason if he does that, particularly those that did pp at 13 or 15 cents with view on long term growth prospects. Smart for him to do as what you said? Logically no for a company that is growing & might need future capital injection.

It boils down to executing his plans, building trust by investors. And once the business grows he and investors will reap MORE benefit from a bigger pie - than just short term goreng & losing everything after that. I'm just saying based on logic perspective. Well of course, no one can control others from pump & dump (i.e. not the owner himself)

Dilution is not a main issue now because the company is at a growth phase with lots of capital requirement for expansion. Dilution might concern those with dividend payment (i.e. stable mature business) - which is not applicable to PUC.

Think about growth. Grow the pie bigger and everyone will benefit from bigger pie!
