What are the Chairman and BOD of SMI doing to protect the minority shareholders' rights?

In the latest update of the sage since the emergence of substantial shareholder Prolexus Berhad, SMI has changed the Company's financial year from 31 December 2022 to 30 June 2023, covering 18 months.

This, in my view, is trying to extend the AGM, which should be held before the end June 2023 (within 6 months after the end of the financial year). With this new FY, it means that they can hold the AGM by the end of December 2023.

According to the Companies Act 2016, Section 310(b) and Section 311, a shareholder with at least 10% of the Company's issued share capital has the right to call for an EGM. As Prolexus holds more than the minimum required percentage, they are entitled to exercise this right.

This is a very wrong move as it signals only ONE thing to me - the incumbent BOD believes they will be kicked out through shareholders' vote. If they don't have enough votes, just leave and stop this sage. Continuing this will just cause more damage to the Company. Let all the shareholders make their decision.



The Company has been suffering losses for seven financial years out of the ten FY since FY13. Only FY16 – FY18 did the Company turn into the black. Don't the current BOD need to bear responsibility and let the better ones run the Company, especially with all the assets that SMI has?



I want to ask the management, for all the legal fees, who is paying? The management themselves of the Company?



As a loyal shareholder of SMI for more than 7 years, I hope for the right management to control the Company. The Company's share price had been so weak until Prolexus came in.

Stop all the funny actions and allow the EGM to be organised. Let shareholders vote for the company, at the end of the day, the company is belong to the shareholders, not the director. If the board thinks they are fit to continue running the company, let's put it to a shareholder vote.
