I have casually checked on OFF Market trades on TopGloves over the last 10 days, and failed to locate significant transactions that are shown on Bursa records. Hence, that beg the question how those short covering may have been done.
2021-02-17 11:20 | Report Abuse
Short sellers covered back 44 480 lots of TopGlove over 3 days by end of business day on 15th Feb. But while the supplies of RSS were duly transacted on market, exerting pressure on prices , the demand for short covering were done via off market transaction. In my simple mind, that is an uneven playing field. I would suggest a email to be forwarded to Bursa Malaysia to seek clarification if any trading rules may have been infringed.

Excellent write up. The RSS trades on 4th Jan 2021 need an in-depth analysis for any element of abuses.

Many thanks to DK66, Icon8888, OTB and whoever that actually made an effort to post constructively. That took lots of time, research and tedious professional works. Well done and greatly appreciated.

Was the EGM adjourned by a simple majority ?
Unless it was a overwhelming vote in excess of 75%, otherwise it will produce the same results

For those who are keen to learn more about Pacific Alliance Asia Opportunity Fund (PAG), read here http://pax-fund.com/about-us/
Let me highlight their investment strategy : PAX and the Master Fund are opportunistic and dynamic with respect to the strategies they employ and invest across the capital structure. PAX and the Master Fund pursue distressed credit, value, arbitrage and special situations strategies, concentrating on mispricings rather than directional exposure.
The investment strategy focuses primarily on debt, equity and other interests in both public and private companies whose securities are trading at wide discounts to their realizable value. PAX and the Master Fund place a great emphasis on capital preservation and downside protection through a deep value discipline, rigorous due diligence, asymmetric investment construction, and ongoing risk management.

1. CS and PA are yield investors , holding 20% of SONA shares. They will vote "NO" ; they are still buying CLIQ shares till today to secure a fixed, guaranteed returns.
2. Since the Management team with 15% shares and a good portion of retail investors with 10% shares (don't turn up to exercise their vote or appoint a proxy, basically they could be ignorant, staying in Penang to Johor or just plain indifferent) , that accumulated shares value is already worth 25% .
3. Now assuming the rest 75% all turn up to vote in person or via proxy , for an overwhelming "YES", except CS and PA , the resolution will still be defeated since that 20% owned by CS and PA translate into an effective vote of 26% in value.

SONA Management can stealthy engage CS and PA , and buy over the 21% at 5% premium over market price of $0.46, ie, pay additional 2.5 cents.
At the same time, parties acting-in-concert will mop up as much Sona warrants at 2-4 cents on the last week leading up to March 30th EGM. Meanwhile, continue to repeatedly sound out that securing 75% approval against a backdrop of 30% institutional investors, some basically yield investors are quite a hurdle to overcome.
Come 30th EGM, the motion are carried through.
1. SONA warrants immediately traded in excess of $0.12, generating a gains of 8-10 cents, easily enough to over the 5% premium paid for the controlling blocks of Sona shares.
2. Sona management will have an immediate financial windfall vs the case where they will get no refund if Sona is liquidated.
Finally, what about the possibility that CS and PA are dealing on the behest of some interested parties , connecting with SONA Management, who are for all intents and purposes, designed to mop up as much Sona shares from open market and are definitely voting in favor of the acquisition from Day 1 ?

This is a cold , hard fact.
CS and PA are yield investors. They will vote "NO" ! Then SONA will be up for liquidation. SONA management get nothing from initial investment made during liquidation. Warrant holders will hold on worthless papers.
Note that PA has just declared 5% voting shares in Reach Energy on 15th March 2016. Same fate will befall Reach warrant holders.

Dear OTB,
Dont get frusturated by people who throw all sort of rubbish comments .
I remember, what my Sales Manager once told me 20 years ago " Dont let people hurt your ego or pride so easily ! You are too good and resilient and will take any ridicule and rejections gracefully" Since then, i become quite "thick-skinned literally" and brush aside negative comments casually.
Hopefully, your pride dont get bruised so easily. We may take some knocks and bumps along the way, but we shall continue to do it our way !!
I went through some of your investment literature and comments, and find them interesting and well-researched. Continue to post great write-ups, and continue sharing with knowledges.
Regards
