Serba Dinamik’s founder and group chief executive officer Datuk Dr Mohd Abdul Karim Abdullah yesterday reiterated that the company has done nothing wrong after its external auditor KPMG PLT (KPMG) raised red flags on the company’s financial accounts.

“Serba Dinamik has very strong fundamentals and we hope that after the announcement (to take legal action against KPMG), it will be business as usual for our company,” he said.

Abdul Karim disclosed that the management had many prospects that it was working on as well as ongoing projects, both domestic and international.

“The position of the company at the moment has reached a quite successful level in which we are talking to quite a number of governments of the day of various countries.

“They are looking at our expertise, our track records, and also the capabilities that we have put forward to them,” he told a press conference in Kuala Lumpur yesterday.

Abdul Karim also thanked Datuk Mohamed Ilyas Pakeer Mohamed for taking up the chairmanship of Serba Dinamik Holdings Berhad (SDHB).

“We strongly believe that his experience, knowledge and extensive network that he has built will help the company face all these challenges in a very effective manner.

“We ensure that the investment and money that all these parties put into the company will be maintained, sustained and get the returns as promised,” he said.

On questions whether SDHB would be able to get fresh capital from banks for the Abu Dhabi innovation project amid the dispute between the company and KPMG, Karim said there were no huge issues on that.

“We have worked out quite a lot of alternative plans on how to resolve the financial aspect to support this project.

“I have also received tremendous good response and support from the investors in that particular region. Why? Because they believe in our vision, capabilities and track records,” he said.

“There is no need to worry that the project will not be getting the necessary financial support,” he added.

Meanwhile, in response to questions raised, Mohamed Ilyas said that the minute the company sued KPMG, the relationship with KPMG is no longer tenable.

“The board of directors is hoping that KPMG will take the cue that this relationship is no longer tenable,” he said.

Earlier, at the press conference, SDHB announced that it had decided to take legal action against KPMG on the grounds of professional negligence, breach of contract and breach of statutory duty, among others.

SHAH ALAM: Pengerusi Lembaga Pengarah Serba Dinamik Holdings Bhd, Datuk Ilyas Mohamed berkata, tiga nama calon sudah dikenal pasti untuk dilantik sebagai pengarah syarikat.

Belajar dari pengalaman kata beliau, syarikat memilih individu yang berpengalaman dan lebih matang dalam membuat keputusan.

"Sebanyak tiga nama telah dikenal pasti dan mereka ini mempunyai pengalaman yang luas dalam bidang perbankan kewangan Islam, undang-undang dan tadbir urus korporat serta integriti," katanya dalam satu kenyataan hari ini.

Beliau diminta mengulas peletakan jawatan lima Pengarah Bebas yang menyatakan alasan mereka sebagai tidak bersetuju dengan isu membabitkan KPMG dan syarikat.


"Ini kerana mereka tidak memberi kerjasama dalam mesyuarat Lembaga Pengarah, termasuk dengan tidak menghadiri mesyuarat walaupun mengetahui syarikat berdepan isu sebegini.


"Dalam masa yang sama juga, syarikat termasuk Pengarah Bebas sebelum ini sememangnya sudah bersetuju membuat rombakan ke atas Lembaga Pengarah sedia ada.

'Keputusan yang diambil (menyaman KPMG) adalah berdasarkan majoriti sokongan dan jika mereka tidak bersetuju dengan tindakan ini, mereka sepatutnya hadir dan bukannya berdiam dan protes di sebalik tabir," kata beliau.

Kenyataan Ilyas Mohamaed itu konsisten dengan jawapannya semasa sidang media Selasa lalu, bahawa Pengarah Bebas tidak mengambil apa-apa tindakan untuk membantu pihak pengurusan dalam menyelesaikan perkara itu dengan serius.

"Jika mereka ini cekap dan tahu peranan mereka, masalah ini dapat diselesaikan dengan sebaik-baiknya, malah mereka juga tidak memainkan peranan mereka sebagai pengarah bebas.

"Ini jelas dilihat apabila mereka tidak mengendahkan permintaan IIC untuk bersemuka dengan menerangkan perkara sebenar. Adakah mereka ini mengambil berat tentang para pemegang kepentingan lain atau mereka ada agenda lain hinggakan masalah berlarutan sehingga kini," jelas Pengerusi itu lagi.

Selain itu juga, Ilyas Mohamed menjelaskan bahawa Lembaga Pengarah bersama pengurusan dalam peringkat lanjutan untuk melantik juruaudit luaran yang baru.

Terdahulu, Serba Dinamik mengumumkan keputusan kewangan bagi suku tahun berakhir Jun 2021 dengan keuntungan bersih sebanyak RM131 juta.

Keputusan baik itu dipacu oleh hasil sebanyak RM1.38 bilion berikutan aktiviti kukuh daripada segmen operasi serta penyelenggaraan (O&M) termasuk kejuruteraan, pemerolehan, pembinaan dan pentauliahan (EPCC).

Kumpulan itu dalam makluman kepada Bursa Malaysia semalami berkata segmen O&M dan EPCC masing-masing menyumbang 90.5 peratus dan 7.2 peratus.

Penyedia perkhidmatan minyak dan gas itu berkata tidak ada perbandingan maklumat kewangan yang tersedia untuk tempoh kewangan terkait disebabkan perubahan tahun kewangannya kepada 30 Jun berbanding 31 Disember pada 7 Mei lalu.

Penyata kewangan yang telah diaudit seterusnya akan tersedia bagi tempoh 18 bulan mulai 1 Januari 2020 hingga 30 Jun 2021 dan selepas itu, tahun kewangan terakhir akan dicatatkan menjelang 30 Jun untuk setiap tahun berikutnya.

Jumlah dividen bagi tempoh kewangan berakhir 31 Mac 2021 adalah 5.45 sen sesaham biasa.

Dayang returns to the black in 3Q after 2Q loss







KUALA LUMPUR (Nov 23): Dayang Enterprise Holdings Bhd returned to the black in the third quarter ended Sept 30, 2020 (3QFY20) with a net profit of RM36.08 million after a loss-making quarter in 2QFY20.


Shares in Dayang were up 8.33% or eight sen to close at RM1.04 per share with a market capitalisation of RM1.2 billion.


Dayang attributed the profitable quarter to wider profit margins as a result of improved productivity and efficiency in work orders.

Quarterly revenue grew 34.7% quarter-on-quarter at RM230.21 million compared with RM170.9 million in the preceding quarter.

In a filing with Bursa Malaysia today, Dayang said the increase in revenue was mainly due to a higher vessel utilisation rate at 62% versus 52% in 2QFY20 and higher work orders received from the topside maintenance contracts.

On a year-on-year basis, Dayang's 3QFY20 net profit came in 66.3% lower compared with RM107.10 million in 3QFY19.

Revenue shrank 35.6% against RM357.58 million in 3QFY19.

"The reduced revenue was mainly attributable to lower vessel utilisation at 56% for the financial period ended Sept 30, 2020, as compared to 71% in corresponding period ended Sept 30, 2019, resulted from the delayed work orders awarded from oil majors since [2QFY20]," Dayang said.

Dayang also noted higher operating costs incurred during the quarter to adhere to the standard operating procedures to combat Covid-19, which contributed to the lower net profit.

For the cumulative nine-month period, Dayang recorded a net profit of RM44.42 million, down 72% from RM158.05 million recorded in the previous year, while revenue slid by 24.7% at RM573.22 million compared to RM761.16 million.

On its prospects, Dayang noted that its vessel utilisation rate came out stronger as business activity resumed towards its normalcy after the government began to ease the lockdown measures.

As such, Dayang said it is optimistic that the group's earnings trend will be sustainable, premised on its fairly sizable order book at an estimated value of RM3.6 billion to last at least until 2023.

"Notwithstanding the volatility in oil price, we remain upbeat on the company's future prospects as Dayang has emerged stronger after going through one of the most challenging periods over the past few years," it said.

"We will continue to be vigilant and exercise due care and prudence in the running and administration of the group's business. We remain confident that our strong execution track record, coupled with our solid balance sheet, will help us weather this challenging period," Dayang added.

Serba Dinamik net profit soars to RM631.7mil in 2020

KUALA LUMPUR: Serba Dinamik Holdings Bhd said its net profit in the last quarter jumped 43% to RM202mil, as revenue swelled by a third to RM1.81bil.

This boosted its full year earnings to a new high of RM631.7mil, or 17 sen a share.


Serba Dinamik has declared a fourth interim dividend of 1.6 sen a share in the quarter ended Dec 31, lifting its payout for the year to 5.45 sen a share.

The group said its operation and maintenance (O&M) business generated RM1.5bil in revenue during the last quarter, while the engineering, procurement, construction and commissioning (EPCC) segment doubled its contribution top RM203mil.


Serba Dinamik said the higher price of crude oil is expected to boost the group's performance in 2021.

"The Group will continue to capture new opportunities in both domestic and international market," it said.


In January, Serba Dinamik bagged 11 contracts in Indonesia, India and Malaysia.

"As part of our initiative to increase non-oil and gas contribution, five contracts from the announced contracts are related to power generation industry whereby it involves installation of Diesel Rotary Uninterruptible Power Supply (DRUPS) for our customer in Indonesia," it said.

"The Group has also been awarded with an ICT contract to implement smart solutions for development of Smart City and Safe City in India which shows there are more potential demand in the market that the Group can tap into," it added.

With the recent completion of private placement exercise, Serba Dinamik said it will start its plan to restore Teluk Ramunia Yard in Kota Tinggi, Johor.


"The proceeds of RM100mil will be utilised over 24 months to rejuvenate the multiple workshops into a hybrid and efficient centre for example a combination of conventional workshop machineries with autonomous Artificial Intelligence (AI) element which will enhance the capacity of the machineries and eventually will improve the production output of the operation," it said.

"Forging ahead, the Group will stay to bolster its position in Middle East and South East Asia. The Group is aimed to expand its presence in Central and South Asia and Africa as the Group see more prospects within this region," it added.
