24.08.2023 –Sime Darby announced that it will take over UMW.
16.11.2023 – EGM
27.11.2023 – Notice of conditional voluntary take-over offer from Sime Darby after EGM.
06.12.2023 – Offer document (RM5.00 per lot) will be posted to UMW shareholders.
06.01.2024 – UMW shareholders have to sign and agree to take the offer of RM5.00 and send back to Sime Darby (Registrar – Tricor Investor & Issuing House Services Sdn Bhd).

06.01.2024 – Sime Darby must get at least 90% acceptance within 3 weeks to 1 month.
06.02.2024 – UMW shareholders to get cash via CDS registered bank account for the UMW shares sold to Sime Darby.

@ Dear Calvintaneng, now that rohank71 said an EGM is not needed. Then, what is next? I have been holding the Bplant shares, everyday see RM1.50/RM1.51 for so long already. rohank71 said the MGO process can begin already but how more longer I have to wait?

Why nothing has started regarding the take over of UMW other than the some trade on UMW shares? So different from privatization of OLDTOWN (full of questions and answers). EGM date also not yet announced.

Will minorities of BHB reject the offer? LTAT is just 1 vote vs the many minorities who are unhappy with LTAT. Any one knows if LTAT has organised the support for the deal with BHB minorities?

Structured co-warrants got time decay. Every 20 days it will drop 1 bid (including Saturday, Sunday and public holidays). Those gamble in HSI co-warrants and put-warrants even worse. Everyday the value drops 4% of the previous day price. Because it is cheaper, gamblers buy a lot. It is very hard to predict whether HSI will go up or go down. 10 gamblers, 9 will lose because it must be FIFO (fast in fast out).

Since YTLPOWR-C33 was mentioned, I would like to give comments on structured co-warrants. Out of 10 persons, 9 persons will lose in gambling co-warrants. Lets take today's MBMR C1 for example. All investment banks give warrant matrix (linking the co-warrant price and the mother share price) except CIMB. You should print out the warrant matrix. Today it is the ex-dividend of 26 sen for MBMR. The value of the MBMR-C1 starts with 20 sen lower value compared to cum-dividend. Mother share holders will be given dividends but co-warrant holders are not entitled for any dividend. Mother share drop an additional 8 sen, and the co-warrant follows the mother share to drop.

YTLPOWER got strong support from OTB 1,000 followers whereas YTL got no such support. I will add YTLPOWER little by little.

Still waiting for the announcement of the date of EGM to pass the take-over of UMW.

RM0.26 dividend ex-date. It begins with an adjusted price of RM3.88. It is supposed to cover the gap of 26 sen by going up. Instead, it went down another 8 sen.

Dividend ex-date. Adjusted RM0.10 to begin with RM2.15. Today closing already recover RM0.03. Still got RM0.07 to bbe pushed up so that the given 10 sen dividend is free.

No volume. Difficult.

Hopefully tomorrow YTL will recover. Up down, up down... is normal in share market.

But those who did not sell will get payment as stated unless revised higher.

MGO was Rm1.80,
but at the end, the price was raised to RM1.90.

For TheStore :
MGO was Rm3.52,
later MGO was revised up to RM3.70.

The final price for THESTORE was RM4.00.


Can the MGO for UMW be raised to above RM5.00? Hopefully...🙂

@pang72, UMW has 38% stake in Perodua. So, I thought when UMW goes up, MBMR also goes up. But it goes down. Still got hope or not for MBMR?

Dividend 26 sen is good but the share price will be adjusted down 26 sen. The share price got to climb back 26 sen, then only it is considered free dividend.

@kokchengkai, nothing to worry one. Sime and UMW are established companies. Everything will run smoothly.
At this moment, Bplant is left with only 2 sen premium but UMW premium has widen to RM0.40. Need a lot of mental strength.

Sime Darby to Acquire UMW
Deal Will Cement Group's Position as Malaysia's Leading Automotive Player

Sime Darby Berhad (“Sime Darby”) today announced that it has entered into a conditional share purchase agreement (“SPA”) with Permodalan Nasional Berhad (“PNB”) to acquire PNB’s 61.2% stake in UMW Holdings Berhad (“UMW”), a well-established conglomerate with a diverse portfolio of businesses including automotive, equipment, aerospace and manufacturing & engineering (M&E) segments.

Under the terms of the agreement, Sime Darby will purchase PNB’s 61.2% stake for a total cash consideration of RM3.57 billion or RM5.00 per share. Once the agreement becomes unconditional, Sime Darby will be making a general offer for the remaining 38.8% stake that it does not hold with the aim of delisting UMW from Bursa Malaysia.
“This is a strategic move to further scale up and strengthen our presence in the Malaysian automotive sector, adding two highly performing brands into our Malaysian portfolio – Toyota and Perodua. The deal will cement Sime Darby’s position as Malaysia’s leading automotive player,” said Dato’ Jeffri Salim Davidson, Sime Darby Berhad’s Group Chief Executive Officer. The acquisition is accretive to Sime Darby’s earnings per share and will enhance Sime Darby’s shareholders return.
Sime Darby expects the acquisition of PNB’s stake to be completed within 3 months from the date of SPA subject to regulatory and shareholders’ approvals and customary closing conditions.

@SincereStock, thanks for your idea of trading the UMW stocks. I am no good in trading stocks. I just limit 100 units per day. If go down, buy 100 units. If go up don't bother.

Why still chasing after MBMR? UMW for sure will get RM5 at the end of 1st quarter next year 2024.

The process of Sime Darby taking over UMW to be cimpleted by 4th quarter this year 2023. The process of MGO (Mandatory General Offer) to be completed by 1st quarter next year 2024. Still a long way to go.
