The Redeemable Convertible Loan Stock to be issued by SEB and subscribed to by the White Knight for the purpose of raising funds for the Sapura Group

SEB plans to raise up to RM 750,000,000 and RM1.05 billion through the issuance of Redeemable Convertible Loan Stocks (RCLS-1) & (RCLS-2).

The RCLS-1 will be issued at the then prevailing share price of SEB, which is currently at an indicative price of RM0.72 per share post-consolidation.

The RCLS-2 will be issued at the then prevailing share price of SEB, which is currently at an indicative price of RM0.90 per share post-consolidation.

The tenure of the RCLS-1 will be 3 years from the issue date, and the Issuer has the option to redeem them at any time.

The tenure of the RCLS-2 will be 7 years from the issue date, and the Issuer has the option to redeem them at any time.

The total number of RCLS-1 to be issued is 1,041,666,667
The total number of RCLS-2 to be issued is 1,166,666,667.

Upon conversion, the new SEB shares will rank equally with the existing shares, but will not be entitled to any dividends or distributions declared before the date of their allotment.
