A major boardroom reshuffle appears to be in the offing for smart chipmaker Iris Corporation Bhd as it looks to exit its recent troubles.

A source says the board is considering two key decisions that may signal a new course for the company – the possible departure of CEO and founder Datuk Tan Say Jim and the imminent arrival of a well-connected investor, who is proposing to inject RM35 mil into the company.

“These are bold moves. It might not be liked by everyone in the company, but it could be an important turning point in Iris’ restructuring plans. If it goes ahead, it could be the catalyst that the company needs to revive its fortunes,” says the source.

KUALA LUMPUR (April 17): Shares of Dagang NeXchange Bhd (DNeX) gained momentum this morning as the group's managing director Zainal Abidin Jalil emerged as its single largest shareholder with a 20.9% stake.

As of 11.30am, DNeX's share price rose by 2.2% to 47 sen with 12.8 million shares traded while its warrant increased by 3.2% to 32.5 sen with about 35.4 million shares changing hands.

On April 10, theedgemarkets.com reported that an off-market transaction took place which saw 130 million DNeX shares being traded at 43 sen. Following that, an announcement was made that Arcadia Acres Sdn Bhd has made an acquisition of 130 million DNeX shares from Azman bin Karim at 43 sen via a married deal.

According to a filing with Bursa Malaysia, Arcadia Acres would have 360 million shares or a 20.7% stake in DNeX.

Arcadia Acres is an investment holding vehicle, which is 78% owned by Zainal Abidin and 22% owned by Wan Azryn Wan Ab Rashid, chief executive officer of DNeX Oilfield Services Sdn Bhd, a subsidiary of the DNeX.

By virtue of his 78% shareholdings in Arcadia Acres and an indirect interest through his spouse Rusmin binti Jaafar's ownership of 3.7 million shares, Zainal Abidin would own 363.7 million shares or a 20.9% stake in DNeX.

Azman is the managing director at OGPC Sdn Bhd, which had a stake in DNeX as a result of the issuance of new DNeX shares as part of the consideration of DNeX's acquisition of OGPC Group.

Censof Holdings Bhd, which was the largest single shareholder before the transaction, held a 17.1% stake in DNeX.

A fund manager with a local asset management firm said the changes reflected the group's commitment to grow its energy core business as Zainal Abidin's forte most likely lies in the energy sector.

"Given that he comes from Malakoff Corp and his long career in ExxonMobil, it's no doubt that this increase in stake is a sign of where the focus is. Of course, the IT business is still doing very well but it shows the direction of the group as a whole with Zainal Abidin in the driving seat, both from a management and ownership point of view," he said.
