現在公眾在TAGB持股是24.538%,如果TAE要通過這次的收購案是要超過90%。所以如果TAGB 的小股東不要賣出去RM0.28 和不要交換。就不會通過了。

簡單一句話就是投資Berhad大股東很重要,他是否能給小股東帶來好處。TT 已經控制了TA,TA持有60%多TAGB的股權。所以其它投資基金是不可能買入這兩家公司的股權了。之前我都說了這兩家公司不能長期投資。哈哈!現在已經是死股了,看它每天的交易記錄就知道了。

我看 TA 今年第四季度的財務報告也應該不是很理想,因為全球經濟都很不明朗。除非TAGB 能有好消息。

最後還是一句話 :“ 投資Berhad大股東很重要,他是否能給小股東帶來好處。”

其實Datuk Tony Tiah是Kluang, Johor, Malaysia人。他的爸爸以前是馬華的居鑾國會議員( 程榮美 ),他父母把最小女兒送給了以前居鑾富商當女兒( 張氏家族 )。TA Global 在 Kluang的土地以前是富商張氏家族的。Datuk Tony Tiah以前是一位中國傳統民間信仰人,每年新春都會去 Muar, Johor 的善財爺拜拜。在Kluang家族名聲不是什麼慈善之家. Hai - O老老闆陈凯希老先生也是Kluang人,在Malaysia每個人都很敬佩他。

如果你有閱讀TA &TAGB的新聞,他們公司每年的股東大會新聞放很多假新聞( 什麼什麼未來發展前景??? ) 以前常提到REIT,都已經有10年最近不提了。之前我都說了不能投資在這公司。公司給的股息又低,老板名聲也不是什麼大慈善家,在馬來西亞金融界也犯法過,如何能給股東們帶來好處????現在這兩家公司是Berhad, 可是實際情況上已經是 Sendirian Berhad,所以不能投資了。

是不是基督徒是不用經常[ 掛在嘴巴打廣告 ]。最重要是[ 嚴持淨戒,慈愛世人,才能與主同在。]

他們家族之前是住在Jalan Batu Pahat, Kluang, Johor.( 就是現在的錦和貿易公司 )的木屋。張氏家族就住在對面的山上的豪華獨立式洋房。張氏家族是當時居鑾的名人,在Kluang市中心有一條路是[ 拿督張秀科路 ]( Jalan Dato Teoh Siew Khor )。

之後TT 的父親當上 Kluang 馬華的國會議員,他們也搬遷到 Sunrise Park 住了。

居鑾人都叫TT 為 Ah Kian, TT年輕時是一位民間信仰人,每年都會到 Muar去拜善財爺。之前他信奉基督教,基督教的最基本教理是[ 愛世人 ],不知道他有學習到嗎???他們家族在Kluang 不是一位濟善家族。

(柔佛.新山26日讯)马来西亚房地产发展商协会柔佛州分会主席拿督张润安表示,发展商愿意配合财政部长林冠英作出房价需下调的宣布,但希望联邦政府和州政府能共同重新检讨一些过时的政策,以及一些过高的收费。

他相信,一旦这些已不合时宜的政策获得检讨,房价将得以调低至超出林冠英所预期的10%。

他说,尽管联邦政府豁免部份建筑材料的销售与服务税(SST),但发展成本并不是只有建材,还有其他费用,如图测、水电工程、土著保留单位等,这也令到建筑成本从过去的3至5%,增加至18%。

他今日偕同该会理事成员,在KSL酒店召开新闻发布会回应林冠英要发展商调低房价的要求时如是表示。

张润安强调,发展商并非拒绝支付发展所需缴付的部份费用,但他认为,一些政策向发展商收取的费用过高,需要作出调整。

询及哪一些发展成本对发展商造成冲击,张润安则表示待总会发表声明后,柔州分会才提供补充资料,他暂不做进一步说明。

许木兴:州政策也要调整

马来西亚房地产发展商协会柔佛州分会前任主席许木兴也说,发展商很大程度受政府的政策影响,而若联邦政府希望调低房产价格,州政府的部份政策也相应需要调整。

“如果联邦政府作出了宣布后,州政府依然维持现有政策,房价是很难下调的。”

张润安对于财长宣布房价需要调低表示欢迎,但他也向政府喊话,若要房价下调,发展商也需要政府的支持。”

(吉隆坡24日讯)财政部长林冠英敦促全国房屋发展商在政府于11月2日提呈2018年财政预算案前,调低住宅房产的价格,否则该部将宣布向房屋征收销售与服务税(SST) 。

他说,若房屋发展商无法降低房价,政府可能重新考虑向建筑材料及服务征收SST。

林冠英说:“我目前在等待马来西亚房地产发展商会(REHDA)针对住宅房产降价的报告,然后纳入预算案中,在国会提呈。

“如果没有收到降价的报告,我就会在预算案中,作出另外的宣布(征收销售税)。”

That TAE had on 2 July 2018 received a notice (“Notice”) from the Offeror to acquire all the remaining ordinary shares in TAE (“TAE Shares”) which are not already owned by the Offeror and persons acting in concert with him (“TAE PACs”) for a cash consideration of RM0.66 per TAE Share (“Offer”).
TAE received a Supplemental Notice from the Offeror today on the following :
In the event the Offer becomes unconditional (i.e., the Offeror and TAE PACs holding in aggregate, together with such TAE Shares that are already acquired, held or entitled to be acquired or held by the Offeror and the TAE PACs, more than 50% of the voting shares in TAE), the Offeror will trigger an obligation to undertake a mandatory take-over offer for all the remaining ordinary shares in TA Global (“TAG Shares”) not already owned by TAE, the Offeror and persons acting in concert with the Offeror in TA Global (“TAG PACs”) for a cash offer price of RM0.3101 per TAG Share, being the volume weighted average price of TAG Shares for the last 20 market days prior to the date of the Notice.
As at todate, the Offeror and the TAG PACs hold 816,267,920 TAG Shares, representing 15.34% of the TAG Shares in issue, while TAE holds 3,202,334,270 TAG Shares, representing 60.17% of the TAG Shares in issue.

In the event the Offer becomes unconditional (i.e., the Offeror and TAE PACs holding in aggregate, together with such TAE Shares that are already acquired, held or entitled to be acquired or held by the Offeror and the TAE PACs, more than 50% of the voting shares in TAE), the Offeror will trigger an obligation to undertake a mandatory take-over offer for all the remaining ordinary shares in TA Global (“TAG Shares”) not already owned by TAE, the Offeror and persons acting in concert with the Offeror in TA Global  (“TAG PACs”) for a cash offer price of RM0.3101 per TAG Share, being the volume weighted average price of TAG Shares for the last 20 market days prior to the date of the Notice.
