On 24 March 2020, the Prime Minister Tan Sri Dato’ Haji Muhyiddin bin Haji
Muhammad Yassin welcomed the “public-private partnership” between the Malaysian
Civil Defence Force (Angkatan Pertahanan Awam Malaysia, “APM”) and Nexgram
Holdings Berhad in launching the TracAPM Digital System.

The TracAPM Digital System has been tested in the Kuala Lumpur International Airport (KLIA) and will be used to digitally process travellers at the KLIA entry point and can also be used to verify
Vaccine Passports to be issued by Malaysia and other countries. Travellers coming to
Malaysia can register for the “SafeTravelPass” online at http://safetravelpass.tracvirus.com.my.

This digital pass can be verified by the TracAPM system at all airports and borders including the KLIA upon arrival. APM will implement and integrate the TracAPM Digital System with Ministry of Foreign Affairs, the Immigration Department Malaysia, the National Disaster Management Agency
(NADMA) and other relevant agencies to ensure secure and safe travel in and out of Malaysia.

RM33.3 million as compared to RM12.9 million recorded in the previous quarter

division which contributed RM22.2 million.

The Group recorded a profit before taxation of RM1.4 million for the current
quarter ended 31 January 2021 as compared to loss before taxation of RM2.8
million recorded in the previous quarter ended 31 October 2020. The profit
increased in this quarter mainly due to increase in revenue contribution from
healthcare division which are manufacturing of medical plastic products,

Next QR, mungkin kita boleh lihat banyak lagi pertambahan revenue dari HC jika TracVirus SafeTravelPass digunakan melalui operasi TracAPM yang dilink dengan SafeTravelPass dan diintegrasikan dengan Imigresen, Kementerian Luar Negeri, NADMA dan lain-lain agensi berkaitan kemasukan dan keluar dari Malaysia.

As a conclusion, capital reduction kadang-kadang boleh disertai dengan share consolidation dan ianya juga boleh DILAKUKAN TANPA melibatkan share consolidation.....
Bergantung apa yang hendak dicapai oleh syarikat berkaitan share consolidation tersebut.

1. Ada sesetengah syarikat merasakan share capital yang diterbitkannya terlalu besar dan sebahagiannya tidak digunakan sepenuhnya (not fully utilise) untuk operasi syarikat, dalam keadaan itu share capital akan dikecilkan dan mungkin juga dibuat melalui pengurangan (share consolidation) dan proceed dari capital reduction tersebut akan dipulangkan balik kepada pemegang saham.

2. Dalam keadaan Nexgram, ianya dibuat untuk kosmetik FA syarikat, iaitu untuk offsetting kerugian terkumpul (menghapuskan kerugian terkumpul), dengan itu FA syarikat nampak lebih baik dalam pandangan pelabur dan ianya dapat mengelakkan dari trigger GN3.

Ia tidak melibatkan pengurangan (consolidation) share atau Warrant.

Proceed dari pengurangan modal syer tersebut bernilai RM142,600,000.

Syarikat boleh memilih untuk pulangkan balik proceed dari capital reduction tersebut untuk dibayar balik kepada pemegang saham.

Dalam keadaan capital reduction yang dicadangkan Nexgram, proceed tersebut tidak akan dibayar kepada pemegang saham, TETAPI ianya akan digunakan untuk menghapuskan (offsetting) kerugian terkumpul syarikat.

1. Bermakna akan settle antara bulan April - Jun 2021.

2. Jika AGM pada 21 April 2021 luluskan dan capital reduction dapat diselesaikan sehingga tarikh 30 April 2021, report QR3 2021 (untuk Feb - April 2021) FAcc tiada lagi accumulated loss, malah akan tunjukkan retained profit.
3.
