It will not go to trial. The alleged losses in market capitalization are suffered by the shareholders. Serba has yet to demonstrate any losses in business operations (actual or fictional). The company does not have the locus standi to claim for losses in market cap. The case will be struck off.

Should not pecat. By claiming that the accounts are in order etc, he's effectively taking on liabilities upon himself. The moment the company gets delisted, aggrieved shareholders can sue him for 0.625 cents per share for breach of fiduciary duties, misrepresentation and fraud. This will be done via a derivative action. He needs to stay until the very end.

The claims against KPMG were made after after taking into consideration of:
"A loss of RM4,933,800,223.74 in SDHB’s market capitalisation"

The alleged loss in market capitalization is suffered by shareholders not the company. The right party to bring about the suit will be the shareholders, not the company. The claims also need to be specific and particularized, plaintiffs need to come with clean hands and losses need to be mitigated. All missing! The suit will likely be strike off.

On the other hand, the chairman can be subjected to defamation actions by describing KMPG as "shoplot auditor", "Sub-standard auditing" and "behaving like gangster" to third parties.

The chairman also said that he had ex-parte communications with the regulatory and enforcement agencies!?

"They are behaving like official gangsters, hiding behind the veil of whatever act they have. I have got all the information, I spoke to SC and I spoke to Bursa. I think you better clarify your information."

TheGardener, not familiar with Black Scholes 76 formula to go into futures options. Will never invest in a counter like Serba that will likely go bust. I was just watching in case the investors over there were to pee in their pants and the pee may bounce over to other companies in the sector.

I would not read too much into Uthaya Kumar's sale of 200k shares at 0.48. He's an independent non executive director and collected the most fees among all the INEDs. He received RM547k fees for FY2020 and still need to sell shares worth RM96k? Maybe he got margin calls in Serba? Anyway, his fees should be cut or be voted out.

markian92, nothing to do with balls. Any guy will have balls unless they were removed due to testicular cancer. The appointment of EY is not up to Karim. All the directors in the audit and risk committee can potentially face personal liability and breach of fiduciary duties actions if they failed to investigate credible allegations of fraud, especially those from the incumbent auditor.

Zuliana, it's not an issue of being afraid or is the party causing the issue. He who alleges must prove. Serba needs to provide documentary evidence to support it's financial reports. KPMG is not satisfied with the evidence and is not willing to sign off on the accounts. The burden of proof has not shifted.

Serba has agreed to an independent review. The independent review may only be performed by a person that is a member of a recognized professional body and who is qualified as an accounting officer. And in Serba's case, an international firm with presence in all the countries that Serba has business counterparts with is crucial.

Independent non executive directors are hardly the correct parties to perform an independent review. KPMG will certainly not be cowed into a position that compromises the integrity of the capital market in general, and their profession in specific.

Perhaps the following individuals can candidates for additional INEDs:

AKK - working experience in the Middle East and the ability to plead ignorance when questioned about any company's financial status is a plus point
MAA - good joget skills but need to be careful not to repeat previous mistake of displaying incriminating evidence in press conferences
DA - ability to deny any documentary evidence inclusive of video of Bali visits
MSA - bagful of tricks to delay any proceedings and can accept loan in lieu of fees

Awang Daud said that "technicalities of the stock market margin call" is another reason/excuse to sell.

As at last Friday morning, Awang Daud has 62.49M shares. Assuming an equity value to loan ratio of 130%, the outstanding loan will be RM30.76M. The share price drop from 0.64 to 0.605 has reduced the equity to loan ratio to 123%. In order to maintain the 130% ratio, 12.05M shares will need to be force sold at 0.605 this coming Monday. If the price were to drop to 0.58, 21.54M of Awang's shares will be force sold.

The formula will be:
Shares to be force sold = (1.3 * Outstanding Loan - Shares in Margin Acct * Share Price) / (1.3 * Share Price - Share Price)

Bursa has relaxed the rules to include other collaterals, such as bonds, collective investment schemes, unit trusts, gold and immovable properties for purposes of maintaining their client’s margin account that may be accepted by brokers and valued as per the brokers' credit policy. As such, the formula will need to be adjusted to account for top up of other collateral.
