Solar concession actually as good as Power Plant Concession. Need raise huge debts and equity to fund the construction/development, then earn back from future Tariff collection. The recovery period is long.

If the drop of share price is due to the business model, then we should worry whether Public Private Partnership model for public infra especially power plant actually whether feasible or not? And will this bring adjustment of rate to consumer?

10.1 Proposed Disposal
Based on the Disposal Consideration, the highest percentage ratio applicable to the Proposed
Disposal pursuant to Paragraph 10.02(g) of the Listing Requirements exceeds 100%.
The Proposed Disposal is subject to the following approvals being obtained:
(i) at least 75% of the total number of issued shares held by shareholders of SCGM
present and voting either in person or by proxy at an EGM to be convened as the
Proposed Disposal is deemed a major disposal; and
(ii) any other relevant authorities and/or parties, if required.
The Transfer of Properties does not required approval of the shareholders of SCGM.

Minority shareholders like us wont benefit, but they are in control, buying more they benefit more

Simple calculation - now they hold 40%, to approve disposal of core business they still need another 35% to ensure to get 75% vote in favor.

So now the share price is RM2.30+, then the disposal (if approved and success) will bring in RM2.80.

2.80 - 2.21 (special dividend plus capital repayment) = about 60 cents net cash inside the company.

If current share price is 2.30+ - 2.21 = the net cost is only 10 cents. Use 10 cents to buy back adjusted 60 cents NTA company some more they are in control (they can decide further declare speciail dividend, capital repayment), what harm for them to buy in further? The more they buy at current share price, the more they get.

One question, if SCGM so undervalued now, why management dont increase their stake now?
