啟昌股權變動 鄭博毅成大股東

(吉隆坡5日訊)近期頻頻買入陷困公司大批股票的億豐網通首席執行員鄭博毅,本週購入啟昌集團(ASDION,0068,創業板)29.47%股權,成為該公司的大股東。

啟昌集團過去幾天都出現大批股權在場外易手,該公司今日公佈大股東變動,億豐網通首席執行員鄭博毅和那昌盛(譯音)在2日分別買進15.13%和19.47%股權,從而成為該公司大股東。

鄭博毅和那昌盛之後在4日分別增持952萬股和749萬股,持股增至29.47%和30.76%。

而該公司的董事經理葉大智和另一名執行董事蔡學光(譯音)則宣布減持股權,葉大智共售出1445萬股,將持股降低至17.20%。

而蔡學光則悉數售出直接持有的303萬7800股。

值得注意的是,鄭博毅此前也曾買進凱達綜合紡織(HYTEXIN,5058,主板消費股)、PETONE資源(PETONE,7027,主板貿服股)、昱昇科技(WINSUN,0141,創業板)和大馬雅藝(MAEMODE,7075,主板工業股)等陷入困境的公司的股權。

啟昌集團在截至2013年3月31日止的財政年,營業額為599萬6000令吉,但面對257萬8000令吉的虧損。該股週五收在0.38令吉。

柳谷短期獲安邦路線快鐵合約

(吉隆坡29日訊)柳谷(WILLOW,0008,主板科技股)短期內將宣布獲總值逾1000萬令吉的合約,為安邦路線輕快鐵延長工程,設計、製造、安裝,測試以及調試提供監控與數據採集(SCADA)和監視器(CCTV)。

柳谷董事經理許彩薇透露,「我們剛在昨晚和今早簽署兩項輕快鐵相關合約。」

她在柳谷常年股東大會後,向記者發表以上談話。

截至4月份,柳谷的合約總值達5000萬令吉。柳谷設下目標在2013財政年達到1億令吉營業額。達到有關營業額目標的推動力主要來自于新馬業務。

大馬市場方面,除了為安邦路線輕快鐵延長工程,提供SCADA和CCTV服務,柳谷也期望獲得其他綜合監控系統(Integrated Monitoring System,簡稱IMS)工程。許彩薇稱,「相信有關單位在今年和明年將陸續頒發多項IMS計劃。」

柳谷(新加坡)系統有限公司首席執行員譚俊也透露,該公司正競標新加坡水務相關的災害監測(disaster monitoring)系統合約。譚俊希望,新加坡業務可在2013財政年取得2500萬新元營業額。

譚俊表示,柳谷新加坡將專注于提升油氣領域的系統以及水務監控系統。

譚俊補充,「我們在去年底取得為期3至5年的合約,建設兩個新的電纜隧道(cable tunnel)。另外,我們也取得為期一年的入侵檢測(intrusion detection)系統合約,預計明年5月竣工。」

探索新市場

柳谷的淨利主要貢獻來自于新加坡市場,占該集團淨利的80%比重,剩餘的20%比重來自于大馬、印尼,泰國以及歐洲市場。

至於柳谷是否探討進軍新市場。許彩薇指出,「我們在中東有代理,柳谷將通過這家代理探索新的市場,如土耳其。不過,目前仍處於初步階段。」

許彩薇在去年的記者會上表示,冀望柳谷2012財政年可取得20-25%的銷售成長目標。許彩薇披露,柳谷已達標,去年總銷售達1億5000萬令吉。

針對今年的銷售增長,許彩薇表示很大程度上取決於政府推行的基礎設施工程。「我們正競標數項龐大計劃,有待定案,所以無法透露銷售目標。柳谷正競標超過2億令吉的工程。我們無法確認,這些競標中的合約是否全數轉為銷售。」

就資本開銷,柳谷可能在今年和明年撥出100萬令吉至200萬令吉。許彩薇稱,「去年資本開銷約100萬令吉,主要是研發計劃(R&D)和提升軟件的費用。」

展望未來,許彩薇認為,隨著大馬政府陸續頒發大吉隆坡(Greater KL)和經濟轉型計劃下的工程,相信公司前景正面。

WCT loses Oman expressway job contract worth more than RM1 billion

KUALA LUMPUR (April 8): WCT Bhd has lost the Batinah Expressway joint venture (JV) project contract worth in excess of RM1 billion in Oman after the Sultanate decided not to proceed with the project.

In a filing Monday, WCT said that the director of Tenders and Contracts Department of the Ministry of Transport and Communications of Oman had on April 6 informed the company and Oman Roads Engineering Company LLC (its JV partner) of the decision not to proceed with the project.

WCT did not specify the reason why the Omani sultanate did not proceed with the project.

WCT had on Aug 16 last announced that it had been awarded the project together with its 80:20 JV with Oman Roads Engineering Company.

It had then said the contract sum was 123.22 million Omani Riyals (more than RM1 billion).

KUALA LUMPUR (APRIL 8): Nextnation Communication Bhd (NCB) has inked an agreement with Bidang Lagenda Sdn Bhd (BLSB), owned by Al Batha group, to acquire the latter’s office building in Bangsar South for RM64 million.

After the purchase is completed, Al Batha group of the UAE will become a key shareholder of Nextnation.

In a press release today, NCB said that the purchase will be satisfied via the issuance of 192 million new shares of RM0.10 each in NCB at the issue price of RM0.30 each, together with up to 120 million free detachable warrants and a cash payment of RM6.40 million.

The Al Batha Group will emerge with an equity stake of up to 22.69% in NCB, potentially rising to a maximum of 32.30% if the group exercises all of the warrants issued to it.

“On completion of this acquisition, NCB's net assets (NA) per share shall increase to up to RM0.19 per share as compared to RM0.17 per share for the financial year ended April 30, 2012,” said NCB.

“NCB believes that this increase in its NA would benefit shareholders in the long term as part of NCB's strategy to increase shareholder value,” it added.

The boutique office tower in Bangsar South City, Kuala Lumpur, is an eleven storey office building and it is part of phase I of Bangsar South.

Al Batha Group is one of the largest private business groups in the UAE, according to its website.

The group consists of more than 20 companies with interests in automobiles, pharmaceuticals, contracting, manufacturing, electronics, real estate and education.

KUALA LUMPUR: LBS Bina Group Bhd’s long drawnout negotiations to dispose of its tract in Zhuhai, southern China, to Hong Kong-listed entity Zhuhai Holdings Investment Group Ltd may be finally reaching an agreement.

“Both parties are rushing to complete the deal as the memorandum of understanding (MoU) will lapse on April 17. Currently, it is in the documentation stages and both are very close to signing the [sale and purchase] deal,” said a source familiar with the matter.

LBS Bina has taken a year to conclude the divestment after the signing of the MoU, according to the source, as the settlement of the proceeds involves issue of shares in Zhuhai Holdings plus promissory notes and cash.

Zhuhai Holdings’ share price closed at HK$1.18 (46 sen) last Friday with a market capitalisation of HK$1.32 billion. Should the land sale materialise, LBS Bina could reap over RM600 million based on an indicative price of about HK$1.65 billion.

Some analysts concur that it would be a value enhancing deal for LBS Bina given that the value of the 197 acres (78.8ha) is worth more than the company’s current market capitalisation of RM392.7 million as at last Friday.

Having a local partner on board would help kickstart the development, which has been delayed for years, said a dealer, and LBS Bina would be able to benefit from it by holding an equity interest in Zhuhai Holdings.

However, according to analysts, they hold a cautious stance until an official announcement is made to Bursa Malaysia because LBS Bina has taken too long to conclude the land sale.

The company has been in talks with Zhuhai Holdings, formerly known as Jiuzhou Development Co Ltd, since early 2010. LBS Bina entered into an MoU with Jiuzhou Technology Co Ltd, a wholly owned unit of Zhuhai Holdings, in April 2012. Zhuhai Holdings is a Chinese state-owned entity that operates ferry services and a hotel chain in China.

The MoU was an expression of Jiuzhou Technology’s intention to buy up to 100% but not less than 60% stake in Dragon Hill Corp Ltd, a wholly owned unit of LBS Bina.

Dragon Hill has a 60% equity interest in a 36-hole golf course and 197 acres of developable land in Zhuhai. The MoU, which originally expired last October, was extended by six months for due diligence.

On its local businesses, LBS Bina has set a sales target of RM1 billion this year, after surpassing RM800 million in 2012. The group’s sales figure will be buttressed on its unbilled sales, which amounted to RM745 million as at last December.

The property developer’s launches this year and ongoing developments comprise about 5,600 property units worth a total gross development value of RM3 billion.

LBS Bina’s share price spiked up to nearly a five-year high of RM1.03 last Friday, gaining 22.6% year to date.

The Lim family, who founded LBS Bina, has been acquiring shares on the open market in recent months. Its investment vehicle Intelrich Sdn Bhd raised its stake to 50.69% as at March 1 from 48.2% last May.

配售10%新股‧億豐網通看法負面

(吉隆坡22日訊)億豐網通(NEXTNAT,0096,創業板科技組)宣佈私下配售10%新股,將配售至少5千950萬股或至多8千460萬股新股,售價稍後決定,此計劃將於今年第二季完成。

分析

達證券對億豐網通的私下配售計劃感到驚訝,因該公司剛於3月11日宣佈調整附加股加憑單計劃,共集資9千930萬令吉(原本計劃集資6千980萬令吉)。

因此,該行對最新建議持負面看法,因為私下售股再加上附加股建議,將令該公司每股盈利在2014/15財政年被沖淡44%/47%。

億豐網通在不到一年內積極集資,若包括所有憑單轉換為股票後,從中可能籌集1億4千960萬令吉資金,該公司目標是籌集7千零60萬令吉(不包括憑單轉換),超越其目前的5千零50萬令吉市值。

由於億豐網通有意從科技業跨足產業發展,達證券對該公司短至中期的盈利前景深感審慎,再者,其產業計劃須較長消化期,第一期工程預計在2018-19年才完工,同時需要大筆首期成本,包括人事開銷,因該公司計劃成立內部產業發展團隊。

達證券關注憶豐網通進軍產業投資所面對的執行風險和員工成本,以及該公司股本將暴增117%的課題,因此保持“沽售"建議,目標價調整為9仙。(星洲日報/財經)

提高效率释放价值 WCT拟分拆业务

(八打灵再也29日讯)WCT有限公司(WCT,9679,建筑组)将建立2个拥有个别资产负债表的个体,让它拥有更高效率集团架构以及更能反映出其业务。

这项重组活动旨在释放WCT公司目前被建支臂掩盖之产业发展业务的价值。

据WCT与WCT置地有限公司企业事务董事黄毅凯透露,该集团已经提呈重组申请予当局,并预料将在第2季完成。

在建议中重组下,上市地位将转移予WCT控股有限公司(WCT Holdings Bhd)及将拥有工程支臂WCT公司,及产业发展支臂WCT置地。

黄毅凯告诉The Edge财经日报:“上市转移将可能在今年第2季度落实。”

目前,分析师称,虽然该建筑与工程公司已经积极扩充其地库以多元化收益,但其产业发展支臂的价值并未反映在WCT公司上。

马银投银研究披露,建筑和产业部门的收益,于2012年首9个月各占了集团贡献的50%。

其研究报告指出,管理层放眼于2016财政年增加产业部门的贡献至55%。

吉隆坡第二国际机场综合大楼(2013)、新山购物广场(2014)、吉隆坡OUG一间广场和新山Premiere酒店(2015)、以及OUG另一间酒店(2016)等计划,预料将在未来数年推动WCT公司产业发展和管理业务的贡献。

重组程序后WCT置地建立一个信誉良好产业发展品牌的焦点,已经引发该集团最终将把产业发展支臂重新挂牌的传言。

黄毅凯称,这项选择仍然考虑中,但董事部尚未拍案。

他说:“董事部目前还没有任何计划,但我认为更重要的是我们要透过重组释放产业部门的价值。”

其产业发展业务始于1996年,当时在巴生武吉丁宜镇进行一项耗资47亿令吉发展值的发展,包含住宅房屋、商店、办公室、以及东南亚最大永旺购物广场。

WCT公司执行董事曹凯强最近表示,迄今该集团已经透过WCT置地累积约2000英亩土地,大部分位于巴生谷,其中尚有约1000英亩待发展。

他指出:“约略,我们在武吉丁宜镇仍拥有350英亩土地。这将发展为商业产业。我们拥有约15英亩面向武吉丁宜佳世客,我们将耗资约1亿5000万令吉发展为一个综合商业办公室。”

最近,WCT公司投资于柔佛依斯干达区迅速成长产业领域,租赁奴沙再也北Medini的18.12英亩土地。这幅土地将进行一项综合发展计划,发展值达15亿令吉。

WCT公司也在Medini商业区购入10.3英亩地段,以着手另一项综合发展计划,包括170万平方尺黄金办公室空间,与零售和服务公寓毗邻。

除了发展中城镇,WCT公司也投资于产业管理业务。其首间购物广场,是由集团本身兴建和经营,坐落在格拉纳再也。

位于白蒲大道的Paradigm Mall,已在去年建竣,让该集团落实多元化收益来源至产业管理的更稳定持续收入。

除了Paradigm Mall,WCT公司也以Premiere品牌展开一个酒店连锁。其首间Premiere酒店建于武吉丁宜镇,而第2间则在Paradigm Mall发展区内。

籌資進軍產業市場‧億豐網通不受看好

分析

分析員認為該公司進軍全新且毫無關聯的產業發展市場,加上這項業務短期內無法貢獻盈利,卻會沖淡每股盈利,因此並不看好上述計劃。

達證券認為附加股計劃將影響投資者的購興和股價,並在考慮到盈利沖淡效應後,將目標價從13仙調至9仙,評級從“守住"下修至“賣出"。

週二閉市,億豐網通收10仙,平盤。

達證券表示,產業發展與該公司核心資訊科技業務毫無關聯,該公司卻設下未來貢獻超過25%淨利的目標。

“產業計劃醞釀期約4至5年,附加股計劃預計在2013和2014財政年沖淡28%和35%盈利。"

該行補充,該公司恐怕也難以兼顧產業發展和去年9月開發的外包業務。

“這項計劃的風險,料超過建設內部數據中心帶來的撙節效應。"

該行假設附加股全數獲認購,估計2013至2015財政年盈利預測將提昇13%、7%和6%。不過,由於產業計劃須待2018至2020才貢獻盈利和撙節成本,因此該行並未納進其影響。(星洲日報/財經)

該公司宣佈以3配2比例發售3千963萬9千600股附加股,每股發售價為11仙,再隨每5股附加股派送3憑單比例,派發2億3千783萬7千600單位憑單;附加股計劃最低可籌措1千173萬令吉,最多可籌措4千360萬令吉,資金將用來融資該公司將進行的綜合產業發展計劃。

一旦憑單被行使,估計可籌措2千616萬令吉。

該公司表示,公司去年收購雪邦一塊面積高達5.9英畝的地段,並和Graha Tunas Makmur聯手進行首階段的商業產業發展計劃,董事部因而預見,地段發展將佔公司淨利和總淨資產的25%或更多。

上述地段的初步總發展值和總發展成本各達約3億6千410萬和3億零120萬令吉;稅前盈利估計為約6千290萬令吉。整項計劃估計需4到5年完成。該公司也正和數潛在夥伴,包括Graha Tunas Makmur,探討進一步的聯營計劃。

該公司相信,除保持並加強現有的資訊科技業務,綜合產業發展計劃也是另一值得開拓的核心業務商機,以讓公司能夠避免專注單一行也的風險,尤其科技業的競爭愈來愈激烈。

另外,附加股發售價11仙,是億豐网通截至1月11日的5天加權平均價10.72仙;憑單的行使價也是11仙;一旦憑單被行使,估計可籌措2千616萬令吉。

(吉隆坡24日讯)亿丰网通(Nextnat,0096,创业板)截至2012年10月31日财年次季,净利按年大涨3.31倍,报144万1000令吉,上财年同期为33万4000令吉。

次季营业额则增长18%至1755万8000令吉,上财年同期为1487万2000令吉;每股盈利从上财年同期为0.08仙,增加至0.31仙。

累计两季业绩,营业额按年扬16.3%至3416万6000令吉,上财年同期为2935万5000令吉;净利则下滑22%报271万2000令吉,上财年同期为348万9000令吉;每股盈利从上财年同期为0.84仙,减少至0.59仙。

亿丰网通表示,累计两季业绩净利录得下滑,主因是上财年同期脱售子公司录得340万令吉获利。
