Goodkiller, that won't happen in billion years mah...because they always do thing right, legally and ethically...while TPY and OKA? Not even their directors and lawyers believe them....it should be count as something LOL...

@BJ corp...aioo...you are so misinformed...there is no court order because the court has not decide on TPY and OKA's injunction application. That's why this morning Protasco's lawyer will challenge the ex parte petition and they will succeed in setting aside the application because the original drafter of the petition (Gideon Tan, the ex lawyer) is not present to argue his petition. The one that will defend the petition is a newbie, greenhorn and not that good young lawyer.

The rest....be careful mah....you are slandering people without facts and you will go to jail if Protasco lodge police report against you.

Why you should sell your nexgram's share:

1. Their directors don't believe them.
2. Their lawyers don't believe them.
3. RM 90million worth of hole in the financial report.
4. TPY and OKA will get the boot from Protasco today.
5. TPY will get the boot from MP Corp as earliest as next year.
6. Nexgram don't have any assets.
7. Nexgram financial condition is in dire state.
8. All nexgram projects is hoax or dead.
9. TPY and OKA is soon to be charged with criminal offense in three jurisdictions: Malaysia, Indon, BVI.
10. Nexgram's share will fall into 0,01 soon enough.

BJCorp....aio....yesterday I'm a lawyer, now I'm chong's son...make up you mind mah...

Actually, the vote to postpone till 3pm and TPY's injunction shows one facts: Dato Chong has successfully secured the voters to side with him. TPY and OKA understand this and that is the reason they retorts to challenging the technicality of the EGMs rather than face the music...

PROTASCO Bhd’s boardroom battle escalated when Tey Por Yee and Ooi Kock Aun blocked the construction firm’s bid to remove them as directors at its extraordinary general meeting (EGM) yesterday.

An injunction filed before the scheduled EGM prompted Protasco chairman Tan Sri Hadenan A. Jalil to adjourn the morning meeting to the afternoon, and later called for a vote to postpone it. Shareholders subsequently voted to postpone the meeting to 3pm today.

Tey’s lawyers had served the injunction against the company, executive vice-chairman and group managing director Datuk Seri Chong Ket Pen and director Tan Heng Kui.

The injunction, filed at the Kuala Lumpur High Court, was to prevent Chong, who owns 22.4 per cent of Protasco, and Heng Kui, who owns 1.7 per cent, from voting on the resolution to remove the duo.

“The company’s lawyers will seek to set aside the injunction at 9am (on Thursday),” said another director, Tan Yee Boon, after the six-hour meeting yesterday.

However, he declined to speculate on the company’s next move should it fail to dismiss the injunction.

Tey and Ooi, meanwhile, walked out of the EGM before the vote on the adjournment was cast.

They claimed that the adjournment was “illegal” as it contravened with the company’s Articles of Association.

“We were advised by our lawyers to walk out because of the illegality of the meeting and there was no point in proceeding,” Tey said on the sidelines of the EGM.

Yee Boon defended Hadenan’s decision to adjourn the meeting, saying that shareholders did not say anything when consulted.

Meanwhile, UOBM Nominees (Tempatan) shareholder representative David Thomas Mathews said the EGM would make no sense if the substantial shareholders were not allowed to vote.

Chong and Heng Kui had requisitioned yesterday’s EGM for shareholders to vote on the resolution to remove Tey and Ooi.

In return, Tey and Ooi had requisitioned another EGM tomorrow to oust Chong from the board.

The face-off between Tey-Ooi and Chong- Protasco stemmed from a failed deal in Indonesia.

Protasco had in September filed a suit against Indonesia’s oil and gas firm PT Anglo Slavic Utama to recover US$27 million (RM90.45 million) in monies paid, and against Tey and Ooi for conspiracy to defraud, hiding their beneficial interests in PT ASU, making secret profits and breach of their fiduciary and statutory duties.

Protasco had attempted to buy a 63 per cent stake in PT Anglo Slavic Indonesia but the deal was terminated after the fraud was allegedly discovered.

In return, Tey filed a derivative action against six board members of RS Maha Niaga Sdn Bhd, including Chong, to recover RM10 million for Protasco.

Aio.....the coward Tey Por Yee, Ooi Kock Aun and their not too smart lawyer. Their actions yesterday means that they couldn't cast vote today and they have 17% + 1,6% worth of Protasco shares because if they did then they will also acknowledged the legality of yesterday's vote, which they said was illegal. LOL LOL

Tey Por Yee and his magical arms length deal with Protasco
As the countdown to next week’s Protasco EGM continues, here are some interesting points to ponder for shareholders who may want to consider why Tey Por Yee should be kicked out from Protasco’s board.

Actually all those who have dealings with the Tey Por Yee syndicate and also the public at large should take note of this cautionary tale.

Just to go back a little Tey Por Yee had in 2012 brought to the attention of Protasco a deal to invest in an oil and gas venture in Indonesian concern PT Anglo Slavic Indonesia (PT ASI).

As part of the deal some RM50 million was paid upfront, and as collateral shares in a seemingly unrelated Indonesian company PT Inovisi was pledged as collateral to Protasco.

It should be noted that all this while the Protasco board (the innocent members of the board that is) thought they were dealing with Indonesian companies and businessmen.

Tey Por Yee was allegedly arms length away from the deal. His only interest or so he was to lead the board to believe was with Protasco benefiting from the deal.

Now back to the PT Inovisi shares pledged for the deal. These shares were in the name of Acclaim Investments, a company registered in the BVI with a paid up capital of US$100.

It has now emerged that Acclaim Investments was set up in 2009 with just two shareholders. Guess who? Tey Por Yee with 85 shares and his sidekick Ooi Kok Aun with 15 shares.

(As for February 6, 2014 these two men now no longer own any shares in Acclaim. It is now 100 per cent held by one Lim Sue Fern)

Plus the fact that Tey Por Yee and Ooi Kok Aun also own or have beneficial interests in the various companies with interests in the PT Slavic deal one can now see this tangled web that the two men spun to entangle Protasco and ultimately receive US$27 million in a deal which has just fallen apart.

So not bad lah this magician. He has got the US$27 million, Protasco has lost the money and there’s no deal on the table any more.

You can draw your own conclusion as to who got cheated and who was the victim of what can only be called a giant scam.

So who do you think you would vote out of Protasco’s board?

Replacing Gideon Tan with Raj, Ong & Yudistra sealed TPY and OKA's fate. Gideon is one of the best commercial litigation lawyers in Malaysia and Singapore. He is very smart, keen, ruthless and always cast fear in the heart of opposing counsel. On contrary, ROY, in particular Ong Yu Jian as the handling partner is a newbie, unexperience and not a good commercial litigation lawyer.

It begs the question, why TPY and OKA switch their attack dog, a giant rottweiler with a mini poodle? Because the rott think his master is a not a good person and run away but the scheduled pit fight is two days away. What to do? Go to the nearest pet shop where only a poddle available.

Maria that's where the minorities plays an important role. Why they would like to discharge chong if they hate chong's adversaries for wasting their time? They would be happy to vote for chong and kick tey-ooi till the kingdom come. See what a huge mistake by that foolish strategist by filing injunction today?

Stock

About the minority shareholders...u cannot think for yourself eh?...tey + ooi owns 19% of protasco shares....recently he bought shares up to 5%...so that make their combine share more or less 25%. Dato Chong's + Tan shares is 30%. They bought up to 10% recently...make their total shares of 40%, meaning they only requires additional 11% to kick TPY and OKA. Therefore every vote is count and when you irritates voters, it would only make them happily votes against you for the sake of it. Understand?
