Selling off the loss-making subsidiary for RM1 has provided the optics for an improved balance sheet and gives time for the company to smooth out the write-offs against earnings from the other profitable venture.

What is not visible, however, is the value of the previous subsidiary's tax losses. Four times ( 1/25%) of the accumulated losses can be used for channeling in pre-tax profits.

If transactions were to be undertaken to reap the benefits of the accumulated losses, and in parallel to the write-offs by the previous majority shareholder, secret profits would have been made. The party that has enjoyed the secret profits will become constructive trustee ( see also FHR Ventures v Cedar Capital ), and there is no statute of limitation for trust property.

The proper route that the Management should take is to get a judgment debtor sum and apply a garnishee order to attach the ex-subsidiary's bank accounts. In order to assess whether the Management will choose this route, I will do searches on the ex-subsidiary and the ex-subsidiary's now main shareholder's accounts and will zoom in on the names of officers and date of tabling of the last financial results.

KUALA LUMPUR (July 14): The Government may need to impose a windfall tax on companies that recorded extraordinary profits during the Covid-19 pandemic, said former Prime Minister Tun Dr Mahathir Mohamad.

According to him, the tax will enable the Government to increase its financial resources as well as help the people who are affected and increasingly squeezed by the Covid-19 pandemic.

“This windfall tax is not an unusual thing...this may help the Government because in this time of emergency and Covid-19 problem, we have to spend a lot because we need to help the poor, to give out extra income and we need to feed people who have no food.

“So all these need to be done and require money. But if we follow taxes normally, there will be less (economic) activities and the Government will also get less taxes," he said as a member of the forum panel entitled 'Can the Malaysian Economy be Saved?' which was posted on Facebook Reset Malaysia today.

Everybody in market acknowledged that Serba has been victimized by auditor with silly irregularity finding. That is a reason why the share price rebound since last week.. We need to give time to Serba via their independent auditor EY to provide second opinion..
