And instacom benefit from bigger revenue , profit base and share base from post merger laying road for main market transfer?

Post merger, neata will own 1/3 of instacom and with projected profit of 20m a year the share swap actually put both company on the same ground, ie 6mil profit swap. However if instacom can move to main market with better p/e say 7 or 8 + bag in extra projects then neata will benefit from it. Could be the reason why instacom asked for guaranteed profits.

Instacom getting more Telco Project boosting their earning and Neata sort of getting a "back door" listing by injecting some of their business into instacom? win win situation?

However, if this is a share swap deal, meaning Neata directors going to received instacom shares, why are they giving up their company's earning to share with Instacom shareholders and in return getting a lower return back from Instacom???? unless something good is happening in Instacom.

@busyweekly instacom only have 35% share of Neata so only RM6mil will goes into its accounts. I guess is the expensive premium to pay for the acquisition. seriously I don't see value in this acquisition. No wonder Anne exit her shares earlier.

so can the free warrant compensate existing shareholders on the lost of mother shares? I doubt it lor.

702mil shares with PAT of RM 25mil. EPS = RM0.036 x P/E 6 = current market value of RM 0.21

on the same basis my post merger computation will bring price down to RM 0.12 if 2014 profit cannot sustain 2013 level.

additional 310mil shares issue will dilute the existing shareholders value.
Current total shares is 702mil add another 310mil new shares, that will bring total shares to 1012mil. Assuming 2014 earning is around 13mil (about half of 2013) add guaranteed earning from new business of RM6mil (RM17mil x 35%) total earning will be RM 19mil. Take RM19mil/1012mil, EPS will be RM 0.02 and with P/E of 6, Market price will be RM 0.12.
Expert out there. tell me if my calculation is wrong. so price will drop from RM 0.22 to RM 0.12 post merger?

Imagine if Anne disposed to a proxy and the proxy sells in the open market then small shareholders like us got trap and the reason for such move is to exit her shareholdings without too much question from other investor. also she may be able to put up good story.....hehehe.

On their qtrly announcement the reported shareholders' equity is at 170mil with NAV of 0.24per share. however, taking a closer look you will noticed the shareholder equity is artificially inflated by an item called "goodwill". Removing this amount the actual NAV will be at RM 0.133per share. So, what is the actual value of the company? having said that I am still holding on to this counter. riding through the infra development in Sarawak.

now that the result is out, we can only wait for project announcement which is the final catalyst. without new projects, Instacom is dead. I am "cautiously optimistic" ....;P

The transfer to main Board actually creates no additional value to shareholders. will the company NAV increase? absolutely not.
With Instacom current Financial position, any potential M&A will have very little value as they are too small, I rather the management team stay focus in securing more projects which will help the bottom line.

I give neutral view. Not negative. Until something is concrete then we say abt it. Saying this qtr result will be strong is speculative. At best guessing. If u know something that we don't know and is 110% sure then that is called insider trading.

fortunebullz....I am positive but you are super bullish. until positive news is confirmed everything hearsay from the market is rumour. but again, when news is out, then is a bit too late to get in.

audit report will not push share price up as the results has been reflected in Q413. audit report merely re-confirming the Q413 position. need strong Q114 results or annoucement of new projects.
