區塊鏈應用 - 「融資鏈」

上一篇解釋了營運鏈，今篇主要講「融資鏈」。「融資鏈」則是利用區塊鏈技術進行融資，過去兩三年不少人利用區塊鏈「掛羊頭賣狗肉」進行ICO (Initial Public Offering)，但由於ICO所發行的通證(Token)並非證券，不受證監會所監管，因此ICO濫發圈錢的情況嚴重，而不少項目只是一種虛構的概念，背後並沒有任何資產所支持，發行人圈錢後可逃之夭夭，投資者沒有任何保障。有別於不屬證券亦沒有監管的ICO，STO (Security Token Offering)屬於證券，受監證會所監管，其背後亦有資產所支持，簡單而言，STO所發行的就是數碼化的資產擔保證券(Asset-backed Securities)，至於資產種類，可以以公司股權(equity)、實體資產如物業(properties)、土地，甚至是公司未來的現金流收入，其實只是利用區塊鏈技術將資產證券化。

有別於傳統的IPO上市或將股權售予VC進行上市前融資，公司只能將股權出售予公眾，對創辦人而言，股權會被攤薄，公司再發展動力減低；對投資者而言，一般小股東手上的股票對公司沒有影響力，對於公司的決策甚至派息與否均無權過問，帳目的真偽亦未必能有百分百的保障，同時亦會面對上市公司的「財技」如供股等問題。因此，對投資者而言，STO的好處是針對性得到投資者想得到的收益或資產。對於偏好現金流的收息類投資者，最關注的是派息，STO可將公司的未來穩定的現金流收入如租金證券化成通證，投資者買入通證後享有公司未來現金流的收益權。租金收入上升，通證價格會上升，反之亦然。而最重要的一點是，區塊鏈「去中心化」和「不可篡改」的特點，直接將公司financial ERP系統與區塊鏈連接，即投資者會即時知道公司每月的租金收入情況，到期自動分派收益，連核數師或公司做假帳風險都能夠規避，亦沒有上市公司的財技風險問題。

有讀過我較早前的文章或現金流為王1&2的讀者可能都會知道，我一直都強調現金流，而我其中一篇文章亦曾提及，「對一件資產而言，如果現金流是前傳，那麼資本化(Capitalization)和證券化(Securitization)便是最完美的結局。「現金流為王」去到最終、最極緻便是資本化和證券化，從而去完美體現一件資產的真正價值，或者應該說去完全發揮一件資產的潛在價值。」

我一直都在努力實踐這個「價值釋放」的理念。去年10月，我隨財政司司長陳茂波率領的金融科技代表團，前赴倫敦交流，期間我們與美國最大的通証發行平台 Securitize LLC歐洲主管Ms. Breige Tinnelly會面並即時簽訂了戰略合作協議，把部份資產通証化並於英國最新金融科技持牌證券商平台作融資。來年我會以STO的方式將Comboxx每年達數億的現金流租金收入證券化，大家拭目以待﹗
