Pursuant to Paragraph 9.04(e) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of the Company wishes to announce that the Company has on 31 March 2016 accepted an overseas project financing facility totalling USD125.0 million granted by Export-Import Bank of Malaysia Berhad (“Facility”). The Facility is to finance the Company’s working capital, capital expenditure for the Rakushechnoye Oil and Gas Field and acquisition of oil and gas assets.

Sumatec had on 8 March 2012 entered into the joint investment agreement with Markmore Energy (Labuan) Limited (“MELL”) and CaspiOilGas LLP (an effective wholly-owned subsidiary of Markmore Energy (Labuan) Limited) for inter-alia, the appointment of Sumatec to carry out the operations related to the production of hydrocarbon (i.e. oil and gas) from the Rakushechnoye Oil and Gas Field (“JIA”).

The Sumatec group’s core business is currently related to the production of hydrocarbon (i.e. oil and gas) at the Rakushechnoye Oil and Gas Field within blocks XXXVIII – 11 - F (partially), 12 - D (partially), XXXIX –11 – C (partially), 12 – A (partially) in the Karakiyan District of the Mangistau Oblast, Kazakhstan.

The utilisation of funds from the Facility is expected to have a positive effect on the future earnings of the Sumatec group. However, the Facility (when fully drawn) is expected to increase the gearing of the group. For illustrative purposes, based on the audited consolidated financial statements of the Company for the FYE 31 December 2014, the Facility is expected to increase the gearing of the group from 0.04 times to 0.86 times.
