Just want to say this counter be careful. Buy volume 3 or 5 times bigger than sell volume. All fake buys which can be withdrawn easily. Purpose is to entice people to buy the small sell volume. Some operator is very active in this counter lately.

This is where UK based merchant bankers New World Capital Advisors comes in. BJCorp paid almost RM1 billion to subscribe in 40% shares in NWC Malaysia in March this year. It could be in form of cash or shares? So far they have been suspiciously very quiet eventhough office located at Berjaya Times Square.

- Bjcorp just announced its detailed restructuring plan, with key headlines figures such as RM2b divestment within 2 years, RM5b divestment within 5 years, paring 50% of borrowings/debts within 3 years.
- Operationally, Bjcorp has more than 20 types of businesses brands including lottery (Bjtoto), hotels & malls( Four seasons, ritz carlton, Berjaya time square, >10 berjaya brand hotels in Malaysia & overseas), brokerages & insurance(Interpac securities, Saigon bank, Berjaya Sompo), retail & food(Cosway, 7-eleven, starbucks, jollibean, kripy kreme), property development(Bjland), telco (redtone, u-mobile) and education (Berjaya college).
- The operations is too diversified and messy before this as it is not easy to manage such many subsidiaries. This have caused Bjcorp to trade at steep discount of its book value and been generating losses.
- Nevertheless, with Jalil coming into the board, we can see that Bjcorp’s plan is to streamline the whole business model to be more organised and unlock plenty of value within its assets. With the planned divestment of non-core assets by selling off unprofitable businesses, this can clean up the balance sheet and there are good potential to turnaround the business.
- Financially, Berjaya Corp currently has about RM1.2b cash and RM5b debt. Divestment of RM2b assets within 2 years (+40sen/share) and RM5b within 5 years(RM1/share) will largely strengthen the cash position and paring down debts. If everything is in line with the restructuring plan, Bjcorp potentially turn into net cash company within few years after clearing all loss-making operations.
- With the restructuring plan ongoing and Bjcorp turn into profit, this will also unlock the value of other core business which was previously discounted. There are plenty of value in the group’s subsidiaries; such as U-mobile(talks of going IPO), Bjtoto(defensive and churning good profit), 7-eleven, landbanks in Bjland (worth more than RM5-6b estimated) and many others which are yet to be factored in.
- To give a sense, Bjcorp now trading at only about 0.3x book value(a 70% discount to true value). If we strip out Bjcorp’s stake in Bjland and Bjtoto, its only 0.2x book value (a 80% discount). The conglomerate’s NTA is at RM1.18(excluding accretion from unlocking various busineses’ value), while current share price only 33sen. This means that there is a potential >400% share price upside if everything goes well for them.
- From TA perspective, Bjcorp attempts to rally from recent selldown(with low volume). It breakout and stay above near-term resistance of 32.5sen which is deemed healthy. Subsequent resistances are at 38.5sen and 46.5sen respectively.

Currently all Berjaya companies has a cross holding ownership structure which needs to be addressed & unwound to attract more institutional holders from current 6%. So expect more trimming of non direct interest shares sales from various VT companies from time to time. As long as the direct interest controlling shares are not sold & tightly held by major shareholders & market can absorb the excess shares there shouldn't be major issues unlike the current sell down of Serba Dinamik.

VT can do it together with 7Eleven for Caring why not BLand as low hanging fruits with only 13% minority left to control all foreign & local assets & cash beneficial for Berjaya restructuring? A restructured & professional run Berjaya will be more attractive to foreign investors. The shell company after takeover can be used for backdoor listing of VT company like UMobile etc?

What VT has done is only trimmed his indirect holdings to friendly parties. 9 million shares is peanuts to VT as only valued at RM2.7 million @30 sens per share. He has not sold any of his direct shares of 1283 million while indirect shares 1211 million.
"Including today's transaction, he has cumulatively disposed of nine million indirect shares or 0.09% stake over the past two weeks."
At the moment VT hold Bjc as follows:

Indirect...... 1211m
Iculs 2022.....258m
Iculs 2026.....103m
Bland directly..96m

In a stock exchange filing, BCorp said Tan’s deemed indirect interest held through his child dropped to 1.21 billion shares or a 23.86% stake, from 23.89% previously.
The prices at which the shares crossed were sold was not revealed. BCorp shares closed at 30 sen on June 8, at which price the block of shares was valued at RM300,000.
Meanwhile, Tan also has direct control over 1.28 billion shares in Bcorp, representing a 25.28% stake.
Including today's transaction, he has cumulatively disposed of nine million indirect shares or 0.09% stake over the past two weeks.
The group's bourse filings showed that he had disposed of 1.5 million shares on May 28, 3.5 million shares on May 31, two million shares on June 1, and one million shares on June 2.
BCorp shares closed unchanged at 31 sen today, for a market capitalisation of RM1.65 billion.

If VT can do it together with 7Eleven for Caring why not BLand as low hanging fruits with only 13% minority left to control all foreign & local assets & cash beneficial for Berjaya restructuring? A restructured & professional run Berjaya will be more attractive to foreign investors. The shell company after takeover can be used for backdoor listing of VT company like UMobile etc?

That could explain why?.. on the recent spade of indirect interest sales by VT & Son? For all we know their associates are collecting cheap from open market & why known VT macais are actively scaring minority not to buy before the announcement?
birkincollector just this year alone.....boustead, FGV, MMC ...these political linked companies has announced privatisation/restructuring....then BJcorp, who we all know linked to someone also gonna announce restructuring......seems like politicians getting ready for GE funds using creative methods.........so i think worth the bet to buy some for what ever VT gonna announce...who knows u get something like MMC :P

Looking good, hardcore minority still holding 13.2% of BJLand vs BJCorp shareholding of 77.9%. Let's see what will happen after Berjaya Group restructuring exercise in late June.
Btw VT has increased his shareholding by 4.82% as of 19 April 2021 to 106.71million shares in BJLand.
Btw I have been monitoring the minority holdings of BJLand since last year. Previously it was only 10.5% but has increased to 13.3% in March. After the last selldown it only dropped 0.01% to 13.2%. There's not really much free floating shares left after Dimensional fund liquidated another 3% of BJLand held under PCM Ld last year.

You are right! Follow the Institutional funds (clever foreigners) which are still holding 6.5%. Last check below indicated these clever foreigners has not sold any shares this year even when price reached 50 sens in March/April this year.
Personally I think there are many chameleons from Interpacific masquerading as minority trying to influence ikan bilis to sell before the announcement of restructuring plans by Jalil & next moves by NCW Malaysia & Lena Tan.
Btw minority still holds 34.1% in BCorp.

Guys when did BJCorp owns 48.34% of BJToto? As of 21 May, its current holding in BJToto is worth RM1.3 billion! If monetized by selling the controlling stake to NCW Malaysia should be worth more?

VT is a master illusionist, he gives people the impression that he is selling but as of 24 May, his direct holdings has actually increased by 4.6% to 27.33% in BJCorp.
Apart from privatization of BJLand, BJCorp can also adopt Ancom's restructuring model by taking over BJLand Assets & Liabilties based on nta of 80 sens. Since BJCorp already has 78% direct shares, only need to pay off the 13% minority & 9% indirect shares owned by VT & Co. via a combination of cash & new shares in BJCorp.
The listing of the shell company (BJLand shell co) after the takeover can be used for backdoor listing of VT other biz like Umobile?
