Good morning "Uncle Tan". Thanks for sharing your thought in the Forum.

Constructive criticisms is always welcome to the Forum. According to Dato' Yeo, Asiaply made profit when MMA raw materials for manufacturing Asiaply's cell cast products dropped from USD2,750 Mt to USD1,400-USD1,350 Mt. Asian MMA price had dropped from USD2,257 Mt in December 2022 to current price of USD1,499 Mt as of May 2023? With increased exports to India, Middle East & US Market and improved company results in latest Qtr., Asiaply should start recording profit from coming Qtrs. in 2023 after economies of scale from Asiaply's new production lines & factory?. Also cashflow will be improved with cash receipt in June for balance of RM10.2 million from sale of 15% shares in Cyprium Wire Technology S/B for RM12 million. Latest Qtr. 4 Report indicated FD of RM14 million with Cash & Bank balance of RM10.35 million, so cashflow is not an issue.

It's good that VT has been selling down his Berjaya shares to a Strategic Partner who could turnaround Berjaya Group's fortunes since none of his children has the business acumen to run his business and can only trade daily at Inter Pacific and talk bad about the company.

It's must be a good deal for VT to keep buying BJLand and selling BJCorp lately? Anyway privatisation is a bonus as BJLand already gives a ROI better than FD.

Guess most of the weak BJLand shareholders has been flushed out including most of the short term day traders? Also I like what VT mentioned during BJCorp's a latest AGM related to BJland's activities which are crucial for BJCorp's successful restructuring:
"BJCorp is getting approval from BNM to turn itself into a financial holding company and will restructure itself into a financial services provider" BJCorp current activities includes stockbroking, asset & land management (BJLand) , lottery operations (BJLand), insurance (BJCorp's share in Berjaya Sompo already sold?), and credit leasing. Incidentally BJLand's core business includes - operations of Toto betting, leasing of online lottery equipment, and the manufacture and distribution of computerized lottery and voting systems, motor vehicle dealership, repairs and maintenance and aftersales services. It also provides development of residential and commercial properties, management and operations of hotels and resorts operations of recreational clubs, vacation timeshare and air charter business. All this activities are crucial for BJCorp's plan to turn into a financial holding company?
At the same time, Berjaya Corp remains in talks to sell several non-core assets (will VT sell part of BJToto's biz in Philippines parked under BJLand (leasing of online lottery equipment, and the manufacture and distribution of computerized lottery and voting systems) proposed by Jalil as mentioned in his restucturing plan) as part of an ongoing effort to cut its debt and exit non-performing businesses, he said.
“There are proposed disposal of BJLand properties e.g. like Berjaya Makati Hotel in Philippines, Berjaya Hotel Colombo in Sri Lanka, Berjaya Beau Vallon Bay Resort & Casino and Berjaya Praslin Resort in Seychelles, Berjaya Hotel Colombo in Sri Lanka, Sheraton Hanoi Hotel in Vietnam (70% owned by BJLand?) which are still in the midst of negotiations (and) are expected to be divested in the coming months," he noted.
On its property development business, Berjaya Corp through BJLand is planning a mixed development project in Iceland under the Four Seasons brand, Tan said. "Iceland has been a good investment for us," he said, without disclosing gross development value for the project.
Berjaya Corp has also secured development order for its Berjaya Hills Resort for the construction of 3,000 houses by BJLand?, he added.

Very interesting. Looks like BJCorp's turnaround is mainly due to businesses parked under BJLand?
"The higher revenue is in line with the increased revenue in all business segments following the resumption of international and domestic travel and further relaxation of the COVID-19 standard operating procedures. In the non-food retail segment, H.R. Owen Plc ("HR Owen") generated higher revenue arising from the higher sales recorded from both new and used car sectors upon the gradual recovery in supply volume after the earlier supply chain disruption. The property segment reported higher revenue driven by higher property progress billings reported from its local project at The Tropika, Bukit Jalil, and higher sales from its overseas residence unit. The hospitality segment also delivered higher revenue as a result of the higher overall occupancy and average room rates reported by the hotels and resorts business, in particular from the hotels in Iceland after the easing of travel and social restrictions during the current quarter under review. The higher revenue in the services segment is driven by STM Lottery Sdn Bhd (formerly known as Sports Toto Malaysia Sdn Bhd) ("STM Lottery"). The higher number of draws conducted, which was forty two (42) draws in the current quarter under review as opposed to only twenty eight (28) draws in the previous year’s corresponding quarter contributed to the increased revenue by STM Lottery. The Group's profit from operations surged by about 779% to RM186.2 million from RM21.2 million in the previous year corresponding quarter, which was in tandem with the higher revenue reported by all the business segments.

Since VT is not sharing his moves, let's share the key events to lookout for on BJLand.
1. QTR. 4 result will be out by 24 August next week. BJLand should show improved results with opening of Covid restrictions & economy.
2. VT needs to sell another 2.948% or 14.74M shares to meet Bursa's 20% Liquidity spread by 22 Sept.
3. So far VT has only sold BJLand shares via direct biz transactions to friendly parties or proxies and not in open market. VT's apparently trying to convince minority he's meeting 20% liquidity spread or is he selling BJLand shares to a proxy in preparation for a GO sooner or later since all the money making assets is hidden in BJLand?
Either way there should be exiting times for BJLand shareholders before GE15?

We like VT's gameplay. Once he dispose another 1.36% or 66.6M BJLand shares via direct Biz Transaction to a friendly party of proxy player, VT will meet Bursa's minimum requirements of 20% liquidity float...then history may repeats as what happened in 2008...

Also BJCorp's 140m loss from sale of BJLand maybe to a new strategic partner like Johor Royalty in preparation for STM sale & listing of Hotel REIT in Singapore according to VT's plans. Also VT's sale of 103m shares in BJCorp to cash out money to invest in more BJLand shares? That's why there is sudden spike in buying lately?
"The owner of Icelandair hotels is Berjaya Land Berhad. The sales agreement with Icelandair was finalized at the beginning of 2021, but the first part of the contract went through already in 2019. The chairman of the board of directors in Iceland is Tryggvi Þór Herbertsson.

Its good to have a foreign point of view. There should be also some coverage on BJLand which is BJCorp's 80% owned subsidiary. The key to unlocking BJCorp's real worth should be through taking over BJLand's assets such as 40% shares in BJToto, extensive landbank in Selangor, Penang, Pahang etc. and also converting BJLand's money making 5 stars hotel assets such as 100% in Icelandair Hotels, Iceland, Berjaya Eden Park Hotel UK, FS Kyoto & FS Okinawa (construction started end 2020) into a Hospitality REIT as proposed by Jalil in BJcorp's recent Turnaround Plan.

If all the cash received from disposal of assets such as hotels in Seychelles, Sri Lanka, Vietnam & BToto Philippines is utilised to pay the immediate debts of RM5 billion, there is not much working capital left for BCorp assuming the cash burn rate is RM2 million daily for operations. Further, if you already sell the prime assets/cash cows to raise money to pay debts, you will have less assets left for generating future profit?

How to wait 2 to 5 years?
Remember if your borrow RM1 million @ 6% pa to buy BCorp, you will incur cost of capital of RM60k yearly. If you wait 2 to 5 years, you will incur interest of RM120k to RM300k over this period of time. That means, you would have lost 30% of 1 million at the end of 5 years as there is no guarantee on capital loss on the principal of RM1 million borrowed if BCorp share price keeps dropping?

What's the use of high RNAV when VT is like a dog in the manger? There is no value in such assets unless already in your pockets. The most important criteria for shareholders in a long term investment is cashflow & profitability. If BCorp has been making lossless since 2016 how to Huat?
Any cash received earlier from sale of FSKyoto & Jeju compensation has been used to pay interest on debts & ICULS owned by VT & Associates. VT has tried earlier to dilute shareholders value by proposing to sell Singer to BCorp at a high price. There is no guarantee VT will not do it again in future.

Stocks to buy &-hold for long term must show potential growth, profitable & pays dividends to sustain investors interest. ROI is more important criteria for long term investment rather than perceived RNAV which can been seen but cannot touch depending on the whims & fancies of the owner & market demand. After all it has no "value" unless already in your pockets.
Atm can't see this in BCorp, since Jalil busy firefighting to pay massive debts, cut costs to reduce losses, sell shares & assets to provide cashflow for operating costs, pay interest on debts & ICULs? Where is the focus on making profit??
