如果依据美国《破产法》第七章申请破产，公司全部业务必须立即完全停止。由破产财产托管人来“清理”（拍卖）公司资产，所得资金用来偿还公司债务，包括对债权人和投资人的债务。

　　一般来讲，如果公司申请依据《破产法》第七章破产，股民手中的股票通常变成废纸一张，因为如果破产法庭确认债务人无清偿能力（负债大于资产），就可不归还股东投资。此外，公司资产经清算优先偿还有担保债权人和无担保债权人后，往往所剩无几。

　　多数上市公司会按照《破产法》第十一章申请破产保护，而不是第七章直接进行破产清算，因为他们仍希望继续运营并控制破产程序。第十一章规定了一些复兴公司业务的程序，也确有一些公司重组计划成功，重新开始赢利。但有些公司最后还是以清算告终。

　　不管债务人是否有偿付能力，当债务人自愿向法院提出或债权人强制向法院提出破产重组申请后，债务人要提出一个破产重组方案，就债务偿还的期限、方式以及可能减损某些债权人和股东的利益作出安排。这个方案要给予其一定的时间提出，然后经过债权人通过，经过法院确认，债务人可以继续营业。这就是重整的概念，在中文中又叫破产保护。


　　这里需要指出的是，在美国法律中，“破产”和“破产保护”不是同一个概念，后者不等于前者，不算真正意义上的破产，更像死刑之前的缓刑。美国《破产法》第11章（Chapter 11 of the Bankrupty Code）规定：

一旦破产申请得到法院的批准，债务人（debtor）即成为破产人（bankrupt），其财产由信托人（trustee）管理。债权人（creditor）将无权执行债务人的担保、抵押财产。

　　换句话说，第11章给了申请破产的公司一段“缓刑”时间，在这期间没有还债压力，使得公司有时间进行重组，或许可能起死回生。如果重组不见效，再实行破产偿债。这样的规定，不仅使得遭遇暂时性危机的公司有机会度过难关，也使得债权人的损失有可能会变得小一点。事实上，美国最大的那些破产保护案中，不少公司最终都被救回来了。
