On behalf of the Board, Affin Hwang IB is pleased to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 6 February 2018, approved the following:
(i) the listing of and quotation for 200,000,000 new ordinary shares in Cuscapi to be issued pursuant to the Proposed Issuance;
(ii) the listing of and quotation for 40,000,000 new Warrants to be issued pursuant to the Proposed Issuance; and
(iii) the listing of and quotation for up to 40,000,000 new ordinary shares in Cuscapi to be issued arising from the exercise of the new Warrants.
The approval granted by Bursa Securities for the Proposed Issuance is subject to the following conditions: 
(i) Cuscapi and Affin Hwang IB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Issuance;
(ii) Cuscapi and Affin Hwang IB to inform Bursa Securities upon the completion of the Proposed Issuance;
(iii) Cuscapi to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Issuance is completed;
(iv) Cuscapi to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable; and
(v) A certified true copy of the resolution passed by shareholders at the extraordinary general meeting approving the Proposed Issuance.
Cuscapi is required to ensure full compliance of all the requirements pertaining to the Proposed Issuance, as provided under the Listing Requirements, at all times.
