I would say that the 4 independent directors are not acting on behalf of the minority shareholders of Ekovest.

IWC shareholders can only get RM1.50 if Ekovest shareholders approved the deal. If Ekovest shareholders rejected the deal, than IWC will be lower than Ekovest

the deal may call-off. If ekovest shareholders said no tomorrow. RM1.50 will be gone

Let's unite and vote against the deal. We may loss the battle but at least we can show LKH that we don't like the deal. Close your eyes and vote against the deal

For now IWC is a no-no. ekovest itself is a giant in the making. But if they take IWC, it will be a drag

People may see that Great Platform as growing business but it may or may not be the case since the industry is slowing down. RM10 mill hit to income statement of Mieco. Is like Ah Chai using Mieco to finance the losses in the subsidiary of SYF.

See the latest quarter from SYF up to 31 Jan 2018 -revenue and losses contributions from the board business (i.e. Great Platfom) are RM44 mill and - RM2.7 mill for 6 months. Annualised will be about RM6 mill losses to Mieco per year. And since Mieco getting RM60 mill financing to acquire Great Platform, interest cost should be RM4 mill per year. Easily RM10 mill reduction in profit for Mieco

Anyway, please avoid ah chai counters. Retailers not in the same league as him

We know that LKH will have a plan since he can't vote on Thursday. He may influenced the other institutional shareholders to accept the deal with additional sweetener hence, ensuring that the deal goes through. However, what we can do is just to fight all the way to reject the deals

Is a battle we can't win for Ekovest shareholders. Ultimately, the deal will go through. But just giving LKH some pressures. Can't let him to control everything

The best way, is to keep asking questions and voting against the deal. If indeed Ekovest is worth RM4 as per the BDO's valuation than the deal to acquire IWC doesn't make sense. I would suggest to monitor the share price. If heading up before the EGM, we can vote for the deal. Else, just vote against the deal.

anyway, to keep it short. Both offer document and IAC already reviewed by the SC. AND to complain to the SC, it sound like complaining against your own decision

Nothing to do with that. SC basically is acting as a regulator or gatekeeper. If u see from the independence advice circular sent to IWC shareholders it mentioned "..the Securities Commission has notified that it has no further comments to the content of this IAC". Basically, valuation is very subjective due to many variables. A person may get a valuation of RM1.50 for Ekovest, some may get around RM4 (in the case of BDO). What SC' can regulate only on the process
